This book provides a comprehensive account of the legal rules that apply for companies. First
written in 1966, this book was revised at regular intervals to take into account the latest
amendments for the benefits of students as well as the concerned company executives. The
new fifteenth edition is thoroughly revised & updated to incorporate changes introduced in the
statue law as also the significant development in the case-law.

The Companies Act was amended twice earlier to the present edition. One of the Amendment
Acts brought into Companies Act a large new part on producer companies. The Second
Amendment Act, 2002 apart from making other changes, also brought in a new part providing
for Revival & Rehabilitation of Sick Industrial Companies. The Amendment of 2006, has
added a few provisions to bring about the requirement that all directors, existing or proposed,
should obtain an identification number. The Amendment also enables filing and inspection of
documents through electronic media. The author has also analytically discussed and
incorporated all the significant developments in the judicial front at the rightful places in the
new edition.

There are twenty four chapters in the book covering topics such as registration &
incorporation; memorandum of association; articles of association; prospectus; share capital;
directors; meeting; dividends, accounts and audit; borrowing, lending, investments &
contracts; prevention of oppression & mismanagement; reconstruction & amalgamation;
winding up, and miscellaneous etc. The author has made a beautiful attempt in bringing all the
current topics into the book. The different provisions have been explained in a clear & simple

cases.
