DEED OF CONDITIONAL SALE

(Real Property)

KNOW ALL MEN BY THESE PRESENTS:

This instrument, made and entered into at Quezon City, Philippines, on this 18th
day of April 2020, by and between:

JUAN D. CRUZ, married to JOSEFA A. SANTOS-CRUZ, both of legal age, filipino,


resident of No. 20 Sampaloc Street, Quezon City, Philippines, hereinafter referred as
the “VENDOR”
-and-
PAOLO GARCIA, filipino, of legal age, single, resident of No. 2 EDSA Quezon City,
Philippines, hereinafter called the “VENDEE”.

WITNESSETH:

          WHEREAS, the VENDOR is the absolute owner a parcel of land with TCT No.
1234 of the Registry of Deeds for Quezon City, with an area of 200 sq.m., located at No.
1 Sampaloc Street, Quezon City, Philippines particularly described as follows:

TRANSFER CERTIFICATE OF TITLE NO.1234

A parcel of land (Lot 1-B-1) of the subdivision plan (LRA) PSD-


371780, approved as a non-subdivision project, being a portion of
Lot 1-B, (LRC) PSD-297695, LRC Rec. No. Free Patent, situated in
Sampaloc Street, Quezon City. Bounded on the NW., and NE.,
points 3 to 5, by property of Maria Magdalena; on the NE., points 5
to 6, by property of Antonio Luna; on the SE, points 6 to 1, by Lot 1-
B-5; on the SW., points 1 to 2, by lot 1-B-9 (Alley); points 2 to 3, by
lot 1-B-8; all of the subdivision plan. Beginning at point marked “1”
on plan, being N. 37 deg. 26’E., 1130.10 m. from BLIM No. 4,
Quezon City; Thence N. 32 deg. 40’w., 6.00 m. to point 2; Thence
N. 32 deg. 39’W., 59.38 m. to point 3; Thence N.52 deg. 06’E.,
133.21 m. to point 4; Thence S. 29 deg. 04’E., 33.81 m. to point 5;
Thence S. 29 deg. 33’E., 32.04 m. to point 6; Thence S. 52 deg.
06’W., 129.35 m to the point of beginning; containing an area of
TWO HUNDRED (200) SQUARE METERS, more or less.

        
        WHEREAS, the VENDEE desires to purchase from the VENDOR the above
described property under the following terms and conditions, to wit:

1. That the total consideration of the sale is TEN MILLION PESOS


(P10,000,000.00);

2. That upon signing of this contract the VENDEE shall pay the VENDOR  a
down payment of P 5,000,000.00;  that the remaining balance shall be
paid in full  upon transfer of  title and tax declaration in the name of the
VENDEE;

3. That the VENDOR reserves his right of ownership over the subject
land  until full payment of the consideration;
4. That the VENDEE shall pay for the capital gains tax, documentary stamp
tax, cost registration.
