Employee Non-Disclosure Affidavit

__________________ (hereinafter referred to as “I”) am hired by Online Video Business Division

(Service Department) from ____________________________ (Company) on________________
(yyyy/mm/dd). For good consideration and communication, I will abide by the following (will raise the
question if there is any of it for the affidavit at the time of signature; the employee will follow the
Employee Non-Disclosure Affidavit specification after sign):

Whereas, the Parties have business confidential obligation due to the labor contract, I agree during my
tenure and after leaving, will follow the related confidential rules, the matters reached the following
agreement:
a. All the documents, archives and information of business, administration, management or
computer software held by Online Video Business Division (Service Department) due to the
business relationship may be judged by the general knowledge in accordance with the
information documents which shall be kept confidential and shall not be disclosed, or
disseminated arbitrarily.
b. I shall not use directly or indirectly disclose the abovementioned information, documents or files,
materials, etc. to third parties or provide for use with third parties.
c. When I resign, I shall not disclose the name, duties, technical expertise, phone number or other
information of the original service department, and shall not poach from the original service
department.
d. If I violate the provisions of this affidavit, I will unconditionally pay twice the amount of the total
annual salary to Online Video Business Division (Service Department) as penalty (if the total
amount is less than NTD 200,000, the penalty will be NTD 200,000), and if the act damages the
benefit of the original service department, in addition to compensation for the damage, the person
shall undertake the other legal responsibilities.
e. Any archival material of the computer system by Online Video Business Division (Service
Department), including computer application software, system planning, may not be copied, sent
or printed by e-mail and network. Also may not arbitrarily install the program, change system
setting or other technical information, and disclosure the network address and account password
to non-business related people.
f. The obligation of this Article and the above provisions shall remain in force after the termination
of the labor contract.
For the above matters, I have no legal reservations. When I sign this affidavit, it means I already
confirm the full content, and sign in free will.
