Under this agreement (MSP Business Name) offers Pre-Paid Block Hours Support
_____10 hours X $150 per hour

_____20 hours X $140 per hour

_____30 hours X $130 per hour

Remote support is billed in 15-minute increments. On-site support is offered in the event remote resolution is not possible.
On-site support is billed minimum 1 hour for the first hour then in 15-minute increments.

Billable time is deducted from hours purchased. When hours are at 30% or fewer of the amount purchased, a new invoice
will be generated and sent to client. If payment by ACH has been authorized (MSP) will charge client and send paid
invoice as receipt. Hours consumed by client are tracked in MSP’s ticketing system and can be made available upon
request.

Pricing includes installation and monitoring through (MSP Business Name)’s remote monitoring and management (RMM)
software, which is used to monitor client’s computers, gain remote access, and provide automated support. Tickets
resolved by RMM software will be billed in 15 minute increments.

Response time: remote support within 4 hours of ticket submission 9 am – 5 pm weekdays. On-site support within 24
hours. After-hours support available in the event of an emergency (systems down). Response time after hours is
dependent upon staffing availability, safety, weather, and traffic conditions, and will be addressed on a per-ticket basis.

Confidentiality. During the term of this Agreement, and thereafter in perpetuity, neither party shall, without the prior written
consent of the other, disclose to anyone any Confidential Information of the other. “Confidential Information” shall include
each party’s proprietary and confidential information such as, but not limited to, customer lists, business plans, marketing
plans, financial information, personal information of owners and employees, designs, drawing, specifications, models,
software, source codes, and object codes. Confidential Information shall not include any information which becomes
publicly available through no act of MSP, or is rightfully received by either party from a third party.

Client will not solicit or hire or otherwise engage any of MSP’s employees or contractors, either directly or indirectly during
any period services are provided to Client or in the 24-month period immediately following termination of services to Client
for any work involving information technology repair, maintenance, installation, or sales.

(MSP)’s cumulative liability shall be only for loss or damage directly attributable to negligence of a (MSP) employee or
contractor, regardless of the form of action, for the cost of restoring the network to its condition prior to claimed
negligence. Implied Warranties are expressly disclaimed by (MSP). (MSP) shall not be liable to Client, any of its affiliates,
or customers for any damages except as provided above, whether incidental, direct, indirect, special, consequential, or
punitive damages arising out of service or equipment provided hereunder, including but not limited to loss of profits or
revenue, loss of use of equipment, lost data, or loss to person or property, costs of substitute equipment, or other costs,
even if MSP has been advised of the possibility of such damages. If Client purchases equipment from (MSP) it agrees to
look to the manufacturer for all remedies and warranties and agrees that (MSP) is not responsible for any functioning of
the equipment and has not made any express or implied warranties. (MSP) shall not be liable for any claim or demand
against the Client by any third party on account of errors or omissions performed hereunder. (MSP) is not responsible for
the actions of Client’s employees, other contractors or individuals installing hardware, working on the technical aspects of
the operating systems on the Servers and PCs, or using Domain Administrator access. Client is urged to not allow such
activities. All the terms, conditions, and provisions of this Agreement will continue to apply during any renewal.

CLIENT CYBER SECURITY. It is understood that within the Services provided it is not the intent, nor does the (MSP)
provide any type of internet security monitoring, cyber security monitoring, cyber terrorism monitoring, or other cyber
threats for You unless otherwise specified in additional contract documents. As cyber threats are always evolving it is
strongly recommended that You engage the services of a cyber protection third-party vendor to monitor the cyber controls

and cyber activities in Your System. In no event, including the negligent act or omission on its part, shall MSP, whether
under these Terms, a SOW, other contract documents, or otherwise in connection with any of them, be liable in contract,
tort, third-party liability, breach of statutory duty or otherwise, in respect of any direct, indirect, or consequential losses or
expenses, including without limitation loss of anticipated profits, company shut-down, third-party loss or injury, any loss
because of data breach, any loss of personally identifiable or protected information, goodwill, use, market reputation,
business receipts or contracts or commercial opportunities, whether or not foreseeable, if such loss was the result of or
arose from any act of terrorism, strike or similar labor action, war, invasion, act of foreign enemy, hostilities or warlike
operations, civil war, rebellion, revolution, insurrection, civil commotion assuming the proportions of or amounting to an
uprising, or any action taken in controlling, preventing or suppressing any of these things, including any such act or series
of acts of any person or group(s) or persons, whether acting alone or on behalf of or in connection with any
organization(s), committed for political, religious, or ideological purposes including but not limited to the intention to
influence any government and/or to put the public in fear for such purposes by using activities perpetrated electronically
that are directed towards the destruction, disruption or subversion of communication and information systems,
infrastructure, computers, telecommunications or electronic networks and/or its content thereof or sabotage and or threat
therefrom.

Termination: Client may terminate this Agreement with or without cause at any time. Funds paid will be refunded less any
outstanding charges prior to Notice and any services connected to termination of services. (MSP) may terminate this
Agreement upon giving Notice to Client ten (10) business days prior to the effective date of termination. Notice must be in
writing by mail or email between the persons who signed this agreement.

PAYMENT---Credit Card and ACH Authorization: If the pool of available funds drops to 1 hour or less MSP will
notify Client of the status of their prepaid funds by email and will draft Client’s account to replenish the funds.
Client may notify MSP at any time to discontinue further charges on its credit card account or bank ACH.

This authorization is to remain in full force and effect until MSP has received written notification from Client of its
termination in such a time and manner as to afford MSP a reasonable opportunity to act on it.

ACH

I (we) hereby authorize MSP to initiate debit entries to my (Account indicated below and the financial institution
below, hereafter called FINANCIAL INSTITUTION, to debit the same to such account for MSP’s services. We
