In our
acquisition proposition, we have chosen Grameenphone Ltd. as the acquirer company and BDCOM
Online Ltd. as the terget company. A breif justification behind this acquisition is: after this acquisiton
Grameenphone will get the opportunity to break into the broadband market, and BDCOM will get a
financially solvent parent company.

So without any further ado, I’m going to jump to the compny overview to start the main part of the
presentation.

The acquirer company Grameenphone ltd. was incorporated in 1996 as a private limited company and
converted to a public limited company in 2007. With 76.5 million telecommunication subscribers and
40.6 million mobile data users, it is currently the largest telecommunications operator in Bangladesh in
terms of revenue, coverage and subscriber base as well. It’s product and services include, various types
of prepaid, postpaid and internet packages; Financial services like Utility Bill Pay, GPAY wallet cash in.
They also provide Business solution and Internt of things in short IOT, for example: ● Corporate Bulk
SMS ● Audio Conferencing Service ● Voice Message Broadcast ● Vehicle Tracking System ● Team
Tracker etc. They also provide inbound and outbound roaming services. As for the shareholding
structure, 55.8% of its share is owned by Telenor Mobile Communications AS, 34.2% by Grameen
Telecom and the rest 10% by the general public & other institutions.

The target company BDCOM online ltd. was incorporated as a private limited company in 1997 and
converted into a public limited company in 2001. Its product and service includes: Nationwide Internet
and Data Connectivity, IP Telephony Service, Software Development, System Integration, Managed
Services, Fleet Management & Tracking Solution, Hospitality Management, & Hotspot Solution. As for
the shareholding structure, 29.7% of its share is owned by institutions, 23.3% by the directors and
sponsors and 47% by the general public.
