MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This MEMORANDUM OF AGREEMENT is made, executed and entered into by:

ISAAC GARGANTA, of legal age, Filipino, and with residence at Fairview

Quezon City hereinafter referred to as the SELLER.

-AND-

SHAN SHAN MUTTERSPAUGH, of legal age, Filipino, and with residence at

Mangatarem Pangasinan hereinafter referred to as the BUYER.

WITNESSETH, that:
WHEREAS, the SELLER is the registered owner of a unit in VICTORIA SPORTS
STATION (35A12) located at 799 Efipanio Delos Santos Avenue Quezon City.
WHEREAS, the BUYER agrees to pay the amount of FIVE HUNDRED SIXTEEN
ONE HUNDRED FORTY SIX PESOS (P516,146), as total payment for the said unit
and continue to pay the balance to the developer.

NOW THEREFORE, for and consideration of the sum of FIVE

HUNDRED SIXTEEN ONE HUNDRED FORTY SIX PESOS (P516,146), Philippine
currency, receipt of which is hereby acknowledged by the SELLER, who
HEREBY SELL, TRANSFER, and CONVEY by the way of Memorandum
Agreement unto the said BUYER, his heirs and assigns, the certain
property together with all the improvements found thereon, free from
all liens and encumbrances of whatever nature including real estate
taxes as of the date of this sale.
