DEED OF ABSOLUTE SALE

KNOW ALL MEN BY THESE PRESENTS:

This DEED OF ABSOLUTE SALE (the “DEED”) made and executed on this __ day of July
_______at ________________, Philippines, by and between:

SPOUSES TORIANO SANIANO AND CONSTANCIA SANIANO, of legal age, Filipino


Citizen, with residence and postal address at 158 Bilog-bilog, Tanauan City, Batangas
(hereinafter referred to as the “SELLER”);
-and-

ROZELLE JADE R. JAVIER, of legal age, Filipino Citizens, single, with residence and postal
address at 677 Kumintang Ibaba, Batangas City, PHILIPPINES, and hereinafter referred to as the
“BUYER”;

WITNESSETH THAT:

PROPERTY – That the SELLERS is the absolute owner of the lot with an area of 4,263 square
meters, more or less, located at Barangay Bilog-bilog, Tanauan City, Batangas Philippines
collectively covered by TCT No. T-96378 of the Registry of Deeds for the City of Batangas,
Philippines (hereinafter collectively referred to as, the “PROPERTY”);

WHEREAS, the SELLERS desires to sell to the BUYER a portion of TCT No. T-96378
particularly described as Lot 9626-B with an area of ONE THOUSAND NINE HUNDRED FIFTY
FOUR (1,954) SQUARE METERS, more or less and the latter agree to buy from the SELLERS the
aforementioned PROPERTY in accordance with the terms and conditions hereof.

1. THAT the total selling price for the above mentioned PROPERTY is FIVE MILLION
PESOS (PHP 5,000,000.00), which is paid in full upon signing of this DEED.

2. THAT the SELLERS hereby SELLS, CEDES, TRANSFERS AND CONVEYS, unto and in
favor of the buyers, their assigns, executors, administrator and successors-in-
interest, the above described PROPERTY, free from all liens and encumbrances of
whatsoever nature.

3. THAT the SELLERS hereby warrants that he is one of the lawful owner of the said
lot, that his right over the said PROPERTY is valid and genuine, and that he is
legally capacitated to transfer the same to the BUYER;

4. THAT the SELLERS guarantees that there are no claims, legal disputes, issues,
conflicts and/or clouds existing against the PROPERTY that will affect the
peaceful possession and title of the BUYER. The PROPERTY is likewise warranted
not having been foreclosed, judicially and extra-judicially, by any party seized for
tax or other obligation and liabilities by the Government or by private entity.

5. THAT expenses to be incurred for the sale of the PROPERTY to the BUYER by way
of Capital Gains Tax, Documentary Stamp Tax, Registration Fee, Transfer Tax, and
other incidental expenses for the transfer and registration of Title in the name of
the BUYER shall be for the account of the BUYER.

6. THAT this instrument shall be registered under Act 496.

Bilog-bilog, Tanauan City, Batangas, with an area of ONE THOUSAND NINE HUNDRED FIFTY
FOUR (1,954) Square Meters, more or less covered by TCT No. T-96378; issued by the Registry
of Deeds of Batangas, and consists of two (2) pages, including this page, signed by the parties
and their instrumental witness on each and every page thereof including this page on which
this acknowledgment is written.
