CONDITIONAL DEED OF SALE

 
KNOW ALL MEN BY THESE PRESENTS:

This CONDITIONAL DEED OF SALE entered into this ________________________


in the province of ______________________, by and between:
 
        CORAZON MAGPAYO CRUZ of legal age, Filipino, widow and
with residence and postal address at 0888 PUROK 2, BAMBANG, BULAKAN,
BULACAN, hereinafter referred to as the VENDOR;
 
-AND-
 
       VICTOR TOLENTINO CALIMON married to PRECIOSA DARIA
CALIMON, both of legal age, Filipino citizens, with residence and postal
address at #482 PANGULANG BAGUMBAYAN, BULAKAN, BULACAN
hereinafter referred to as the VENDEE;
 
WITNESSETH;
 
        That the VENDOR do hereby sell, convey, and transfer in a manner
absolute and irrevocable unto said VENDEE, her heirs and assigns, for and in
consideration of FIVE HUNDRED EIGHTY (Php 580,000.00) Philippine
Currency, the property, including improvements therein consisting of TWO
HUNDRED NINETY (290) square meters, more or less, located at
BAGUMBAYAN, BULAKAN, BULACAN

That the VENDOR hereby sells to the VENDEE who agreed to buy the above-
described lands under the following terms and conditions to wit;
 
1. That the total consideration of the sale is FIVE HUNDRED EIGHTY (Php
580,000.00);

2. That the VENDOR shall give the VENDEE absolute and complete control
and possession of the subject property thereon upon the receipt full
payment of Five Hundred Eighty Thousand Pesos (Php 580,000.00)

3. That the VENDEE understands and agrees that the VENDOR’s right of
ownership over the subject land is inchoate to its right of succession over
_____________________________.

4. That the VENDOR reserves the right of ownership over the property until
the VENDOR’s right by virtue of his inheritance has ripen into
ownership.

5. That the VENDOR shall thereafter execute an ABSOLUTE DEED OF


SALE in favor of the VENDEE in order to transfer the full ownership of
the property to the VENDEE;

6. FURTHER, that in the event that the VENDOR should fall or deliberately
refuse to comply with her obligation, the VENDEE shall reimburse of the
amount of the purchase price said, cost of improvements as well as
beneficial interests and other damages that the VENDEE may suffer;

7. And Finally, VENDEE shall pay for the capital gains tax, documentary
stamp tax, cost registration.
