1. General provisions

1.1. The Center for Cultural Relations – the Caucasian House (hereinafter "The Caucasian
House") is the non-entrepreneurial (non-commercial) legal entity of private law (NNLE), which
carries out its activities in accordance with the Constitution of Georgia, the applicable
legislation, international legal norms and the present Statute.

1.2. The full name of the "The Caucasian House" is “The Center for Cultural Relations -
Caucasian House”.

1.3. From the moment of registration, The Caucasian House is a legal entity possessing a stamp,
operational bank accounts (including in foreign currency) and other attributes required for a
legal entity.

1.4. The Caucasian House is entitled to acquire relevant rights and to undertake responsibilities
in its own name, to conclude contracts, to appear as a plaintiff and defendant in court.

1.5. The members of the Caucasian House are not responsible for its obligations, and the
Caucasian House its turn does not bear any responsibility for obligations independently
undertaken by the members of the Caucasian House.

1.6. The legal address of the Caucasian House is: Tbilisi 0105, Galaktion Tabidze str. # 20.

1.7. The Caucasian House is created to function for an indefinite period of time.

2. Goals

2.1. The worldvison and the goals of the Caucasian House will never be revised during its
existence.
    The main goal of the Caucasian House is to promote the following, within the limitations
imposed by the law:
• Protection and saving of cultural and natural heritage of Georgia and the Caucasus;
• Creation of the spiritual and intellectual basis necessary for the establishment of peace and
democratic development in Georgia and the Caucasus, for protection of natural
environment and strengthening of environmental security;
• Promotion of the norms of peaceful coexistence of different cultures, cultural integration and
cooperation between the peoples of Georgia and the Caucasus; Development of public
diplomacy.
• Education of youth, humanization and democratization of public consciousness, promotion of
civil society and the rule of law in the country;
• Establishment of principles of fairness and solidarity in Georgia and the Caucasus region.
• Protection of human rights, promotion of religious and ethnic tolerance.
2.2. The Caucasian House will rightfully use all means allowed by the Georgian legislation in
order to achieve the goals set out in the Statute.
2.3. In order to achieve its goals, the Caucasian House, in accordance with the regulations
established by law, is engaged in:
• Cultural-educational activities;
• Publishing of broadly defined educational literature, magazines, newspapers, bulletins and
booklets;

• Organising exhibitions and sales of of the works by artists, public figures, photojournalists and
other representatives of different nationalities of the Caucasus and Georgia;
• Filming activities focused on, in particular, the socio-economic, mental, environmental and
other developments in the Caucasus and in Georgia, and making the films accessible to
the general public;
• Organizing conferences, symposia, seminars and other events both within and without the
country;
• Taking care raising awareness about the Caucasian peoples and their cultures, and bringing
them closer to one another;
• Working toward obtaining financing for the implementation of concrete projects, both inside
and outside the country, attracngt funds for financing of the4 statutory activities;
establishing relationships with the similar organizations in foreign countries;
• Cooperating with the relevant state and non-state organizations of Georgia, and community-
based groups.
• Conducting activities in the country’s capital, and whenever possible, also in the regions of
Georgia (and the Caucasus).
2.4. The Caucasian House is entitled to carry out entrepreneurial activities of the auxiliary
nature envisaged by the Georgian legislation in order to fulfilling its statutory goals.
2.5. Implements agricultural and municipal development programs in the regions of Georgia
through its subsidiary organization – The Community Development Center.
2.6. Some of the activities, with their listing determined by the law, the Caucasian House" can
perform only on the basis of a special permission.

4. Membership of the Caucasian House

4.1. The members of the Caucasian House could be:
• Full (plenipotentiary) members;
• Honorary members.
4.2. A full member of the Caucasian House can become any person who: is not a member of a
political party; whose membership is proposed in a written recommendation by two
members of the Board; commits to the present Statute; shares the declared goals of
the Caucasian House; and, is ready to participate in the activities of the Caucasian

4.3. The status of the honorary member can be granted to any person, who: significantly
contributed to achieving the main goal of the Caucasian House; is actively cooperating
with the Caucasian House, or in any other form contributes to achieving the goals of the
Caucasian House. The rights and obligations set out in this Statute for a full member of
the Caucasian House do not apply to the honorary member of the Caucasian House.
4.4. Adimission of a person as full member of the Caucasian House is stupulated by the
Paragraph 4.2. The written application submitted by the candidate and the issue of
his/her membership are considered by the Board within the period of one (1) month

4.5. Transfer of the membership of the Caucasian House to another person or passing it on to a
heir are not ballowed.
4.6. The membership of the Caucasian House gets abolished:
- Based on the person’s own application;
- Due to his / her incapacity established by court decision;
- In case of death.
4.7. The membership of the Caucasian House may be terminated, if: the person’s activities are
in conflict with the objectives of the Caucasian House, and violate its dignity, as well as
on the following grounds:
a) In case of a gross violation of interests of the Caucasian House;
b) S/he does not regularly pay membership fees (for three months);
C) S/he systematically avoids meeting own obligations, or demonstrates law quality
performance in doing his duties;

4.8. The decision on termination of membership is made by the General Assembly of the

4.9. The founders of the Caucasian House and persons who subsequenty became mebers enjoy
equal rights.

5. The rights and responsibilities of a member of the Caucasian House

5.1. Member of the Caucasian House has the right to:
• Take part in the work of the General Assembly of the Caucasian House;
• Execute decisions of the administration of the Caucasian House;
• Elect and be elected to administrative positions within the Caucasian House;
• To leave membership at own will at any time;

• In accordance with own qualifications and capabilities, participate in the programs and
projects of the Caucasian House, in their development and discussion; (Change introduced on

5.2. A member of the Caucasian House undertakes responsibility to:
• Abide by the Statute of the Caucasian House; implement the guiding principles of the
Caucasian House; promote the objectives of the Caucasian House; and, ensure the
implementation of the measures undertaken by the Caucasian House;
• Pay the membership fees in time, in accordance with the rules established by the board;
• Participate in the activities of the Caucasian House in accordance with own capabilities and
interests;
• Respect the confidentiality of some information;
• Actively support achieaving of the objectives posed by the Caucasian House;
• Take due care of the property of the Caucasian House.
5.3. Any member of the Caucasian House is prohibited to act on behalf of the Caucasian House
without the authorization granted by the Board.
5.4. Violation of the responsibilities as stipulated by the Statute by a member shall result in the
legal consequences as defined by the Article 4.7 of this Statute.

6. Membership fee
6.1. The membership fee is used for the purposes of the Caucasian House.
6.2. The minimum amount of membership fees is determined in the amount of 5 (five) GEL.
6.3. The rules for payment of membership fees are determined by the Board of the Caucasian
House.

7. Management and representation

7.1. Chairperson of the Board:
7.1.1. Chairperson of the Board (Chairperson of the Caucasian House) is entitled to represent
the Caucasian House.
7.1.2. The Chairperson of the Caucasian House can not be a member of any political party ;
The Chairperson of the Board (aka the Chairperson of the Caucasian House) is elected
by the General Assembly from among the Board members for 4 (four) years.
7.1.3. Chairperson of the Caucasian House
• Directs the activities of the Caucasian House aimed at achievung the statutory goals;
• Directs the activities of the Board and presides over its meetings;
• Represents the Caucasian House in interrelations with other parties;

• Supervises the organization's program matic areas, the conceptual and contextual aspects of
projects to be implemented;
• Supervises the management of financial resources and other material assets of the Caucasian
House;
• Selectis the personnel and presents selected candidates to the board;
• Directs work with the members of the Caucasian House in accordance with the rules
established by the Board;
• Signs the official documents of the Caucasian House;
• Performs other functions msandated by this Statute.
• The Chairperson of the Board is entitled to appoint her/his deputy in agreement with the
Board. The Deputy executes the duties of the Chairperson in case of her/his absence.
• At least two other Members of the Board should be involved n the in correspondence of the
Chairperson of the Board with other funds and organizations , as well as with
governmental structures.
7.1.4. Only the General Assembly of the Caucasian House is entitled to enact early termination
of the authority of the Chairperson of the Caucasian House, in the cases of non-
fulfillment of duties as defined by the Statute, excessive use of powers, or behaviour
inconsistent with the statutory aims of the Caucasian House. In such case, the Caucasian
House within the period of one month’s time elects a new chairperson for the remaining
term.
7.2. Executive Director:
7.2.1. The Executive Director is approved for this position by the Board for the 1 (one) year
term. The same person can work continuously in the position of the Executive Director
no longer than for 4 (four) years.
7.2.2. The Executive Director can not be a member of any political party.
 7.2.3. The Executive Director can not act as the director of any program or project of
Caucasian House. In an exceptional case this may be permitted by the Board.
7.2.4 The Executive Director acts on behalf of the Caucasian House and represents it in relations
with third parties.
7.2.5. On the basis of a preliminary consent from the Board on behalf of the Caucasian House
concludes agreements on issues related to projects.
7.2.6. On the basis of a preliminary consent from the Board selects personnel for the staff and
presents them to the Board for approval.

7.2.7. Monitors activities of the program and project executives.
7.2.8. Is responsible for technical functionality of the premises of the Caucasian House, its
functioning and creation of necessary conditions for the implementation of projects.
7.2.9. Disposes of financial resources and material assets of the Caucasian House in agreement

7.2.10. Proposes structural and procedural innovations for the consideration by the Board.
7.2.11. Submits to the Board twice a year narrative and financial reports covering past activities.
7.2.12. Signs employment contracts in agreement with the Board.
7.2.13. The Executive Director is obliged to have a daily presence at her/his working place at
the Caucasian House, with the exceptional cases approved by the Board.
7.2.14. The Executive Director should attend all important events organized by the Caucasian
House.
7.2.15. Business correspondence of the Executive Director with other foundations and
organizations should be shared with the Chairperson and two members of the Board
shall be involved with governmental structures.
7.3 The Chairperson and Executive Director of the Caucasian House are entitled to represent
the Caucasian House in communication with third parties separately and independently,
within the scope defined by the Statute (Article added on 22.01.2017)

The governing bodies of the Caucasian House are the General Assembly and the Board.

9. General Assembly of Members

9.1. The General Assembly of the Caucasian House members (hereafter the General Assembly)
is the highest governing body of the Caucasian House, convened by the Board at least
once a year, or whenever the interests of the Caucasian House require this.

9.2. An extraordinary Assembly of the Caucasian House may be canvened on the basis of a
written request by at least one tenth of the members, or in other cases envisaged by the
Statute, with the indication of the agenda.

9.3. Members of the Caucasian House should be informed about the convening of the General
Assembly at least 2 (two) weeks prior to the meeting. The notification s in ould indicate
the meeting’s place, time and agenda; If the called Assembly is supposed to consider the
issue of the abolishment of the Caucasian House, members of the Caucasian House
should be informed about convened meeting the 30 (thirty) days before the meeting.
Respective notification can be sent by postal letter, fax or e-mail.

10. Holding General Assembly meetings

10.1. The General Assembly meeting is chaired by the Chairperson of the Caucasian House. In
the event that he is unable to exercise this right, the deputy chairperson shall preside

10.2. The General Assembly is entitled to make decisions if it is attended by more than half of
the members; Written participation in the General Assembly meeting by a member of
the Caucasian House is allowed.

10.3. Each member of the Caucasian House possesses a single vote. It is permissible to transfer
the right to vote on the basis of a written authorisation.

10.4. The General Assembly makes decisions by secret or open ballot. The voting procedure is
determined by the General Assembly itself.

10.5. The General Assembly shall make decisions by a majority vote of the members
participating in the voting.

10.6. Decision to change the statute should be adopted by a majority of 2/3 of the members
present. Decision on changing the goals of Caucasian House requires 4/5 of all votes
cast.

10.7. The decision of the General Assembly is valid if the matter on which the decision is to be
made is included in the agenda of the General Assembly. The issue, which has not been
included in the agenda, could be filed on the agenda by more than half of the members
attending the meeting.

10.8. A protocol is prepared when the General Assembly meeting is held which will indicate the
meeting place, time, number of attendees, agenda, substantive content, issues
discussed, and decisions adopted. The protocol is signed by the Chairperson and the
Secretary of the Assembly.

C) Election of the Chairperson of the Board (aka the Chairperson of the Caucasian House) from among
the Board members;
D) Electing the Board members;
E) Expulsion of a member out of the Caucasian House in cases provided by the Statute;
F) Taking decision on reorganization or liquidation of the Caucasian House;

H) Approval of the provisional annual plan of activities of the Caucasian House presented by the Board;
I) Making decisions on other issues, in accordance with the law and the Statute.

12. The Board of the Caucasian House

12.1. The Board of the Caucasian House (hereinafter referred to as "Board") is the governing body of the
Caucasian House during the periods between General Assembly meetingss.

12.3. The Board members are elected by the General Assembly for 4 (four) years; Their jurisdiction lasts
until the new board is elected.
12.4. A person may be elected as a board member althogh s/he may not attend the General Assembly if
a document confirming her/his consents to be elected as a Board Member is i presented to the
Assembly.
12.5. A member of the Board may be withdrown from the Board befor her/his term has expired by the
decision of the General Assembly if there exists reasonable grounds for such decision.
12.6. The Board should present a report to the Generakl Assembly on the state of afairs regarding the
property of the Caucasian House.
12.7. The Board is responsible for protecting and taking care of the property of the Caucasian House.
12.8. The Board member is allowed to be involved in various ongoing projects of the Caucasian House,
and receive appropriate remuneration.

13. Board meetings

13.1. Board meetings are convened by the Chairperson of the Board (Chairperson of the
Caucasian House) and in case of her/his absence – by one of the members of the Board.
13.2. Board meetings should be convened at least once in every six (6) months. An
extraordinary meeting may be convened on the basis of a written application of the
Chairperson of the Board (Chairperson of the Caucasian House), as well as 1/4 (one
fourth) of the Board members.
13.3. Board members should be notified about the Board meeting and its agenda for at least
three days before the actual meeting of the Board.
13.4. The Board is entitled to make decisions if it is attended by more than half of its members.
If any member fails to attend the meeting, s/he may submit vote on the issue in question
in writing, or transfer the voting right to other member of the Board by a formal
authorization letter. A member of the Board shall notify the chairperson of the Board for
at least one day before holding the session about her/his intention.
13.5. Each member of the Board possesses only one vote when making a decision. Decision are
made by a simple majority of the members present. If votes are divided evenly, the vote
of the Chairperson of the Board is decisive.
13.6. Minutes of the meeting sshould be drawn up, and signed by the Chairperson of the Board
(Chairperson of the Caucasian House) and in case of absence - the person who chaired the
meeting and the secretary.

present their assessment at the Board meeting.

The Board is entitled to:
a) Ensure the implementation of statutory goals;
b) Consider and approve the directions of activities and various projects carried out by the
Caucasian House;
c) Approve project coordinators;
d) Define functions of the Board members;
e) Admit the full and honorary members of the Caucasian House;
f) Convene the General Assembly meetings in the cases determined by the Statute;

g) Establish commercial legal entities of private law and decide on the issue of equity

h) Dispose real estate owned by the Caucasian House in accordance with the decisions of the

I) Approve the structural units o0f the staff and policies on salaries and remunerations;
J) Establish subsidiary branches, approve their charters;
k) Manage the liquidation of the Caucasian House;
l) Approve designs of the seal, the stamp, and the membership card of the Caucasian House;

15. Property of the Caucasian House

15.1. Property of the Caucasian House derives from:
A) Membership fees;
B) Dividends received from societies established;
C) Donations by other organizations and citizens;
D) Other sources, not prohibited under applicable law.
15.2. Property of the Caucasian House can be used solely for the goals defined in the Statute.
15.3. Members of the Caucasian House do not receive any share from the property of the
Caucasian House. Any profit earned is spent only on the goals of the Caucasian House.

16. Reorganization and dissoltion (liquidation)

16.1. The reorganization of Caucasian House (accession, merger, division, separation,
transformation) is carried out in accordance with the law.
16.2. The Caucasian House is dissolved in the following cases:
A) In case of bankruptcy or revocation of registration;
B) By decision of the General Assembly;

C) In any other cases prescribed by law.
16.3. Revocation of memberswhip by any member of the Caucasian House will not result in the
dissolution of the Caucasian House unless the member’s withdrawal causes the
reduction of the number of members below minimum required under law. In this case, a
new member of the Caucasian House should be admited before the withdrawal enters
into force.
16.4. Liquidation of the Caucasian House is carried out by the Board.
16.5. Liquidation of the Caucasian House is carried out in accordance with the regulations
established by the law.
16.6. In case of liquidation of the Caucasian House, the ongoing activities must come to end,
liabilities should be determined, the remaining property should be evaluated in
monetsary form, creditors should be satisfied, and the remaining property should be
distributed to the authorized persons.
16.7. All property remaining after the liquidation of the Caucasian House will be transferred to a
non-profit organization with the same or similar goals.

17. Settlement of disputes
17.1. The dispute arising between members of the Caucasian House, and the Caucasian House,
and also between its members will be settled on the basis of mutual agreement. In case
of impossibility of coming to agreement, the dispute will be decided by the court.
17.2. Any dispute between the Caucasian House and a third party should be settled according
to the applicable legislation.

18. Final provisions

18.1. The invalidation of any of the provisions of the present Statute shall not invalidate the
entire Statute. The same rule applies when any shortcomings are discovered within the
Statute.
18.2. In order to replace the invalid provision or der to correct the deficiency, an appropriate
resolution should be agreed upon in accordance with the will of the members of the
Caucasian House, as well as in agreement with the essence and goals of the Statute.
18.3. The Statute enters into force on the date of registration.
