described shares to HP O’ NIEL TRADING AND CORPORATION.

TRADING CORPORATION, to register the foregoing sale in its Stock Transfer Book and
sell, transfer and convey said title to the corporation or to any third person.

shall be assigned to the YUJI OISHIDA

I further convenant that I am the absolute owner of said THREE HUNDRED FORTEEN

(314) shares of stock, and I have the right to sell, assign, and transfer the title and
ownership of above-described shares to PHIL-KANSAI GLOBAL VENTURES, INC..

It is also understood by this DEED OF ASSIGNMENT AND WAIVER OF SHARES OF

STOCKS that I hereby authorized the Corporate Secretary of PHIL-KANSAI GLOBAL
VENTURES, INC. to register the foregoing sale in its Stock Transfer Book and sell,
transfer and convey said title to the corporation or to any third person.

shares of stocks in the PHIL-KANSAI GLOBAL VENTURES, INC. of which have been
paid and shall be assigned to the YUJI OISHIDA.

I further convenant that I am the absolute owner of said FIVE HUNDRED

EIGHTY FIVE (585) shares of stock, and I have the right to sell, assign, and transfer the
title and ownership of above-described shares to PHIL-KANSAI GLOBAL VENTURES,
INC..

It is also understood by this DEED OF ASSIGNMENT AND WAIVER OF
