MEMORANDUM OF UNDERSTANDING

THIS MEMORANDUM OF UNDERSTANDING is entered into on 3rd January 2019 by and between
FOCUS PROJECTS AND CONSULTANTS (herein afterwards called as M/s.FOCUS),a corporation
organized and existing under the laws of India, having its registered address at No. 2/ 14, Home
Finder’s Estate, No. 75/ 2, ThiruvalluvarSalai, Ramapuram, Chennai – 600089, Tamilnadu, Indiaand
working office at Ground Floor, No. 75, Thiruvalluvar Street, Valasaravakkam, Chennai – 600 087,
Tamilnadu, India including its affiliates (“Mr.Velpandian. M”) whose Udyog Aadhaar and GST
Certificates are attached herewith and

Mr. Sharad V. Naik(herein afterwards called as Mr.S. V. NAIK) an experienced Freelance Technical
consultant, havinghis residential address at B-1003, Treasure Park, Sant Nagar, Parvati, Pune
411009 and whose Aadhaar Details are attached herewith.

This Memorandum of Agreement establishes the guidelines for collaboration between FOCUS and
Mr. S. V. NAIK for winning and executing the project Feasibility Report for Crude oil and Petroleum
Products Cross Country Pipelines from M/s. CRISIL / Client who has their Office address at Mumbai,
on the following terms and conditions:

1. Mr. S. V. NAIK will act as independent technical consultant to M/s. FOCUS for preparing this
report.
2. Mr. S .V. NAIK’s activities will include the following:
a. Represent M/s. FOCUS to M/s. CRISIL for this project until award of contract to M/s
FOCUS.
b. Establish and maintain co-ordination / communication with M/s. CRISIL till project award,
c. Share technical inputs/ literature with M/s. FOCUS,
d. Attending meetings with M/s. CRISIL / Client,
e. Review and provide necessary comments on the techno commercial offer prepared by
M/s. FOCUS.
f. Submitting the proposal to M/s. CRISIL.
g. Review and provide comments on the draft and final version report (technicality and
general aspect) prepared by M/s. FOCUS.
3. Until the project is awarded to M/s. FOCUS by M/s. CRISIL / CLIENT, Mr. S.V. NAIK will
establish a single point of co-ordination with CRISIL/ Client.

4. M/s. FOCUS shall not entertain any directly or indirectly communicate with M/s. CRISIL /

CLIENT till the project is awarded.

5. After award of contract, M/s. FOCUS will directly communicate with M/s. CRISIL/ Client
through email and CC to Mr. S. V. NAIK of all communications.
6. Final responsibility of project report to M/s. CRISIL/Client lies with M/s. FOCUS.
7. M/s. FOCUS, shall issue the final offer on their letter head to M/s. CRISIL through Mr. S. V.
NAIK.
8. M/s. FOCUS and Mr. S V Naik shall estimate and indicate the price and other terms and
conditions in the draft offer.
9. Mr. S.V. NAIK will review the draft offer and indicate his price and other terms and conditions
and send it back to M/s. FOCUS.
10. M/s. FOCUS will send the final techno commercial offer to Mr. S.V. NAIK for him to issue the
same to Ms.CRISIL. 
11. M/s. FOCUS shall not disclose the name of Mr. S.V. NAIK in the final offer being sent to M/s.
CRISIL.
12. Mr. S V Naik will be part of M/s FOCUS technical team. And M/s. Focus may put in offer that
“Mr. S V Naik is appointed as technical consultant by M/s. FOCUS for this project.”
13. The offer shall be addressed to ,

14. Work order / purchase order will be directly issued to M/s. FOCUS by Ms.CRISIL.
15. All payments will be made directly to M/s. FOCUS by Ms.CRISIL.
16. After receipt of the payment M/s. FOCUS will in turn make the payments to Mr. S.V. NAIK his
due amount as per this MOU and final negotiated price per work order of this project.
IN WITNESS WHEREOF, the Parties have caused this Agreement to be executed by their duly
authorized representatives on the day first above written.
