TERMS OF AGREEMENT

This agreement is made on___________________________between_____________________________________

(hereinafter called the “CLIENT” which expression shall include its successors and assigns where the context so
admits)of the one part and Calla Marketing company with its head office at Nairobi, Kenya, which expression shall
include its successors and assigns where the context so admits) of the other part.

WHEREAS;

1. CALLA MARKETING is a Web Solutions Company, with a focus on providing digital marketing
technology solutions to a wide range of clientele in the form of a Booster Pack.
2. ______________________________has requested CALLA MARKETING to provide this service to it
and CALLA MARKETING has agreed.

3. The parties propose to co-operate and to enter into certain commitments and to regulate the exercise
of their respective rights and obligations upon the terms and subject to the conditions of this
Agreement

NOW THE PARTIES HEREBY AGREE AS FOLLOWS:-

1. Definitions and interpretation

In this agreement unless the context otherwise requires, the following terms, expressions and
abbreviations shall have the meanings ascribed to them as stated below:

a. “Authorized signatory” means signatures of authorized signatories of the client,

c. “Payment” Means by cheque or Cash
2. The CLIENT’s obligations

2.1 The client shall provide CALLA MARKETING with necessary information to help in the digital marketing
process.
2.2 The client shall pay------------------------- including vat. First they will pay the half payment
which is ----------------------and the rest ---------------------- will be paid after the submission of the
report.
2.3 The client shall communicate future updates to CALLA MARKETING.
3. CALLA MARKETING’s Obligations
3.1 CALLA MARKETING shall issue a Performa invoice which will clearly show the purchase price.
3.2 CALLA MARKETING shall process the order and begin the necessary digital marketing services
immediately i.e. Social Media Marketing and Search Engine Marketing (SEM) after receiving the
commitment fee.
3.3 CALLA MARKETING will increase traffic clicks to _______________________website and social
media page for the duration of the contract.
3.4 CALLA MARKETING will provide reporting on the performance of the campaigns
3.5 CALLA MARKETING will provide the client a tracking code to place on their website to monitor the
performance of the campaigns

4. Duration of the Agreement

This Agreement shall commence on ________________________and shall be in existence for--------------
unless terminated under the provisions herein.
 5. Termination
a. This Agreement may be terminated by either party upon the following grounds:
i. Where any party commits any material breach of any of its obligations
ii. Giving to the other party thirty days (30) notice written notice.
iii. An order is made or a resolution is made for the winding up of either party other than
for the purpose of a bona fide reconstruction and amalgamation.

6. General Provisions
a. This Agreement supersedes all prior contracts, arrangements and understandings between the parties
and constitutes the entire agreement between the parties relating to the subject matter hereof.
b. CALLA MARKETING undertakes to maintain the confidentiality of all service materials provided to it by
the client and any other information and materials of any nature provided to it by the client in relation
to this Agreement
c. The client undertakes to maintain in confidence any information or materials provided to CALLA
MARKETING by virtue of this Agreement.
d. If any part of this Agreement becomes invalid, illegal or unenforceable by the parties the part shall be
deemed deleted but shall in no way affect the enforceability of the agreement.
e. Save as expressly provided herein, no amendments or variation to this Agreement shall be effective
unless in writing and signed by the authorized signatories of both parties.
