CONTRACT TO SELL
 
KNOW ALL MEN BY THESE PRESENTS:

This CONTRACT TO SELL made and executed this ___ day of November, 2017 by and between:

ERLINDA LIM PERRY, of legal age, Filipino, and with residence and postal address at 5094
Barry street Oceanside California 92057, hereinafter referred to as the "SELLER/VENDOR";

-AND-
 
        GERRY Q. GUEVARRA, Filipino and with residence and postal address at Yuson,
Subdivision, Sapang, Jaen, Nueva Ecija hereinafter referred to as the "BUYER/VENDEE".
 
WITNESSETH;
 
        WHEREAS, the SELLER/VENDOR is the absolute and registered owner of a two parcels
of land consisting of 2.2 hectares more or less, located at SITIO MINDANAO, BRGY.
DAMPULAN, JAEN, NUEVA ECIA and boundaries are owned by the following persons: Pablo
Cudia (N), Erlida Fernando (S) and Amang Del Rosario (W).
 
        WHEREAS, the BUYER/VENDEE has offered to buy and the SELLER /VENDOR has
agreed to sell the above mentioned property under the terms and conditions herein below set
forth;
 
        NOW THEREFORE,  for and in consideration  of the total sum of One Million Nine
Hundred Fifty Thousand (Php: 1950,000.00) Philippine Currency, and of the covenants herein
after set forth the SELLER/VENDOR  agrees to sell and the BUYER/VENDEE agrees to buy
the aforesaid property subject to the following terms and conditions: 
 
1. The total consideration shall be One Million Nine Hundred Fifty Thousand  (Php:
1,950,000.00) PESOS, Philippine Currency, payable as follows:

a. The amount of Fifty Thousand (PHP; 50,000.OO) shall be paid in cash on or before
November 2017 (earnest money) and shall be received by Ptr. Boyet Gonzales, Filipino,
of legal age and resident of Brgy. Dampulan, Jaen, Nueva Ecija as trusted
representative of the seller
 
b. The remaining balance in the amount of ONE MILLION NINE HUNDRED THOUSAND
(Php: 1,900,000.00) PESOS, shall be paid in Cash on or before MARCH 2018 and shall
be received by Mrs. Erlinda Perry (SELLER/VENDOR)

2. Upon the payment of earnest money (50,000.00), the Land Titles shall be handed to
the BUYER/VENDEE as form of security for any third person who may have interest
to subject property therein;

3. Possession to the subject property shall be delivered by the SELLER/VENDOR to


the BUYER/VENDEE on or before April 2018 upon the expiration of rental agreement
(after the harvest of rice planted therein) between the SELLER and CERTAIN NAME:
MANG PACIO. However when the said rental agreement does not expire later than
April 2018, the BUYER as the new owner of the land reserve all the rights to take over
the rental contract over the subject property.

4. In case of any question may rise due to digital transmittal of agreement between
SELLER and BUYER, the both parties agree to use the transcript of all chat exchanges
made through Facebook and Email accounts in any court of law.

5. Upon full payment of the total price, the SELLER/VENDOR shall sign and execute
a DEED OF ABSOLUTE SALE in favor of the BUYER/VENDEE. The
SELLER/VENDOR shall likewise execute and/or deliver any and all documents,
including but not limited to the original copy of Transfer Certificate of Title, Tax
Declaration and all other documents necessary for the transfer of ownership
from SELLER/VENDOR to the BUYER/VENDEE.

 
IN WITNESS WHEREOF, the parties have hereunto affixed their signatures, this ___ day of
