PURCHASE AGREEMENT

I/We _________________________________________, hereby manifest my/our intention and offer to purchase from Carland Realty
Development Corp. (the “Seller”) the following property (the “Property”) and request that the Property be appropriated to us:

For a Total Contract Price (TCP) of PESO: _______________________________________(PHP_____________),Philippine Currency (the


“TCP”), exclusive of value-added tax and other charges to be paid by me/us in the manner chosen by me/us as indicated in the attachment Annex
A. I/We understand that the TCP as aforesaid is valid only for the preferred payment scheme which I/We have selected herein and for the manner
of payment stated in Annex A. Should I/We decide to change the property mentioned above and/or manner of payment chosen by me/us, such
change will be effective only upon the written approval of the Seller, and will also result in a change in the TCP and an amendment of the
attached Annex A. I/We hereby request that the property be reserved for me/us and for this purpose. I/We understand and agree that my/our
purchase for the property is subject to the following:

TERMS AND CONDITIONS:

1. In the event that I/we avail myself/ourselves of bank financing for the Purchase Price or any portion thereof, I/we shall be solely
responsible for filing the requisite loan application form prescribed by the bank, together with all the necessary supporting requirements/
documents for the processing of my/our loan application for the purpose of causing the release of the loan proceeds to be used to finance my
purchase of the Property within the payment period prescribed under my/our chosen payment scheme.

2. Should I/we choose to purchase the Property under Pag-Ibig Financing with the assistance of the Seller, I/we undertake to submit to the
Seller the completed application form prescribed for purchase under the Pag-Ibig Financing (the Application”) not later than (7) days from
the date of this Agreement, and with all requirements, documents and information required to be submitted and/or furnished in connection
therewith. This Agreement shall be without force and effect and shall be deemed cancelled, without need for notice, in case I/we fail to
submit the Application and all requirements, documents and information within the seven-day period aforesaid, and my/our first equity
payment for the property shall be forfeited in favor of the Seller. I/We undertake to submit a full credit investigation which may be caused to
be conducted at the option by the Seller and Pag-Ibig in connection with my/our Application.

a. In the event that my/our Application is approved by the Seller, I/we agree to settle the SRI, Doc Stamps, Fire Insurance, Appraisal Fee
(“Advances”) and Interim MRI of my/our property which was advanced to Pag-Ibig by the seller by settling in cash and/or submitting
the post dated checks covering the installment payments of the said advances due.

c. In the event that my/our Application is disapproved, I/we understand that I/we will no longer be able to purchase the Property under the
Pag-Ibig Financing but only under any of the following payment schemes which may be prescribed by the Seller: (a) cash scheme,
whereby I/we agree to pay the Purchase Price and other taxes, costs, expenses and charges in full on the date specified by the Seller; or
(b) any other payment scheme other than those covered by the In-House Financing Program. I/we shall notify the Seller in writing of
my/our decision to purchase under the relevant payment scheme within 7 days of receipt of such notice of disapproval. It is understood
that should we decide to cancel the purchase due to the disapproval, subject to the seller’s approval, the refund computation shall be as
follows; all payments less: (i) the Reservation Fee, which shall be forfeited in favor of the Seller; (ii) real estate broker’s commission, if
any; (iii) any unpaid, charges and dues on the property.

3. That in the event that I/we shall fail to pay any of the amounts due under the applicable payment scheme which I/we have chosen in
relation to my/our purchase of the Property for three (3) consecutive months, or fail to comply with my undertakings hereunder, an interest
penalty at the rate of 3% per month (or fraction thereof) of delay of the unpaid amount due under my/our chosen payment scheme.

4. It is understood and agreed that the Seller may, subject to their approval, following my/our submission of a refund request in writing,
allow me/us to cancel the purchase of the property, subject to the fulfillment of this condition: (a) I/we am/are not in default in the
performance of my/our obligations in this Agreement. Further, I/we agree that the refund amount shall be computed as follows; all payments
less: (i) the Reservation Fee, which shall be forfeited in favor of the Seller and applied as liquidated damages; (ii) an amount equal to 5% of
the purchase price as liquidated damages; (iii) real estate broker’s commission, if any; (iv) any unpaid, charges and dues on the property.

5. I/We hereby undertake to execute the contract to sell upon my/our payment of the relevant down payment, and the deed of absolute sale
upon my/our full payment of the Purchase Price and all amounts due on my purchase of the Property, such contract to sell and deed of
absolute sale being in the form and under the terms prescribed by the Seller.

6. I/We understand and agree that this Agreement only gives me/us the right to purchase the Property subject to the fulfillment of the
conditions herein stated. No other right, title or ownership is vested upon me/us by the execution of this Agreement. The Seller retains title
and ownership of the Property until I/we shall have fully paid amounts due to the Seller by the reason of my/our purchase of the Property.

7. I/We agree and understand that my/our purchase of the Property is subject to the covenants and restrictions specified in the Project’s
Deed of Restriction, as applicable, which will be annotated on the corresponding certificate of title to the Property as a lien thereon, and
which covenants and restrictions I/we undertake to faithfully and strictly comply with. My/Our undertaking and confirmation herein
constitutes an essential consideration of the sale by the Seller of the Property to me/us and all other agreements executed in connection
therewith.

8. Pursuant to the relevant laws, I/we also hereby authorize the developer of the Project to organize the project’s Homeowners Association.

9. It is understood and agreed that the Seller may, in its discretion, following my/our submission of a request in writing, allow me/us to: (i)
transfer this purchase to another individual, (ii) transfer this purchase in favor of another property of the Seller whether in the same or
another project, (iii) change certain payment terms, subject to the fulfillment of the following conditions: (a) I/we am/are not in default in the
performance of my/our obligations in this Agreement, (b) I/we shall pay the administrative or processing fees prescribed by the Seller; (c)
I/we shall submit and/or execute such amendatory and other documents as may be necessary or required to effect the transfer or the transfer
or change in any payment terms: and (d) any and all taxes, cost and government assessments (if any) arising or resulting from any such
changes shall be for my/our sole account and for which I hereby undertake to indemnify the Seller.

10. I/We warrant that the information which I/we provide herein, whether personal or corporate, is true and correct as of the date hereof and
agree directly and personally inform the Seller in writing of any changes in my/our personal data such as but not limited to name, address
and/or status. It is understood that the Seller shall have the right to solely rely on the information provided by me/us and shall not be held
responsible from any error, non-communication or miscommunication in the personal information given by me/us. I/We also warrant that
the funds used and to be used in purchasing the Property is/has been and will be obtained through legitimate means and do not and will not
constitute all or part of the proceeds of any unlawful activity under applicable laws. I/We hereby hold the Seller free and harmless from any
incident, claim, action or liability arising from the breach of my/our warranties herein and hereby authorizes the Seller to provide to any
government body or agency any information pertaining to this sale and transaction if so warranted and required under existing laws.

YOUR SIGNATURE/INITIALS ON THE ALTERED PORTION/S.

OTHER REQUIREMENTS- The following requirements are to be submitted by the buyer prior to the execution of the
Contract to Sell or the Deed of Absolute Sale, as applicable:

A.FOR INDIVIDUAL BUYERS-

1. For purchase of land- if the buyer is a Filipino citizen married to a foreigner, the foreigner/spouse must execute and deliver an
affidavit stating that the funds to be used for the purchase of the property are the paraphernal funds of the Filipino spouse. The
affidavit shall be signed in triplicate and shall be notarized. If accomplished abroad, the affidavit must be consularized.

2. If a buyer is legally separated, or his/her marriage has been annulled or declared null and void, he/she must submit 3 certified
true copies of the final and executor decision of the court granting the legal separation or annulment or declaring the marriage
null and void.

3. If a married buyer wants to indicate that there is a separation of properties between himself/herself and his/her spouse, he/she
must submit 3 certified true copies of the final and executor decision of the court granting the separation of the properties.

4. If the property is purchased by a minor, the parent/guardian must submit 3 certified true copies of the final and executor order
of the court approving the posting of the bond required under Article 225 of the Family Code and, as applicable, the court order
appointing the representative as a guardian.

5. If a buyer is transacting through an attorney-in-fact, he/she must submit 3 original and notarized copies of the Special Power of
Attorney. If accomplished abroad, the copies must be notarized and consularized.

6. If a buyer is a natural-born Filipino who has lost his/her Philippine citizenship, he/she must submit 3 original and notarized
copies of the affidavit showing the date and place of his/her birth, the names and addresses of his/her parents, the date he/she lost
his/her Philippine citizenship, and the country of which he is presently a citizen, his/her spouse and children, if any, the area, the
location and the mode of acquisition of his/her landholdings in the Philippines, if any, and his/her intention to reside permanently
in the Philippines. 3 original and notarized copies needed. If accomplished abroad, the copies must be notarized and consularized.

7. Photocopy of the BIR Form 1904 – Taxpayer’s Record Update (TRU)

8. For property located in Quezon City which is being purchased by buyer-spouses who are both Filipinos, married on or after
August 1, 1988, and the buyer(s) prefer(s) that the property be registered in the name of one spouse “married to” the other, 3
certified true copies of the Ante-Nuptial Agreement must submitted.
9. A photocopy of passport for foreigner(s) and Filipino(s) living and/or working abroad.

10. If a buyer is residing outside the Philippines but the document is signed in the Philippines, a photocopy of the page in the
passport showing date of entry in the Philippines must be submitted; and/or (ii) and if the buyer purchases the property in
installments, the buyer should provide the seller with the name of the person and address where service of notices and legal
processes in the Philippines could be served upon the buyer.

11. If the payer in a purchase of property on installments under the In-House Financing Program of the Seller is not the buyer
named in the sales agreements, the payer and the buyer shall be required to execute and submit 3 original copies of a Joint and
Solidarity Undertaking, attesting to the joint and solidarity obligation of the buyer and the payer for the purchase. The Joint and
Solidarity Undertaking should be notarized and, if executed outside of the Philippines, must be consularized.

12. Original policy and proof of assignment to Contempo Property Holdings, Inc. of the credit life insurance, as applicable.

13. A duly accomplished Non-Medical Questionnaire in duplicate must also be submitted, if required.

B. FOR CORPORATE BUYERS-

1. 2 copies of the Certificate of Registration, Articles of Incorporation/Partnership/Association and By-Laws of the corporation
as registered in the Securities and Exchange Commission duly certified by the Securities and Exchange Commission or the
Corporate Secretary of the Corporation.

2. 2 original copies of the Secretary’s Certificate, attested under oath, of the valid Resolution of the Board of
Directors/Governors/Trustees authorizing the purchase and mortgage (if through financing) of the property and its terms
designating and appointing the official authorized to negotiate and sign documents on behalf of the corporation.

3. For purchase of land, 2 original and notarized copies of a certification under oath by the Corporate Secretary/Treasurer of the
corporation to effect that: 60% or more of the outstanding capital stock of the corporation is owned by Filipino(s).

4. For purchase of condominium units, 2 original and notarized copies under oath by the Corporate Secretary of the corporation
as to the nationality of its stockholders.

5. Photocopy of BIR Form 1903 – Taxpayer’s Record Update (TRU)

6. If the address in contract is abroad but the document is signed in the Philippines, a photocopy of the page in the authorized
signatory’s passport showing date of entry in the Philippines must be submitted.
