This Agreement, made and executed this _____day of _____ ______ by and between:
LHOOPA INC., a corporation duly registered at the Security and Exchange Commission and existing in
accordance with the Philippine Laws, with postal address at 903 Paragon Plaza
Building, Mandaluyong City, represented by its Corporate Secretary, SABRINA C. TAN, hereinafter
referred to as the "SELLER";
-AND-
_______________________, _________, of legal age, Filipino and with residence and postal
address at______________________________________________, hereinafter referred to as the
"BUYER".

For the purpose of this Agreement, the right to reserve herein contemplated does not automatically
obligate the SELLER to sell the PROPERTY to the BUYER, as the BUYER’s ultimate capacity to
purchase said property will be determined only after careful evaluation and review of BUYER’s
qualification documents and financial status.
1. The BUYER shall pay a NON-REFUNDABLE Reservation Fee in the amount of
________________________________ (Php _______), deductible to the Down Payment to indicate
intention to purchase the PROPERTY. If the BUYER subsequently and unilaterally withdraws, for
whatever reason, after execution of this Agreement and payment of the Reservation Fee, the latter shall be
forfeited in favor of the SELLER.
2. The BUYER shall submit all applicable loan documents and requirements (see ANNEX A for list of
documents required), within thirty (30) days from Reservation date; otherwise, the reservation shall be
automatically forfeited and the PROPERTY shall be re-opened for sale.
3. The SELLER shall provide a Computation Sheet to be signed by the BUYER on the Reservation date.
The Computation Sheet will delineate the Down Payment that must be paid (10% of Total Contract
Price), the schedule of payment, and the equivalent monthly fees. Defaulting in the payment of the
monthly fees/ down payment in accordance with the specified payment schedule shall result in the
automatic cancellation of this Agreement and forfeiture of all payments made up until that point in favor
of the SELLER. Cancellation also means that the BUYER loses the reservation on the PROPERTY and
this will be re-opened for sale.
4. The BUYER will be given a grace period of three (3) working days from Down payment due date to
settle the monthly amount due. Non-payment within the prescribed grace period will be considered as
overdue amount and will incur a 5% penalty charges based on the total amount due.

5. It is understood by the BUYER that Reservation is non-transferrable. Any transfer made by the
BUYER without the written approval by the SELLER shall cause the automatic cancellation of the
Reservation and forfeiture of any and all payments made in favor of the SELLER.
6. Before the full payment of the Down Payment, the BUYER must have already submitted
COMPLETELY all the documents necessary for application of financing/loan. As soon as the full Down
Payment is paid, the BUYER must immediately (and latest within 5 days after full DP payment) process
the documents for the application of the loan. Failure to submit the documents for the loan application in
the prescribed timeline and/or failure to process the documents in Pag Ibig/bank in the prescribed timeline
will result in the automatic cancellation of the reservation on the PROPERTY; all payments made up to
that point will be forfeited in favor of the SELLER and the PROPERTY will be re-opened for sale.
7. After full payment of the Down Payment and submission of complete requirements for loan
application, the SELLER will issue a Contract to Sell (CTS) to the BUYER.
8. Upon submission of housing loan application to Pag ibig, the BUYER is required to pay the processing
fee amounting to Php 3,000.00 at Pag ibig office.
9. If the application of the BUYER through applicable housing loan program or institution is disapproved
without fault of the SELLER, the BUYER shall have the option to pay it in Cash within thirty (30) days
upon notice of disapproval. Failure to pay the 90% remaining balance in Cash within the thirty (30) days
period will result in the forfeiture of the total payments made in favor of the SELLER and automatic
cancellation of BUYER account with SELLER; the property will then be re-opened for sale. If the
reason for the disapproval is due to fraud, misrepresentation or falsification of documents made by the
BUYER, the SELLER shall have the right to automatically cancel this Reservation Agreement and all
payments made up until that point shall be automatically forfeited in favor of the SELLER; property
will be re-opened for sale.
10. In case the approved housing loan by the accepted financing institution is lower than the amount
applied for, the BUYER hereby agrees to settle the loan difference to the SELLER within fifteen (15)
calendar days from receipt of notice of approval. Failure of the BUYER to pay the amount required
herein shall entitle the SELLER to cancel this Reservation Agreement and all payment made up until that
point shall be forfeited in favor of the SELLER; property will be re-opened for sale. .
11. Upon receipt of Notice of Approval and Letter of Guaranty: SELLER will issue Deed of Absolute
Sale to BUYER and begin title transfer process.
12. The Capital Gains Tax, Documentary Stamp Tax and Real Estate Tax shall be for the account of the
SELLER. However the Transfer Tax, Registration Fee and other registration expenses shall be for the
account of the BUYER. Also the Documentary Stamp Tax on the Loan Mortgage Agreement between
Pag ibig and buyer will be for the account of the BUYER. Also, the MRI and Fire Insurance that Pag ibig
will automatically deduct to the loan proceeds will be paid by the BUYER to the SELLER on/or before
the release of loan proceeds check.
13. The PROPERTY shall be turned over to the BUYER after full payment of the 90% balance of the
Total Contract Price amounting to ________________________________ (Php _______). The SELLER
shall execute Authority to Move-in to the BUYER.
14. Any repairs that need to be made on the property to pass appraisal inspection of the loan provider will
be for the account of BUYER unless previously otherwise agreed with SELLER. BUYER must then sign
Repair work MOA with SELLER and complete repairs on property within a prescribed timeline so as not
to delay the appraisal and loan approval process. Inability of BUYER to fund, start or complete such
repairs within prescribed timeline may result in cancellation of this Agreement; all payments made until
that point will be forfeited to SELLER and property will be re-opened for sale.
15. The BUYER understands that the PROPERTY is subject to final measurement and agrees to be
bound by any changes in the area resulting from the actual changes in the PROPERTY due to renovation
works.
16. The BUYER hereby certifies that he/she has personally inspected the plans and specifications of the
PROPERTY subject of this Agreement and finds them satisfactory. The BUYER also understands that

any and all representations or warranties made by the agent shall not bind the SELLER unless these are
put into writing.
17. The BUYER agrees to purchase the PROPERTY as is where is, and is aware that the PROPERTY
is pre-owned with its own pre-existing conditions that the SELLER shall not be held accountable or
liable for. If in case renovations will be made by SELLER on the PROPERTY, BUYER agrees to
purchase it with the renovations made, but still as is where is, and still with the awareness that the
PROPERTY is pre-owned with its own pre-existing conditions that the SELLER shall not be held
accountable or liable for.
18. The SELLER has the right to automatically cancel this Reservation Agreement without further notice
based on the following grounds:
a. Failure of the BUYER to pay any one of the monthly installments or down payment, without need
of notice or demand from the SELLER;
b. Failure of the BUYER to sign, submit and/or deliver any and all pertinent documents required
under this Agreement or as may be required by the SELLER for the purchase of the PROPERTY;
c. Withdrawal of the BUYER for any reason whatsoever;
d. Failure of BUYER to comply with any of the stipulations made above / in this Agreement;
e. Fraud, misrepresentation or falsification of documents made by the BUYER, and
f. Other causes which the SELLER may deem proper and justified under this Agreement or
applicable
laws.
19. In case of devaluation or depreciation of the Philippine currency due to any cause, the basis of
computation of the total consideration shall be adjusted accordingly to correspond to the value of the
Philippine peso at the time of the execution of the Deed of Absolute Sale.
20. The SELLER will transact only with the buyer or its representative duly authorized by a notarized
Special Power of Attorney. No other person will transact with the SELLER on behalf of the BUYER or
its authorized representative.
21. The BUYER warrants that all personal details disclosed to the SELLER in the Buyer’s Information
Sheet and other loan and/or purchase documents are true and correct. For any subsequent changes
relevant to the sale, the BUYER shall inform the SELLER in writing of any and all changes.
22. In case of any conflicts or legal disputes, the Parties shall use their best efforts to settle amicably all
disputes arising out of or in connection with this Agreement or the interpretation thereof. Any dispute
between the Parties as to matters arising pursuant to this Agreement, which cannot be settled amicably
shall be settled by arbitration in accordance with the laws of the Republic of the Philippines in force of
the date of the filing of demand for arbitration. If, for any reason, the stipulation for arbitration is not
given full force and effect, the Parties hereby submit any dispute or matter arising out of or connected
with this Agreement to the courts of appropriate jurisdiction of Taguig City, to the exclusion of all other
courts.
23. The BUYER represents that he/she has read and fully understood all the provisions of this
Reservation Agreement and obligates himself/herself to follow the conditions herein set forth.
24. This Reservation Agreement shall not be modified or amended unless in writing and signed by both
parties.
