SOLAR SERVICE AGREEMENT

THIS AGREEMENT is made on the 1st April 2018.

SRI LANKA
(Hereinafter called the “Customer”)

WHEREAS The Customer is of the opinion that Nikini has the necessary qualifications, experience, and
abilities to provide Maintenance Services for the Solar PV System (hereinafter called Solar PV System)
installed in the Customer’s Premises situated at NSBM Green University Town, Mahenwaththa ,Pitipana
,Homagama,Sri Lanka. (Hereinafter called “Premises”).

AND WHEREAS Nikini is agreeable to providing such Maintenance Services to the Customer on the
Terms and Conditions set out in this Agreement.

NOW IT IS HEREBY AGREED as follows:

1. PREVENTIVE MAINTENANCE SERVICES:

1.1 FREQUENCY OF SERVICE:

Nikini’s Field Service Engineer and/or Service Technicians shall visit the Customer’s Premises
once a month to check the Solar PV System and to perform the Scheduled Routine Maintenance
Services outlined in this Agreement.

1.2 SCOPE OF SCHEDULED ROUTINE MAINTENANCE:

- Clean solar panels to remove any dust, dirt, mould, or scum;


- Check array frames are properly secured on the roof;
- Check Solar Panels to see whether any visual damage is existing;
- Check all cable termination points from the panels through to the inverter;
- Check earthing system for signs of water egress and heat stress;
- Check beneath the Solar Panels for Pests like pigeons, crows, squirrel nests;
- Check AC/DC surge arresters to confirm functionality
- Check MCBs, MCCBs, fuses, indicators to confirm functionality
- Check Inverters for functionality
- Check dedicated air conditioning units, walkways, water lines, public displays, computers for
damages etc (if applicable)

1.3 OUTSIDE SCOPE OF SCHEDULED ROUTINE MAINTENANCE:

- Item replacement or repair does not cover under Scheduled Routine Maintenance.
- Items under warranty shall be replaced or repaired free of charge.
- Any Item that is not under warranty shall be replaced or repaired upon Customer’s approval
and payment for the said item(s) shall be made by the Customer within 14 days upon receiving
an invoice from Nikini.

1.4 SERVICE REPORT:

Nikini shall provide a Service Report to the Customer on each visit on the following areas as per
the attached Annexure.
Nikini shall provide an Inspection Report to the Customer on each visit.

2. EMERGENCY BREAKDOWN:

The Customer shall inform Nikini immediately, and Nikini shall attend within 48 hours for any
emergency breakdown. The Customer shall not be charged for Transport and labor separately for
emergency breakdown. However, The Customer shall be charged for items that are not under warranty
and payment shall be made by the Customer within 14 days upon receiving an invoice from Nikini.

3. SERVICE PERIOD:

3.1. This Agreement shall commence upon receipt of the duplicate copy of this Agreement duly
signed along with Annual Service Charge and shall be in force for a period of 12 months.

3.2. The Service Period shall begin from first date of service request to 12 visits, each per month.

3.3. Nikini shall carry out 12 scheduled service visits during the Service Period.

4. SCHEDULED VISITS

4.1. The dates for the scheduled visits shall be mutually agreed in writing by the parties hereto
at the time of signing this Agreement and shall be able to change on mutual consent after each
Service visit.

5. FACILITIES PROVIDED BY CUSTOMER

5.1. Provide reasonable access to the Customer’s Property


5.2. Provide an area reasonably adequate for storage space for materials and equipment.
5.3. Provide electrical power, water supply and sanitation to the installation crew.
5.4. Nikini shall be allowed to carry out the work between 0700h and 1800h.
5.5. Provide water supply for the all the service requirements.

6. TERMS OF PAYMENT

6.1. The Total Contract Price of this Service Agreement including labor, transport and
Engineering charges (excluding cost of service parts and Items) shall be Rupees-Four hundred
eighty one thousand, five hundred eighty seven and ninety-eight cents only
(Rs. 481,587.98) (Including 2.04% NBT & 15% VAT)

6.2. The said amount shall be paid in full before any Service can be rendered on this Agreement.

7. TERMINATION:

This Agreement shall only be terminated in writing within thirty (30) days of the Anniversary Date 31
/03/2019).

8. COMPLIANCE OF ANTI-BRIBERY AND ANTY-CORRUPTION POLICY OF THE CUSTOMER


8.1. At all times relevant to this Agreement the Customer shall ensure full compliance with all
aspects of the Anti- Bribery and Anti- Corruption Policy of Nikini.

9. GOVERNING LAW AND JURISDICTION

9.1 This agreement shall be governed and construed under the laws of Sri Lanka.

IN WITNESS WHEREOF, the parties have executed this Agreement in duplicate in the manner
