DEED CONDITIONAL ASSIGNMENT

KNOW ALL MEN BY THESE PRESENTS:

This Deed of Conditional Assignment (this “Assignment” or “Agreement”) is


made and executed by and between:

ERNIELYN VILLANUEVA, of legal age, single/married, Filipino


citizen, and a resident of Zone VII, Brgy. Labit West, Urdaneta City,
Pangasinan (hereinafter referred to as the “Assignor”;

-and-

xxxxxxxx, of legal age, single/married, Filipino citizen, and a


resident of xxxxxxx, (hereinafter referred to as the “Asignee”).

~WITNESSETH~
WHEREAS, the Assignor is the buyer in installment basis from XXXXX of
a parcel of land more particularly described as follows:

TCT No. xxxxxx

A parcel of land

WHEREAS, a house is built on the aforestated parcel of land which is


likewise being paid in installments to XXXXXX;

WHEREAS, the Assignee wishes to be assigned to the rights, and the


Assignor wishes to assign her rights, as well as obligations, in the payment, claim,
and future issuance of the transfer certificate of title to the parcel of land and the
house built thereon, pursuant to the following agreements:

AGREEMENTS
1. Purchase Price. – The parties herein agree that the Assignor shall
assign her rights to the Assignee pertaining to TCT No. xxxx and on the house
built thereon for a total amount of xxxxxxx (PH₱xxxxx.00).

2. Continuation of Installment. – By virtue of the assignment of


the rights of rights, the Assignee shall continue the payment of the installments of
TCT No. xxxx and the house built thereon until fully paid, in which event, this
assignment shall become absolute and the Assignor shall absolutely and
completely relinquish her rights to TCT No. xxx and the house built thereon in
favor of the Assignee.

3. Assignee’s Failure to Pay the Installments. – Failure on the
part of the Assignee to pay any or all of the installment payment for TCT No. xxxx
and the house built thereon shall be deemed forfeited in favor of the Assignor,
and the Assignor shall automatically reacquire the rights to the purchase, as well
as to the physical possession, of TCT No. xxxx and the house built thereon;

4. Warranty of Seller. – The Seller hereby warrants that her co-


ownership part in said parcel of land is free from any liens and encumbrances
and that the seller shall defend her title and rights transferred to the Buyer from
any claim whatsoever of any nature from third persons.

5. Fairness. – Each party has been given ample time to consider


entering this Agreement prior to the contemplated agreement and is competent
to sign the Agreement. This Agreement has been entered into voluntarily and
knowingly by each party and without fraud, force, duress, undue influence, or any
other act which would vitiate either party’s consent.

6. Necessary Documents. – Each party shall, upon the request of


the other, or any third party with an appropriate interest, execute, acknowledge,
and deliver any instrument appropriate or necessary to carry into effect the
provisions and the intent of this Agreement.

7. Governing Law. – This Agreement shall be governed and


interpreted according to the laws of the Republic of the Philippines, regardless of
any domicile established by the parties hereto or either of them, at any time.

8. Entire Understanding. – This Agreement contains the entire


understanding of the parties with respect to their rights and obligations between
themselves and no representations or promises have been made by either to the
other, except as stated and contained herein. Nothing herein shall be construed
to prevent or invalidate in whole or in part any voluntary transfer, whether inter
vivos or mortis causa, of any nature or description by a party of any interest in
that party’s property to the other.

9. Amendments. – This Agreement may be amended only by a public


instrument in writing signed by both parties in the presence of two witnesses of
legal age and sufficient discretion and acknowledged by the parties.

10. Binding Effect. – This Agreement shall inure to the benefit of and
shall be binding upon the parties hereto and their respective legal
representatives, heirs, and assigns.

11. Separability Clause. – If any provision hereunder shall be


declared null and void, invalid, voidable, or unenforceable, the remaining
provisions shall remain in full force and effect.

12. Effectivity Clause. – This Agreement shall become effective upon


the execution of this Agreement by the parties.

NOW THEREFORE, for and in consideration of the foregoing terms and


conditions and of the consideration, due and payable as herein provided, the

parties herein agree, commit, and bind themselves to comply strictly, faithfully,
and in good faith with all the terms and conditions of this Contract.

IN WITNESS WHEREOF, we hereunto set hands this ______ day of

acknowledgement is written, signed by the parties and their witnesses at the left-
