AGREEMENT
1. TERMS
Both parties to this AGREEMENT shall use their best efforts to identify and
refer job applicants to each other with experience and skills of special
interest, so that such job applicants may be considered for potential
employment with a client or agent. When either party refers a job applicant to
the other, it shall carefully screen the job applicant it refers to determine their
qualifications and competence for a suitable job opening with a client or
agent. This screening shall include determining a job applicant’s suitability for
employment based on criteria such as years of relevant work experience,
educational background, and overall ability to perform work in a suitable job.
Both parties shall have the right, in their sole discretion, to reject any job
applicant or individual referred that it deems to be unsuitable for employment.
2. COMMUNICATION
Upon request, both parties will provide an update regarding its consideration,
or the consideration of its clients or agents, of job applicants that were
referred to them by the other party. Both parties agree to refer job applicants
to each other in a suitable manner including by facsimile, electronic mail,
postal mail, or by telephone.
3. QUALIFICATION
Both parties shall appropriately screen the job applicants it refers to each
other, and make its best efforts to refer job applicants with work experience
and skills that will be of special interest to the other party. Screening may be
done through the use of interviewing, skills certification, reference checks,
testing and/or other methods to verify the qualifications of job applicants.
In the event that a job applicant referred by one party to the other is hired in
any capacity by a client or agent of the party receiving the referral, a split
placement fee equal to (percentage agreed to; i.e. 50%) of the total amount
paid by the client or agent who hired the job applicant, will be paid to the party
who referred the job applicant by the party who received the referral.
It is understood and agreed to that because one party will receive the entire
payment from the client or agent upon placing a job applicant, the party who
receives such compensation will provide payment to the other party within 10
business days of receiving payment from the client or agent. Compensation
will not be withheld to the party in waiting for any reason, including but not
limited to non-expiration of the client or agent’s replacement guarantee
period.
5. TERMINATION
The term of this AGREEMENT shall be for one (1) year beginning on the
EFFECTIVE DATE. Both parties agree that this AGREEMENT shall
automatically renew for an additional one (1) year term unless terminated, in
writing, thirty (30) days prior to its expiration. Either party may terminate this
AGREEMENT at any time, for any reason, upon thirty (30) day’s written
notice to the other party. Termination of this AGREEMENT shall not affect
any right or obligation of either party that has accrued prior to such
termination.

10. INDEMNIFICATION
Both parties indemnify and hold each other harmless for any liability,
expense, loss or damage caused by any act, neglect, default or omission
made by either party or any of its agents or employees.
11. ASSIGNMENT
Neither party may assign any rights nor delegate any duties
hereunder without the express written consent of the other party.
12. SEVERABILITY
Both parties will perform the services and duties hereunder as independent
contractors and not as an employee, agent, partner of, or in joint venture with
each other.
