DEED OF DONATION

KNOW ALL MEN BY THESE PRESENTS:

This Deed of Donation is entered this 31st day of August 2020 in Cebu City by
and between:

MANUEL DE JESUS PALABRICA, of legal age, married, Filipino and with

residence at Consolacion, Cebu, hereinafter
referred to as the DONOR

and

SHERMAN D. LEDESMA, of legal age, married, Filipino with residence at

Talamban, Cebu City, hereinafter referred to as the DONEE.

WITNESSETH:

WHEREAS, the DONOR is the registered owner of a Mitsubishi Lancer GLX;

WHEREAS, due to the generosity and appreciation of the DONOR, he wishes to

donate the said motor vehicle to the DONEE and the latter has accepted the
same;

NOW THEREFORE, in view of the foregoing premises, the parties hereto

hereby agree upon the following terms and conditions, to wit:

1. As an act of generosity and appreciation of the DONOR by these presents

hereby GIVES, TRANSFERS, and CONVEYS by way of donation unto the
DONEE the herein described motor vehicle, free from all liens and
encumbrances.

2. For the purpose of giving effect to the donation, the DONOR has reserved
for himself in full ownership sufficient property to support him in a
manner appropriate to his needs and that this donation is not made with
intent to deceive or defraud his creditors, other heirs or any third person.

3. The DONEE hereby accepts and receives this donation made in its favor
by the DONOR, and hereby manifests its gratefulness for the latter's
generosity.
