Section 2 – Introduction
2.1 About IBPS
A. Institute of Banking Personnel Selection (IBPS) is an autonomous body setup with the
vision to evolve and implement world class processes and systems of assessment and
selection of personnel for various client organizations, conduct relevant supportive
research and publicize the findings.
B. IBPS has acquired a unique distinction of being a premier national level Institute for
employment testing, admission testing, training and research related to selection and
management of human resources. It has been rendering assistance to the financial
sector in the fields of employees’ selection, promotion and placement. For this purpose
the Institute has been designing appropriate measurement tools which are both fair and
objective.
C. IBPS tasks include conducting examinations for which a full spectrum of services are
provided like online registration of application form, development of stage wise call
letter links, intimation to candidates through email/SMS, holding examinations at
different centers across the Globe, conducting Interviews wherever necessary at
different places, Result processing etc.
D. In 2019-20 alone, IBPS was successful in screening over 1.4 Crores candidates for
testing.
E. Conducting Online Examinations: Moving beyond traditional methods, IBPS is
conducting online examinations for recruitment and selection for its client organizations.
The Institute has the capability of testing simultaneously as many as 1.5 lacs candidates
in 1500 venues across 200 cities in one session. IBPS services in this regard include
downloadable admit cards and personal intimations through emails and SMS.

2.2 Current process of Online Registration of Applications


A. The Institute has adopted advanced processes of applying and receiving applications for
assessment and selection of personnel. During 2006 IBPS has successfully introduced
online receipt of applications. Additionally, features like bilingual applications and
uploading of photo/ signature/Personal documents of the candidates are possible.
Today all the applications are received in this mode and this method is successful even
with rural applicants.
B. The online Registration of Applications through the Internet is hosted on secured Web
Servers which is outsourced.
C. The present solution stores the entire data on secured database.
D. The current SP sends emails/SMS at every stage of communication with candidates e.g.
Registration initiation, payment confirmation, pre-exam training intimation,
Preliminary/Main examination, main examination, interview intimation, hosting of admit
cards, various result intimations etc.
E. After closure of applications, the current SP shares the application data to IBPS for
processing and checking.

2.3 Current process of Declaration of Results
Examinations are conducted online by IBPS including Descriptive Papers. The Test papers
are assessed/evaluated by IBPS and the results are compiled. All IBPS results data are
handed over to the SP along with the format for online declaration of results, which is hosted
on the IBPS Website.

Different methods are used for declaring results based on each organization’s requirement.
Many organizations use web-based application for declaring individual results. Some
organizations choose not to declare the results online.

2.4 Current IBPS Website


A. IBPS has its own website www.ibps.in which acts as a gateway for candidates aspiring
to submit their application.
B. Online Registration of applications & allied activities for the Common Recruitment
Process (CRP) are hosted on this website.

2.5 Existing Technology Provider


All the IT processes in this RFP are currently handled by a reputed IT company. In view of the
existing contract getting expired, a fresh Tender with wider scope and enhancing transparency
is being floated. This will also facilitate fair competition.

2.6 Objective of this RFP


This RFP is solely for the purpose of selecting a SP who is capable to provide
Comprehensive solution for each of the following:

1. Development & Hosting of System for Online Registration of Applications & allied
activities
2. Declaration of Results with high level of data security
3. Revamping of the existing website.
4. Maintenance and Management of website
5. Development and handling Online Candidate Grievance Redressal System

This RFP is being issued to select a SP having capacity in terms of security, accuracy,
efficiency innovation and timely delivery for hosting Online Registration of Applications & allied
activities, Declaration of Results, Online Candidate Grievance Redressal System and
Maintenance and Management of the Website.

Bidder/s will be selected through the process of Technical and Commercial Evaluation.
Selection will be based on Total scoring out of 100 which consists of technical scores (70)
+commercial scores (30).

2.7 Cost of the RFP


The Bidder shall bear all costs associated with the preparation and submission of its bid and
IBPS shall, in no case, be held responsible or liable for these costs, regardless of the conduct
or outcome of the bidding process.
RFP document is non-transferable and cost of RFP documents is non-refundable.

2.8 Due Diligence
The Bidders are expected to carefully examine the RFP and if there appears to be any
ambiguity, contradictions, inconsistency, gap and/or discrepancy in the RFP, Bidder shall seek
necessary clarifications by e-mail mentioned in Section-1. The Bid must be submitted after
careful study and examination of this RFP. The Bid should be precise, complete and in the
prescribed format as per the requirement of this RFP document. Failure to furnish all
information or submission of a bid not responsive to this RFP will be at the Bidders’ risk and
may result in rejection of the bid. Also, the grounds for rejection of Bid should not be
questioned after the final declaration of the successful Bidder.

2.9 Definitions

6. Data Centre The data center is the premises where the
required hardware and other infrastructure
like Servers, storage etc. for the Online
Registration of Applications as well as the
Web Services for hosting website, various
applications, results etc. DR set up in a
different seismic zone is a must.
The whole premises could be owned by
the Bidder or the whole premises could
have been taken on long lease or the
Bidder may take space in a reputed data
center for hosting the services required for
the solution to be provided to IBPS.
7. Intellectual Property Rights (IPR) Any and all copyright, moral rights,
trademark, patent and other intellectual
and proprietary rights, title and interests
worldwide whether vested contingent, or
future, including without limitation all

economic rights and all exclusive rights to
reproduce, fix, adapt, modify, translate,
create derivative works from extract or re-
utilize data from, manufacture, introduce
into circulation, publish, enter into
computer memory, otherwise use any
portion or copy in whole or in part, in any
form, directly or indirectly or authorize or
assign others to do so.

8. Project The entire scope of work as defined in the


RFP.

9. SP The Successful Bidder after selection will


be termed as the Service Provider and in
short SP.

10. SLA Service Level Agreement

software, application software, networking,
setting and making the systems
operational including support.

2.10 Ownership of this RFP


The content of this RFP is a copy right material of Institute of Banking Personnel Selection.
No part or material of this RFP document should be published on paper or electronic media
without prior written permission from IBPS. The recipients of this RFP, to whom IBPS has
transmitted a copy and includes their officers, consultants, agents, and any person to whom
they have transmitted the document, are bound to keep the contents of this document
confidential and not allow it to be published in any form or manner either in whole or in part.

Section 3 – Scope of Work
3.1 Broad Scope of Work
The period of contract will be for three years extendable for two more years at the sole
discretion of IBPS based on the past performance record. The broad scope of work includes
but not limited to:

A. TASK 1 – ONLINE REGISTRATION OF APPLICATIONS & ALLIED ACTIVITIES


1. Development, hosting and managing Online Registration for each application.
2. The data shall thereafter be made available to IBPS for further processing.
3. The SP shall be required to host the call letters at different stages viz. Pre-exam Training,
online (Prelims & Mains) exam and Group Discussion/ Interview/Document verification etc.
(as per the requirement of client) as per the data provided by IBPS.
4. The SP shall be required to send intimation email and SMS to the candidates during each
stage of call letter hosting as per the data provided by IBPS.
5. In registration of applications, it may please be noted that on an average 1.5 crore
candidates get registered throughout the year. This number is not evenly distributed. At
times, it is possible that more than 30 applications are running simultaneously. It could
also be possible that at one point of time 5 applications with an estimated volume of more
than 20 lakhs are running simultaneously. The basic purpose of this information is to make
the bidder aware of the fact the infrastructure should be able to handle the load at any
point of time
6. Solution for Data Capture request for already registered candidates should be made
available as a part of application, if required in order to capture further /revised information
like Centre Change/Address Change and Change in Qualification.
7. All solution developed should be platform agnostic and should have easy navigation
facility on Mobile/Desktop/ Laptop /ipad/tablet and App based Mobile registration should
also be included.
8. The data for various Online Registrations application completed should be archived,
stored and retrievable as per IBPS Policy/ on need basis.
9. The facility for storage archival should be available.

B. TASK 2 - DECLARATION OF RESULTS


1. The SP is to host the Results as per the formats provided by IBPS.
2. Sending email and SMS to candidates as per the data provided by IBPS.
3. App based Mobile solution should also be included.
4. In result display, it may please be noted that on an average results of 1 crore candidates
get displayed throughout the year. This number is not evenly distributed. At times, it is
possible that result for more than 5 projects being displayed simultaneously. The basic
purpose of this information is to make the bidder aware that the infrastructure should be
able to handle the load at any point of time.
5. Bidder should ensure secrecy and confidentiality of result.

C. TASK 3 - REVAMPING AND HOSTING OF IBPS WEBSITE


1. Revamp the currently hosted Website. Periodical updates to keep pace with current
requirements / trends.

D. TASK 4 - MAINTENANCE AND MANAGEMENT OF WEBSITE
1. Manage & Maintain the Website during the period of contract.
2. One-time effort for Revamping/Redesigning the Website after every 2 years.

E. TASK 5- – Online Candidate Grievance Redressal System: A user friendly


application having various facilities like

1. Uninterrupted link to be hosted on IBPS website for registration of complaints

2. This application should have various facilities like, user friendly appearance, feature
to forward the complaints and escalation matrix to various other Divisions/Depts.,
various MIS reports, periodical counts and any other additional feature as and when
required during the live stage. Closure of Complaints with remarks to be displayed.
3. App based Mobile registration should also be included.

3.2 Expected Volumes


A. Peak Loads are expected during last week of time window for each online application
registrations.
B. Peak Loads are expected on the day of declaration of results for IBPS examinations

C. The peak online Registrations are expected to be 5 lakhs per day.

D. The total number of applications is expected to be 2 crores per annum.

3.3 Project Time-Lines


It is expected that the SP will operationalize the online registration as well as hosting of the
IBPS Website within 4 weeks of acceptance of the Purchase Order.

3.4 Tenure of the Contract


The contract shall be for 3 years which can be renewed by mutual consent of both parties for
additional 2 years based on satisfactory performance, at the sole discretion of IBPS. However
IBPS at its discretion may decide the commercials for extended period.

3.5 Single Point of Contact


1. The selected Bidder (the SP) shall appoint a single point of contact with whom IBPS will
deal for any activity pertaining to the requirements of this RFP till the acceptance of the
solution.
2. After operationalizing the solution, the SP shall provide a single point of contact with whom
IBPS shall deal with for any issues arising during the Contract period.

Section 4 – Eligibility Criteria


4.1 Pre-requisite
The Bidder should possess the requisite experience, resources and capabilities in providing
the services necessary to meet the requirements. The Bid must be complete in all respects
and should cover the entire scope of work. Bidders not meeting the Eligibility Criteria will not
be considered

4.2 Eligibility Criteria


The invitation to bid is open to all Bidders who qualify the Eligibility Criteria as given below:

A. The Bidder should be a company registered under Companies Act 2013.


B. The Bidder should have minimum annual turnover of Rs.10 Cr. (as per audited Financial
Statements) in each of the last 3 financial years i.e. 2017-18, 2018-19 and 2019-20(for
2019-20, if books of accounts are not audited, then as per provisional Financial
Statements).
C. The Bidder should have positive net worth in the last 3 financial years as above “or”
The Bidder should be a profit (profit after tax) making company in last 3 financial years
as mentioned above.
D. For delivering all the Tasks, entire solution including, Hardware, Software and
infrastructure offered to IBPS at DC & DR should be owned & Managed by SP. No
consortiums are allowed.
E. The Data Centre & Disaster Recovery setup should be Tier III compliant.
F. The Bidder should possess latest certifications with respect to the following:
• ISO-9000 Certificate
• ISO / IEC 27001:2013
• CMMI Level 5 Certificate
• BS 22301
• ISO 22301:2019 Certificate

G. Bidder should have facility of Server to Server Integration with one or more Payment
Gateways/ Aggregators simultaneously.
H. The Bidder should provide minimum 2 references from clients for whom the Bidder is
providing the same set of services. (The Bidder should produce supporting documents
from the respective clients).
I. The Bidder or the solution provider for website designing and maintenance should have
experience of having designed and implemented and maintaining at least 3 enterprise
level websites.
J. Solution should support Devanagari script
K. The Bidder must be registered under GST. (Please provide attested copy of GST
Registration Certificate)

4.3 Eligibility Criteria Response Sheet


The Bidders should complete the Eligibility Criteria Response Sheet as given in Annexure E6.
Failure to provide the desired information and supporting documents may lead to
disqualification of the Bidder.

Section 5– Instructions to Bidders


A. The Bidding Document

5.1 RFP
A. RFP shall mean Request for Proposal.
B. Bid, Tender and RFP are interchangeably used to mean the same.
C. The Bidder is expected to examine all instructions, forms, Terms and Conditions and
technical specifications in the Bidding Document. Submission of a bid not responsive to
the Bidding Document in every respect will be at the Bidder’s risk and may result in the
rejection of its bid without any further reference to the Bidder.

5.2 Cost of Bidding


The Bidder shall bear all costs associated with the preparation and submission of its bid, and
IBPS will in no case be responsible or liable for those costs.

5.3 Content of Bidding Document


The Bid shall be in one envelope containing 2 separate envelopes superscripted as Envelope
A and Envelop B. The contents of the Envelopes are given in clause 5.12.

5.4 Clarifications of Bidding Documents
A. A prospective Bidder requiring any clarification of the Bidding Documents may notify
IBPS in writing at IBPS’s address or through email any time prior to the deadline for
receiving such queries as mentioned in Section 1.
B. The Bidders shall submit the queries only in the format given below :-

5.5 Pre-Bid Meeting


A IBPS will organize and Bidders will be welcomed to attend a pre-bid meeting at the time
and place mentioned in Section 1. The purpose of the meeting will be to clarify issues
and answer questions on any matter that may be raised at this stage with particular
attention to issues related to the Technical Requirements.
B. Prospective Bidders may attend the pre-bid meeting at the address mentioned in
Section1. IBPS requests that not more than 2 representatives from each prospective
bidder to attend the pre-bid meeting. In any eventuality E-meeting can be scheduled
and bidders can join the visual meeting.

C Those prospective Bidders who choose to attend the pre-bid meeting are requested to
carry with them either an authority letter from their company on their letter head or
produce any other identification as proof like visiting cards of the representing
companies who have procured the RFP.
D Replies to all the clarifications, modifications received through mail and email and during
pre-bid meeting will be given to respective bidder through email. Any modification to the
Bidding Documents which may become necessary as a result of such queries shall be
made by IBPS by issuing an Addendum/Corrigendum, which will be hosted on IBPS
website.

5.6 Amendment of Bidding Documents


A At any time prior to the deadline for submission of bids, IBPS may for any reason, whether
at its own initiative or in response to a clarification requested by a Bidder, amend the
Bidding Documents.
B Amendments will be provided in the form of Addenda/ Corrigenda to the Bidding
Documents, which will be posted in IBPS website, which will be binding on Bidders. It will
be assumed that the amendments contained in such Addenda/ Corrigenda had been taken
into account by the Bidder while submitting its Bid.
C. In order to afford Bidders reasonable time in which to take the amendment into account in
preparing their bids, IBPS may, at its discretion, extend the deadline for the submission of
bids, in which case the extended deadline will be posted in IBPS website.

D. From the date of issue, the Addenda/ Corrigenda to the tender shall be deemed to form an
integral part of the RFP.

B Preparation of Bid

5.7 Bid Price


Prices shall exclude all taxes, duties levies, GST and fees whatsoever if applicable will be
paid additionally at actual on production of receipt. GST should be shown separately in the
Price Schedule.

5.7.1 Earnest Money Deposit (EMD)/ Bid Security


The Bidder shall submit Earnest Money Deposit of Rs.1,00,000/- (Rupees “One lakh only”) in
the form of a Demand Draft / Pay order from a Nationalized/Scheduled bank in India in favor
of “Institute of Banking Personnel Selection” payable at Mumbai valid for 6 months from the
date of opening of bid, or by way of a Bank Guarantee valid for 180 days as per format in
Annexure E1 or E2. No interest will be paid on the EMD.

5.7.2 Return of EMD


1. EMDs /Bank Guarantees furnished by all unsuccessful Bidders will be returned without
interest on the expiration of the bid validity / finalization of successful Bidder,
whichever is earlier.
2. The EMD /Bank Guarantee of successful Bidder shall be returned / refunded without
interest after furnishing Performance Bank Guarantee as required in this RFP

5.7.3 Forfeiture of EMD

The EMD made by the Bidder will be forfeited if:


1. The Bidder withdraws bid before opening of the bids.
2. The Bidder withdraws bid after opening of the bids but before Notification of
Award.
3. The selected Bidder withdraws bid / proposal before furnishing Performance
Guarantee.
4. The Bidder violates any of the provisions of the RFP up to submission of Performance
Bank Guarantee.
5. Failure to accept the order by the Selected Bidder within 7 days from the date of
receipt of the Notification of Award makes the EMD liable for forfeiture at the discretion
of IBPS. However IBPS reserves its right to consider at its sole discretion the late
acceptance of the order by selected Bidder.

5.8 Period of Validity of Bids


Bids shall remain valid for a period of 180 days after the date of bid opening as
mentioned in Section 1 or as may be extended from time to time.

5.9 Extension of Period of Validity
In exceptional circumstances, prior to expiry of the bid validity period, IBPS may request
the Bidders consent to an extension of the validity period. The request and response
shall be made in writing. Extension of validity period by the Bidder should be
unconditional and irrevocable. The EMD/Bank Guarantee provided shall also be suitably
extended. A Bidder may refuse the request without forfeiting the bid Security.

5.10 Format of Bid


The Bidders shall prepare one hard copy of the entire Bid and one ‘soft copy’ of the
Technical Bid marking it as “Technical Bid – Soft Copy”.

5.11 Signing of Bid


A. The Bid shall be signed & Stamped by a person or persons duly authorized to sign
on behalf of the Bidder.
B. All pages of the bid, except for printed instruction manuals and specification sheets
shall be initialed & Stamped by the person or persons signing the bid.
C. The bid shall contain no interlineations, erasures, or overwriting, except to correct
errors made by the Bidder, in which case such corrections shall be initialed by the
person or persons signing the Bid.
D. The bid shall be signed by a person or persons duly authorized to bind the bidder to
the contract. Such authority shall be either in the form of a written and duly stamped
Power of Attorney (Annexure E9) or a Board Resolution duly certified by the company’s
competent authority, extract of which duly certified as true copy should accompany the
Bid.

C Submission of Bid

5.12 2 Envelope Bidding process


A. The Bid shall be submitted in 2 different envelopes, Envelope “A” & Envelope “B”.
Both the Envelopes shall then be sealed and put into an outer envelope marked as
‘Request for Proposal (RFP) for Comprehensive Solution for Online Registration
of Applications, Declaration of Results, Online Candidate Grievance Redressal
System and hosting of Website’
B. The inner and outer envelopes shall be delivered along with RFP Document at the
address mentioned in Section 1 and indicate the name and address of the Bidder. If the
outer envelope is not sealed and marked as indicated, IBPS will assume no
responsibility for the bid’s misplacement or premature opening.

The Technical Bid envelope shall not include any financial information. If the Technical Bid
contains any financial information the entire bid will be rejected.

5.13.1 Envelope ‘B’ Commercial Bid:

5.14 Bid Submission


A. Bids sealed in accordance with the Instructions to Bidders should be delivered at
the address as mentioned in the Section 1.
B. The offers should be made strictly as per the formats given in the RFP.
C. No columns of the tender should be left blank. Offers with insufficient/inaccurate
information and Offers which do not strictly comply with the stipulations given in
this RFP, are liable for rejection. The offers should be made strictly as per the
formats enclosed.
D. Bid document should be indexed with proper pagination and titles.

5.15 Bid Currency


All prices shall be expressed in Indian Rupees only.

5.16 Bid Language
The Bid shall be in English Language.

5.17 Rejection of Bid

A. The Bid is liable to be rejected if the document and envelope doesn’t bear proper
signature, seal and Stamp of authorized person.
B. It is received through Telegram/Fax/E-mail.
C. It is received after expiry of the due date and time stipulated for Bid submission.
D. Incomplete/incorrect Bids, including non –submission or non-furnishing of
requisite documents / Conditional Bids / Bids not conforming to the terms and
conditions stipulated in this Request for Proposal are liable for rejection by IBPS.

E. No bid shall be rejected at bid opening, except for late bids.

5.18 Deadline for Submission


The last date of submission of bids is given in Section1, unless amended by IBPS
through its website.
5.19 Extension of Deadline for submission of Bid
IBPS may, at its discretion, extend this deadline for submission of bids by
amending the Bidding Documents which will be intimated through IBPS website,
in which case all rights and obligations of IBPS and Bidders will thereafter be
subject to the deadline as extended.

5.20 Late Bid
Bids received after the scheduled time will not be accepted by the IBPS under any
circumstances. IBPS will not be responsible for any delay due to postal service or any other
means.

5.21 Modifications and Withdrawal of Bids


A. Bids once submitted will be treated, as final and no further correspondence will
be entertained on this.
B. No Bid will be modified after the deadline for submission of bids.

5.22 Right to Reject, Accept/Cancel the bid


A. IBPS reserves the right to accept or reject, in full or in part, any or all the offers
without assigning any reason whatsoever.
B. IBPS does not bind itself to accept the lowest or any tender and reserves the right
to reject all or any bid or cancel the Tender, any time during the tender process,
without assigning any reason whatsoever. IBPS also has the right to re-issue the
Tender without the Vendors having the right to object to such re-issue.

5.23 RFP Abandonment


IBPS may at its discretion abandon this RFP process any time before notification of award.

5.24 Bid Evaluation Process


The Bid Evaluation will be carried out in 2 stages:
Stage 1 – In the first stage only the Technical Bids i.e. Envelope A will be opened.

Stage 2 – In the second stage the Bids i.e. Envelope B will be opened for all short listed
bidders qualifying Technical evaluation.

5.25 Contacting IBPS


From the time of bid opening to the time of Contract award, if any Bidder wishes to contact
IBPS for seeking any clarification in any matter related to the bid, it should do so in writing by
seeking such clarification/s from an authorized person. Any attempt to contact IBPS with a
view to canvas for a bid or put any pressure on any official of the IBPS may entail
disqualification of the concerned Bidder or his Bid.

Section 6 – Bid Opening
6.1 Opening of Bids
Bids will be opened in 2 stages:
a. Stage 1 – In stage 1 only Envelope “A” will be opened
b. Stage 2 – In stage 2 only Envelope “B” will be opened.

6.2 Opening of Eligibility & Technical Bids


Stage 1- Opening of Envelope “A”
A. IBPS will open Envelope ‘A’ in the presence of Bidders’ representative(s) who
choose to be present on the date, time and address mentioned in Section 1 or as
amended by IBPS from time to time.
B. The representatives of the Bidder have to produce an authorization letter from the
Bidders by way of letter or email to represent them at the time of opening of bids.
Only one representative will be allowed to represent each Bidder. In case the
Bidders’ representatives are not present at the time of opening of bids, the bids will
still be opened at the scheduled time at the sole discretion of the IBPS.
C. The Bidders’ representatives who are present shall sign the register evidencing their
attendance. In the event of the specified date of bid opening being declared a
holiday for IBPS, the bids shall be opened at the appointed time and place on next
working day.
D. The Bidders have to score a minimum of 70% in technical evaluation to qualify for
Commercial Bid opening.

6.3 Opening of Commercial Bids


Stage 2- Opening of Envelope “B”
A. Those Bidders who qualify technically will be intimated by email, the date, time and
address for opening of Commercial Bids.
B. The representatives of the Bidders who have qualified technically, who choose to be
present at the opening of Commercial Bids, have to produce an authorization letter
from the Bidders to represent them at the time of opening of Commercial bids. Only
one representative will be allowed to represent each Bidder. In case the Bidder’s
representative is not present at the time of opening of bids, the bids will still be
opened at the scheduled time at the sole discretion of the IBPS.
C. The Bidders’ representatives who are present shall sign the register evidencing their
attendance. In the event of the specified date of bid opening being declared a holiday
for IBPS, the bids shall be opened at the appointed time and place on next working
day.
D. The Bids of only those Bidders, who have secured minimum 70% in technical
evaluation in in technical evaluation, will be opened.

Section 7– Bid Evaluation
7.1 Preliminary Examination of Technical Bids
A. The evaluation process would consider whether the bidder has requisite prior
experience and expertise to address IBPS’s requirements and objectives. The
evaluation process will gauge the extent of thought process that has gone behind
the preparation of the Bid, the degree of clarity, understanding of IBPS’s stated
objectives and the level of commitment exhibited by the bidders in partnering
with IBPS. The demonstration of the Bidder’s capability to walk along till the last
mile to achieve IBPS’s objectives would also be considered.
B. IBPS will examine the bids to determine whether they are complete, whether
required information has been provided as underlined in the bid document,
whether the documents have been properly signed, and whether bids are
generally in order.
C. Eligibility and compliance to all the forms and Annexures would be the next level
of evaluation. Only those Bids which comply to the Eligibility Criteria will be
taken up for further technical evaluation.
D. IBPS may waive any minor informality, non-conformity or irregularity in the bid
that does not constitute a material deviation provided such waiver does not
prejudice or affect the relative ranking of any Bidder.
E. To assist in the examination, evaluation and comparison of bids, IBPS may at its
discretion, ask any or all the Bidders for clarification and response shall be in
writing and no change in the price or substance of the bid shall be sought,
offered or permitted.
F. Written replies submitted in response to the clarifications sought by IBPS, if any,
will be reviewed.
G. If a Bid is not substantially responsive, it will be rejected by IBPS and may not
subsequently be made responsive by the Bidder by correction of the
nonconformity. IBPS’s determination of bid responsiveness will be based on the
content of the bid itself.

7.2 Evaluation of Technical Bids


A. The Technical Evaluation will be based on the following broad parameters:
1. Compliance to Technical Specifications as specified in the RFP.
2. Bidder’s experience in implementing similar assignments. (Bidder to provide POs as
a proof of implementing similar solution).
3. Proposed Project Plan.
4. Proposed Solution.
5. Proposed architecture.
6. Bidders credentials as submitted in the Bid response.

B Vendor is required to give a presentation followed by discussion on the features
etc., of the Solution proposed by the short-listed Bidders based on the technical
bids submitted by them for further evaluation. Such presentations and minutes of
meetings will become part of the technical bid.
C. IBPS may interact with the Customer references submitted by Bidder, if required.
D. IBPS reserves the right to visit the site in order to verify the details submitted.
E. Incomplete bid / conditional bids shall be liable for rejection.
F. The Bidders are required to provide documentary evidence, wherever available, for
all their claims viz. Technical and Functional Specifications stated in Annexure T1.
G. The bidders qualifying technically with a minimum of 70% marks will be considered
eligible for commercial bid opening.

7.3 Technical Scoring Matrix

7.4 Evaluation of Commercial Bids


A. Arithmetic errors in the Bids submitted shall be treated as follows:
1. Where there is a discrepancy between the amounts in figures and in words, the
amount in words shall govern; and
2. Where there is a discrepancy between the unit rate and the line item total resulting
from multiplying the unit rate by the quantity, the unit rate will govern unless, in the
opinion of the IBPS, there is obviously a gross error such as a misplacement of a
decimal point, in which case the line item total will govern.
3. Where there is a discrepancy between the amount mentioned in the bid and the line
item total present in the Commercial Bid, the amount obtained on totaling the line
items in the Commercial Bid will govern.

B. Commercial bids of only the technically qualified short-listed bidders who have scored a
minimum of 70 % technical score will be opened and evaluated.

C. Commercial bid having scored less than 9 marks will not be considered / shortlisted for
further process.

The scoring out of 30 will be calculated as follows:

• The lowest value quoted for each task will be awarded full marks allocated for that task
as mentioned above. For example lowest value quoted for online application
registration will get 20 marks.
• All other bidders will get proportionate less marks with reference to maximum marks
allocated for task

7.6 Successful Evaluated Bidder


• The final evaluation will be on the basis of combined scores of Technical and Commercial in
the ratio of 70:30 respectively.
• Total marks in the Bid = Technical Evaluation Marks (out of 70) + Commercial Evaluation
Marks (Out of 30)
• After completing internal approval process, bidder whose combined score is maximum will
be shortlisted. Final shortlisted bidder will have a lead time of 2 months before actually
executing any project.

Note: Selected Service Provider has to confirm to all the existing process pertaining to all the
tasks.

Section 8 – Terms and Conditions
8.1 Notification of Award
After selection of the Q1 Bidder and after obtaining internal approvals and prior to expiration of
the period of Bid validity, IBPS will send Notification of Award to the selected Bidder and
thereafter send the Purchase Order.

8.2 Signing of Contract


Within 30 days of receipt of Notification of Award or as mutually agreed the successful Bidder
shall execute the Contract with IBPS.

8.3 Performance Bank Guarantee


The selected Bidder shall provide Performance Bank Guarantee from a Nationalized
/Scheduled Bank in India for an amount of Rs.10 lakhs for performance of all its obligations
under Purchase Order, within 14 days of Notification of Award, valid for 3 years as per
Annexure 1. The Performance Bank Guarantee shall have an additional clause that it shall be
extended for a period of 2 years if the Contract period is extended for further 2 years.

8.4 Acceptance Procedure


After selection of the Bidder, the details of the acceptance procedure shall be mutually drawn
up. Broadly there would be 2 acceptances.
1. Acceptance procedure for the solution for Online Registration of applications, would
consist of acceptance on Test mode and thereafter acceptance on conducting one live
registration process and declaration of online results. The acceptance certificate (as
mutually decided and approved by IBPS) will be signed by the SP and IBPS officials. The
date on which such certificate is signed shall be deemed to be the date of Acceptance of
the services.
2. Acceptance procedure for revamping and hosting of IBPS Website shall be considered as
accepted after the Website has been live for one month and both parties signed the
acceptance certificate.

8.5 Payment Terms


A TASK 1 – Online Registration of Applications
The payment shall be on per candidate per application.

The amount payable to the SP will be dependent on the number of successful


applications that will be registered online for each application (successful in all the
respect including payment). The actual number of successful applications will be arrived
at after the closing date for the application.

100% of the cost of Task 1 shall be paid 2 months after the closure date for each
application or completion of the Task 1 or up to hosting Interview letter whichever is
earlier.

B TASK 2 – Declaration of Results
1. 100% of the cost of Task 2 shall be paid one month after declaration of the Results.

C Task 3 – Revamping and Re-Hosting of IBPS Website


1. 100% of the cost of Task 3 shall be paid one month after shifting and re-hosting of
Website.

D Task 4 – Maintenance and Management of Website


1. Payment for maintenance and management of Website shall be made on quarterly
basis in arrears from the date of Acceptance of the Website.
2. 100% Payment for Website revamping/redesigning shall be made one month after
going live.

E Task 5 – Online Candidate Grievance Redressal System.


1. 100% of the cost of Task 5 shall be paid one month after going live and thereafter on
monthly basis.

F Each Bill shall be accompanied with the following information:


1. Work done satisfactory certificates signed jointly by IBPS and the SP.
2. Submission of Invoice.

8.6 Taxes and Duties


A All taxes deductible at source, if any, at the time of release of payments, shall be
deducted at source as per prevailing rate while making any payment.
B Commercial Bid should be exclusive of all taxes, duties, charges and levies of State or
Central Governments as applicable, insurance, GST etc.
C The benefits realized by the Bidder due to lower rates of taxes, duties, charges and
levies shall be passed on by the selected Bidder to IBPS.
D Any upward revision in Taxes will be considered by IBPS as and when it is raised by
the Government.
8.7 Price
Price shall remain fixed during the contract period. There shall be no increase in price
for any reason whatsoever and therefore no request for any escalation of the cost /
price shall be entertained.

8.8 Delivery Schedule


A. Task 1 and Task 2 – The Solution shall be made ready for Testing within 2 months
from the date of acceptance of the Purchase Order.

B. Task 3 – The revamping and hosting of IBPS website shall be completed within 2
months from the date of request from IBPS post Purchase Order.

8.9 Penalty for default in service readiness:

A. If the selected Bidder does not deliver the Services as required in clause 8.8 above, or
such authorized extension of delivery period as may be permitted in writing by IBPS, a
penalty @ Rs. 50,000/- for each week’s delay to a maximum of Rs.2,00,000/- shall be
payable to IBPS for delayed deliveries, without prejudice to any other right or remedy
available under the Purchase Order.

B. In case of delay in compliance with the order beyond 30 days of the stipulated time of
delivery period, IBPS will have the right to cancel the order.

8.10 Support & Maintenance


The selected Bidder shall maintain the entire Solution for a period of 3 years. IBPS reserves
the right to extend the support period by another 2 years depending on satisfactory
performance.

8.11 SLA Requirements


Service level Agreement includes all the RFP clauses including penalty clauses as follows:

8.11.1 Penalties for Online Registration of Applications and Declaration of Results:


The SP shall strictly adhere to the time schedule given by IBPS for each project
process from time to time, failing which the SP will be liable for penalties as shown
below or as deemed fit by IBPS :-

1. Response time with 10,000 concurrent users should be less than or equal to 0.1
seconds. The SP should provide monthly report to this effect. If the response time is
not as above IBPS reserves the right to levy penalty of 10,000/-for each instance of
failure. SP has to submit a monthly performance report in this regard
2. Since the examination work is time bound, the SP will be penalized @ Rs. 50,000/-
per hour or part thereof for the delay in declaration of result from the date & time
given to them in the schedule and / or as instructed by IBPS from time to time.
3. If there is delay in handing over the data for pre-exam activities SP will be
penalized to the extent of 5% of the invoice value for the application.
4. For every erroneous record(s) (per candidate) in the online registration of
applications process, or declaration of results process, deductions will be made at
the rate approved for each candidate. If the entire data is affected/faulty, then IBPS
reserves the right to levy penalty of reasonable percentage of invoice amount for
that application as deemed fit by IBPS
5. If the system begins to hang before the committed number of hits are reached,
penalty of Rs.1,00,000/- per day or part thereof will be charged.
6. If SP commits errors in large number, errors of serious nature due to an act of
negligence, IBPS reserves the right to levy penalty of Rs. 50,000/- per instance.
7. If it is found later on that data integrity is compromised at any stage, IBPS reserves
the right to levy penalty equivalent to invoice value.
8. SP has to ensure that the secrecy and confidentiality is maintained for data shared
by IBPS. If it is found at later stage that same is not adhered and data is
compromised with third party before it gets uploaded on IBPS website or client

website, IBPS reserves the right to levy penalty of Rs. 50,000/- per instance. IBPS
also reserves the right to legally proceed against the SP.
9. In case of data loss due to any technical issue at SP’s end, SP has to ensure
capture of the data from impacted candidates without any extra cost to IBPS. In
addition to that, IBPS reserves the right to levy penalty of minimum Rs. 10,000/- per
instance (data loss per 100 candidates or part thereof) for such occurrences.
10. If online candidate grievance redressal system stops functioning / hangs for any
reason and candidates are not allowed to lodge complaint or IBPS is not allowed to
access the lodged complaints and the SP is not able to set right the system within
30 minutes of reporting, IBPS reserves the right to levy penalty of Rs. 50,000/- per
instance/per hour.
11. Version upgrades (including new features requested by IBPS) based on the best
industry practice, are to be delivered without any additional cost, while patches are
applied in the software, SP will ensure that IBPS operations are not affected by
those changes. If it affects the operations of IBPS, IBPS reserves the right to levy
the penalty to the extent of loss incurred.
12. The director of IBPS shall have full rights to decide quantum of the penalty for any
breaches over & above, based on the merits and demerits of each case.
13. In case of any discrepancy, not mentioned above, which hampers the expected
service level for delivery, IBPS reserves the right to levy a reasonable penalty.
14. The maximum penalty amount will be equivalent to the invoice amount.

8.11.2 Penalty for Website maintenance:

For every issue related to accessibility of IBPS website, IBPS reserves the right to levy the
penalty of Rs. 10000/- per hour or part thereof

8.12 Intellectual Property


Intellectual Property Rights in all Standard software, all off-the-shelf software and Application
Software shall remain vested in the owner of such rights.

8.13 Confidentiality
The Bidder and subcontractors if any shall (whether or not he submits the tender) treat the
details of the documents as secret and confidential. The Successful Bidder shall execute
separate NDA on the lines of the draft provided in the Annexure 2.

8.14 Indemnity
The Bidder shall indemnify, protect and save IBPS and hold IBPS harmless from and
against all claims, losses, costs, damages, expenses, action suits and other proceedings,
(including reasonable attorney fees), relating to or resulting directly or indirectly from

(i) an act of omission or commission of the Bidder, its employees, its agents, or
employees of its sub-contractors in the performance of the services provided by
this Agreement,

(ii) breach of any of the terms of this Agreement or breach of any representation or
warranty or false statement or false representation or inaccurate statement or
assurance or covenant by the Bidder,
(iii) bonafide use of the deliverables and/ or services provided by the Bidder,
(iv) misappropriation of any third party trade secrets or infringement of any patent,
trademarks, copyrights etc. or such other statutory infringements in respect of all
components provided to fulfill the scope of this project,
(v) claims made by the employees, sub-contractor, sub-contractor’s employees, who
are deployed by the Bidder, under this Agreement,
(vi) breach of confidentiality obligations of the Bidder,
(vii) Gross negligence or gross misconduct solely attributable to the Bidder or by any
agency, contractor, subcontractor or any of their employees by the bidder for the
purpose of any or all of the obligations under this Agreement.

The Bidder shall further indemnify IBPS against any loss or damage arising out of loss of
data, claims of infringement of third-party copyright, patents, or other intellectual property,
and third-party claims on IBPS for malfunctioning of the equipment or software or
deliverables at all points of time, provided however, IBPS notifies the Bidder in writing
immediately on being aware of such claim, and the Bidder has sole control of defense and
all related settlement negotiations.

Bidder shall be responsible for any loss of data, loss of life, etc, due to acts of Bidder’s
representatives, and not just arising out of gross negligence or misconduct, etc, as such
liabilities pose significant risk.

The Bidder shall indemnify IBPS (including its employees, directors or representatives)
from and against claims, losses, and liabilities arising from:

1. Non-compliance of the Bidder with Laws / Governmental Requirements.


2. Intellectual Property infringement or misappropriation.
3. Negligence and misconduct of the Bidder, its employees, sub-contractor and
agents.
4. Breach of any terms of Agreement, Representation or Warranty.
5. Act of omission or commission in performance of service.
6. Loss of data.

Indemnity would be limited to court awarded damages and shall exclude indirect,
consequential and incidental damages. However indemnity would cover damages, loss or
liabilities, compensation suffered by IBPS arising out of claims made by its customers
and/or regulatory authorities.

Bidder shall indemnify, protect and save IBPS against all claims, losses, costs, damages,
expenses, action, suits and other proceedings, resulting from misappropriation of any third
party trade secrets or infringement of any patent, trademarks, copyrights etc., or such other
statutory infringements under any laws including the Copyright Act, 1957 or Information
Technology Act 2000 in respect of all the hardware, software and network equipment or
other systems supplied by them to IBPS from whatsoever source, provided IBPS notifies
the Bidder in writing as soon as practicable when IBPS becomes aware of the claim
however,

(i) the Bidder has sole control of the defense and all related settlement negotiations
(ii) IBPS provides the Bidder with the assistance, information and authority reasonably
necessary to perform the above and
(iii) IBPS does not make any statements or comments or representations about the
claim without the prior written consent of the Bidder, except where IBPS is required
by any authority/ regulator to make a comment / statement/ representation.
Indemnity would be limited to court or arbitration awarded damages and shall
exclude indirect, consequential and incidental damages and compensations.
However indemnity would cover damages, loss or liabilities suffered by IBPS arising
out of claims made by its customers and/or regulatory authorities.

8.15 Bidder’s Liability


The selected Bidder will be liable for all the deliverables.

The Bidder’s aggregate liability in connection with obligations undertaken as part of the Project
regardless of the form or nature of the action giving rise to such liability (whether in contract,
tort or otherwise), shall be at actual and limited to the value of the contract.

Indemnity would be limited to court awarded damages and shall exclude indirect,
consequential and incidental damages. However indemnity would cover damages, loss or
liabilities, compensation suffered by IBPS arising out of claims made by its customers
and/or regulatory authorities.

8.16 Termination of Contract


For Convenience

IBPS by written notice sent to the SP may terminate the contract in whole or in part at any
time for its convenience, giving three months prior notice. The notice of termination shall
specify that the termination is for convenience the extent to which performance of the SP
under the contract is terminated and the date upon which such termination become effective.
Payment shall be made up to the date of termination.

For Insolvency

IBPS may at any time terminate the contract by giving written notice to the SP, if the SP
closes its office in India or becomes bankrupt or insolvent. In this event, termination will be
without compensation to the SP, provided that such termination will not prejudice or affect any
right of action of remedy which has accrued or will accrue thereafter to IBPS.

For Non-performance

IBPS reserves its right to terminate the contract in the event the SP repeatedly fails to deliver
in accordance with the scope of work given in the Contract.

8.17 Force Majeure


A. Notwithstanding the provisions of the RFP, the successful SP or IBPS shall not be liable
for penalty or termination for default if and to the extent that it’s delay in performance or
other failure to perform its obligations under the contract is the result of as event of
Force Majeure. For purposes of this clause, “Force Majeure” means an event beyond

the control of the SP and not involving IBPS or SP’s fault or negligence and not
foreseeable. Such events may include, but not restricted to wars, revolutions,
epidemics, natural disasters etc.
B. If force majeure situation arises, the SP shall promptly notify IBPS in writing of such
condition and cause thereof. Unless otherwise directed by IBPS in writing, the SP shall
continue to perform its obligations under contract as far as possible.

8.18 Order cancellation


IBPS reserves its right to cancel the order in the event of one or more of the following
situations, that are not occasioned due to reasons solely and directly attributable to IBPS
alone;

A. Serious discrepancy observed during performance as per the scope of the project.
B. If the SP makes any statement or encloses any form which turns out to be false,
incorrect and/or misleading or information submitted by the SP/SP turns out to be
incorrect and/or conceals or suppresses material information.
C. In case of order cancellation, any payments made by IBPS to the SP would necessarily
have to be returned to IBPS with interest @15% per annum from the date of each such
payment. Further the SP would also be required to compensate IBPS for any direct
loss incurred by IBPS due to the cancellation of the contract and any additional
expenditure to be incurred by IBPS to appoint any other SP. This is after repaying the
original amount paid.

8.19 Resolution of Disputes


All disputes or differences between IBPS and the SP shall be settled amicably.

Notwithstanding anything above:


a. In the case of any controversy (including termination), claim or dispute arising out of or
in connection with this Agreement or from the breach or interpretation of it (“the
Disputes”), the Parties shall first meet and exert their best efforts to reach an amicable
settlement, and the decision of the Director, IBPS shall be final binding on both the
parties.
b. This Agreement shall be construed, governed, interpreted and applied in accordance with
the laws of India and shall be subject to the exclusive jurisdiction of Mumbai Courts.

8.20 Solicitation of Employees:


Both the Parties shall agree not to hire, solicit, or accept solicitation (either directly, indirectly,
or through a third party) for their employees directly during the period of the Contract and one
year thereafter, except as the parties may agree on a case-by-case basis. The above
restriction would not apply to either party for hiring such key personnel who respond to any
public advertisement placed by either party or its affiliates in a publication of general
circulation or has been terminated by a party prior to the commencement of employment
discussions with the other party.

8.21 Applicable Law
The Contract to be executed between IBPS and successful SP shall be interpreted in
accordance with the laws of the Union of India and the SP shall agree to submit to the courts
under whose exclusive jurisdiction the Registered Office of IBPS falls.

It would be the responsibility of the SP to cross check the various entries like, candidate
name, father's name, husband's name, date of birth etc. as per the requirement of each

application registration number, address, for ensuring accuracy of the input data before the
final printing of the admit cards, attendance sheets, check lists, etc.
The operations facilities including solution as well as the data center where the servers are
hosted may be annually audited by the security auditors either appointed by IBPS or
regulatory bodies. The audit scope can include source code inspection, vulnerability

assessment, penetration test, OWASP top ten vulnerabilities and related infrastructure. The
SP will facilitate the audits, fix/ rectify all the vulnerabilities detected by the security auditors
without any cost to IBPS.
26 The SP shall maintain logs of each input and output feeds.
27 SP shall ensure the data integrity and security of all running applications.
SP shall ensure 365x24x7 service support for any sort of alteration in running applications,
28
call letters, for triggering important intimations through email/SMS etc.
SP shall follow the data archival policy of IBPS, which will be intimated to the successful
29
Bidder.
Solution for Online registration Application/ Call Letter/ Result etc. should be compatible on
30 all devices i.e. desktops / laptops / Mobile Devices such as Tab, iPad, mobile handset etc.,
without any restriction of browser or its version.
Version upgrades (including new features requested by IBPS) based on the best industry

practice, are to be delivered without any additional cost.
Solution for Data Capture request for already registered candidates should be made
32 available as a part of application, if required in order to update/capture additional
information like Centre and category etc.
All solution developed should be platform agnostic and should have easy navigation facility

on mobile/Desktop/ Laptop /ipad/tablet/ Mobile App based solution also be an option.
34 SP should have the facility for storage archival.

B The Functional Requirements for Task 2 – Declaration of Results:


The online registrations and the declaration of results shall be hosted in secured

environment.
Preparation of the result database in the structure as desired by IBPS for the purpose of

uploading the same at IBPS website.
3 Sending emails and SMS to the candidates as per the data and content given by IBPS.
SP shall follow the data archival policy of IBPS, which will be intimated to the successful

SP should provide details of hardware, system software, application software, off-the-shelf
1 software, database software, tools etc., used for the Solution proposed for Online
Registration of Applications
SP should provide details of hardware, system software, application software, off-the-shelf
2 software, database software, and tools etc., used for the Solution proposed for Website
hosting and revamping.
Kindly indicate the maximum number of simultaneous hits on your solution for online
3
registration will be able to handle.
Infrastructure for Task 1 & Task 2 shall be deployed in minimum Tier 3 DC. DR site should
4
be in different seismic zone.
If there is a sudden spurt in the number of hits what is fallback arrangement to avoid any
5
issues/ inconvenience to candidates.
If higher capacity of hardware is required for a temporary period for any particular
6
application how will handle the situation and how soon will you be able to resolve this.
Response time with 10,000 concurrent users should be less than or equal to 0.1 second for
7
any activity which includes form submission, query etc.
The SP should provide online website monitoring solution to monitor the number of
connections at any point of time, the response time of the Webserver, response time for
8
web user, network response time, user IP address etc. This solution should also have
capability to generate reports online as well as off-line.
SP shall provide secure environment between IBPS & its portals for testing application,
9
website updates etc. before it going live.
Plug-ins and updates shall be validated periodically i.e. once in quarter for both,
10
applications & Website servers

D. The SP shall undertake as given below:


The SP shall deploy a dedicated team of reliable and experienced software
1 engineers/programmers having expertise in preparation of database and other supporting
staff including data entry operators.
The SP should deploy experienced onsite support staff who will work from premises of
2
IBPS.
3 In case of need the SP shall agree to deploy temporary staff additionally at its own cost.
The website should comply with the Government of India's IPv6 policy document/guidelines
4
called “National IPv6 Deployment Roadmap.”
Any software component required in connections with the work of Website re-hosting and
5
managing shall be the responsibility of the SP.
6 All software used shall be licensed versions.
Security controls for the re-hosted website should be in conformity with legal and regulatory
7 standards, IT Act 2000 (as amended in 2008) and as per OWASP TOP Ten 2016/2017 and
other contemporary cyber threats and vulnerabilities.
The re-hosted website should be guarded against all known vulnerabilities, including but not
8
limited to OWASP top 10 vulnerabilities.

Any webpage collecting visitor's/administrator's personal information or login credentials
must be protected with secure communication such as SSL/TLS1.2 (256-bit) and such
9
information/credentials should be stored in encrypted format in database with latest
encryption algorithm.
10 SP should lock HTML source code to protect web pages from unauthorized copy.

E. The functional requirement for Task 3 - Revamping and hosting of IBPS Website.
1 The SP shall guarantee an uptime of 99.9%.
2 The SP shall manage all Website related matters.
3 The SP shall maintain the Website.
The SP shall make minor shifts in the layout of the Website as and when required by IBPS
4
during the Contract period.
After 2 Years if and when IBPS requires revamping of the website the SP shall do so, for
5
which payment shall be made as per the Commercials agreed upon.
6 The SP shall maintain the domains of IBPS (ibps.in & ibpsorg.org)
7 SP shall maintain the expiry/ renewal of IBPS domains registration
8 Website shall be compliant to the latest version of W3C standards.

F. The Technical requirement for Task 3 – Revamping and hosting of IBPS Website.
1 Currently the Website is developed on HTML format using php.
2 The SP is required to re-host with only minor changes, if required.
3 Hosting of website shall be in a minimum Tier 3 DC situated in India.
Website must be audited as per guidelines of Indian Government websites and detailed
4 audit report along with compliance certificate as per cert-in specification must be presented
on an annual basis.
5 Website must be fully responsive & ready for retina displays.
Website shall have adaptability/ support for different screen sizes & devices i.e. apart from
6
display monitors website should support on TAB, IPad, Mobile phones etc.

G The functional and Technical requirement for Task 4


Development and hosting Online Candidate Grievance Redressal System for registering
complaints and checking the status of lodged complaints including FAQ. It shall have

adaptability/ support for different screen sizes & devices i.e. apart from display monitors
website should support on TAB, IPad, Mobile phones, Mobile App etc.

The functional and Technical requirement for Task 5 – Maintenance and Management

SP shall ensure 365x24x7 security monitoring of the website and server to detect attacks
and take necessary actions remedial measures. Security monitoring should also raise alerts

for any suspicious events that may lead to security breach and should provide real-time
alerts.
2 SP should provide weekly/fortnightly/monthly reports of identified and mitigated attacks.
The sizing of Web Server should be done in such a way that not more than 70% of server
3
resources are utilized at any point of time.

The re-hosted website should be compatible with all web browsers and its versions like- IE,

1 1.1 Data Centre Proposed Data Centre facility should have at least 10

1.2 Architecture SP shall provide a design document describing the High-


availability architecture.

2 2.1 Fire rated walls The periphery of the Data Centre should have 4 hrs. fire
rated wall, false ceiling and doors.

3 3.1 Power Supply Should have N+1 Transformer redundancy, N+1


Requirements Generator redundancy, N+1 UPS Redundancy.

4 4.1 Environmental The Data Centre facility should have gas based fire
Control/Protection suppression system.(Eg. FM200).

4.2 Fire detection system should be in place. e.g. smoke


and/or heat detector.

4.3 Water leakage detection system should be in place.

4.4 Rodent repellent system should be in place.

4.5 Temperature, humidity and static control should be in


place.

4.6 Air Conditioning system should provide 24x7 cooling and


humidity control with redundancy in case of break down.

4.7 Proper monitoring of these parameters should be done


and record maintained.

4.8 The Data Center facility should contain de-humidifiers to
keep humidity to minimum and should be maintained &
monitored on the regular basis.

5 5.1 Security and 24-hour Security monitoring should be in place. CCTV


Access Control monitoring and recording on common access area and
entrances should be logged and should be available for
review. Recording of CCTV and access entrance logs
should be maintained for minimum 90 days & 180 days
respectively.

5.2 The perimeter security of the Proposed Data Centre/ DR


Setup Premises should be manned on 24x7x365 basis.

6 6.1 Network and The Data Centre should be equipped with CAT-6
Communication structured cabling.
Facilities

6.2 Provide details of network providers who have


connectivity to the Data Centre and the types of
connectivity currently available.

7 7.1 Service Levels Data Centre/DR should have uptime of 99.99% per year.

7.2 All scheduled maintenance period shall be pre-notified


by at least 10 days, and for major service interruption at
least 4 week notice would be needed.

7.3 Please confirm that the Data Centre/ DR Setup has no


single point of failure with regards to supply of power to
server area, PAC systems, LAN, etc.

7.4 All the tasks mentioned above shall be deployed on High-


availability architecture such as Clustering techniques.

8 8.1 Incident Reporting If any untoward incident takes place which makes the
Data Centre services unavailable should be reported
within 24 hrs of the incident.

9 9.1 Compliant The DC/DR should be compliant with ISO/IEC 27001:2013


specifications and Tier 3 minimum.

10 10.1 Audit IBPS shall have the Data Centre/ DR Setup and the Web
Servers inspected and audited annually by a cert-in
empaneled Auditing firm and submit the audit report. For the
current period vendor should submit the last audit report for

The operations facility as well as the data center where the servers are
hosted may be annually audited by the security auditors appointed by
IBPS and or regulatory bodies. The audit scope can include source code
25 inspection, vulnerability assessment, penetration test, OWASP top ten
vulnerabilities and related infrastructure. The SP will facilitate the audits,
fix/ rectify all the vulnerabilities detected by the security auditors without
any cost to IBPS.
26 The SP shall maintain logs of each input and output feeds.
27 SP shall ensure the data integrity and security of all running applications.
SP shall ensure 365x24x7 service for any sort of alteration in running
28 applications, call letters, for triggering important intimations through
email/SMS etc.
SP shall follow the data archival policy of IBPS, which will be intimated to

the successful Bidder.
Solution for Online registration Application/ Call Letter/ Result etc. should
be compatible on all devices i.e. desktops / laptops / Mobile Devices such

as Tab, iPad, mobile handset etc., without any restriction of browser or its
version. Mobile App based registration must be available.
Version upgrades (including new features requested by IBPS) based on

the best industry practice, are to be delivered without any additional cost.
Solution for Data Capture request for already registered candidates should

SP shall provide secure environment between IBPS & its portals for testing

application, website updates etc. before it going live.
Plug-ins and updates shall be validated periodically i.e. once in quarter for

D. The SP shall undertake as given below:


The SP shall deploy a dedicated team of reliable and experienced
1 software engineers/programmers having expertise in preparation of
database and other supporting staff including data entry operators.
The SP should deploy experienced onsite support staff who will work from
2
premises of IBPS.
In case of need the SP shall agree to deploy temporary staff additionally at
3
its own cost.
The website should comply with the Government of India's IPv6 policy
4
document/guidelines called “National IPv6 Deployment Roadmap.”
Any software component required in connections with the work of
5
Website re-hosting and managing shall be the responsibility of the SP.
6 All software used shall be licensed versions.
Security controls for the re-hosted website should be in conformity with
legal and regulatory standards, IT Act 2000 (as amended in 2008) and as

per OWASP TOP Ten 2016/2017 and other contemporary cyber threats
and vulnerabilities.
The re-hosted website should be guarded against all known vulnerabilities,

including but not limited to OWASP top 10 vulnerabilities.
Any webpage collecting visitor's/administrator's personal information or

East, Mumbai – 400101, India on one side (Hereinafter referred to as “IBPS”, which expression shall mean

Article 2: DEFINITION

For purposes of this Agreement, "Confidential Information" means the terms and conditions, and with
respect to either party, any and all information in written, representational, electronic, verbal or other form
relating directly or indirectly to the Purpose (including, but not limited to, information identified as being
proprietary and/or confidential or pertaining to, pricing, marketing plans or strategy, volumes, services
rendered, customers and suppliers lists, financial or technical or service matters or data, employee/agent/
consultant/officer/director related personal or sensitive data and any information which might reasonably
be presumed to be proprietary or confidential in nature) excluding any such information which (i) is known
to the public (through no act or omission of the Receiving Party in violation of this Agreement); (ii) is
lawfully acquired by the Receiving Party from an independent source having no obligation to maintain the
confidentiality of such information; (iii) was known to the Receiving Party prior to its disclosure under this
Agreement; (iv) was or is independently developed by the Receiving Party without breach of this
Agreement; or (v) is required to be disclosed by governmental or judicial order, in which case Receiving
Party shall give the Disclosing Party prompt written notice, where possible, and use reasonable efforts to
ensure that such disclosure is accorded confidential treatment and also to enable the Disclosing Party to
seek a protective order or other appropriate remedy at Disclosing Party’s sole costs. Confidential
Information disclosed orally shall only be considered Confidential Information if: (i) identified as
confidential, proprietary or the like at the time of disclosure, and (ii) confirmed in writing within Seven (7)
days of disclosure.

Article 3: NO LICENSES

This Agreement does not obligate either party to disclose any particular proprietary information; to
purchase, sell, license, transfer, or otherwise dispose of any technology, services, or products; or to enter
into any other form of business, contract or arrangement. Furthermore, nothing contained hereunder shall
be construed as creating, conveying, transferring, granting or conferring by one party on the other party
any rights, license or authority in or to the Confidential Information disclosed under this Agreement.

Article 4: DISCLOSURE

Receiving Party agrees and undertakes that it shall not, without first obtaining the written consent of the
Disclosing Party, disclose or make available to any person, reproduce or transmit in any manner, or use
(directly or indirectly) for its own benefit or the benefit of others, any Confidential Information save and
except both parties may disclose any Confidential Information to their Affiliates, directors, officers,
employees or advisors of their own or of Affiliates on a "need to know" basis to enable them to evaluate

such Confidential Information in connection with the negotiation of the possible business relationship;
provided that such persons have been informed of, and agree to be bound by obligations which are at least
as strict as the recipient’s obligations hereunder. For the purpose of this Agreement, Affiliates shall mean,
with respect to any party, any other person directly or indirectly Controlling, Controlled by, or under direct
or indirect common Control with, such party. "Control", "Controlled" or "Controlling" shall mean, with
respect to any person, any circumstance in which such person is controlled by another person by virtue of
the latter person controlling the composition of the Board of Directors or owning the largest or controlling
percentage of the voting securities of such person or by way of contractual relationship or otherwise.

The Receiving Party shall use the same degree of care and protection to protect the Confidential
Information received by it from the Disclosing Party as it uses to protect its own Confidential Information of
a like nature, and in no event such degree of care and protection shall be of less than a reasonable degree
of care.

The Disclosing Party shall not be in any way responsible for any decisions or commitments made by
Receiving Party in relying on the Disclosing Party's Confidential Information.

Article 5: RETURN OR DESTRUCTION OF CONFIDENTIAL INFORMATION

The parties agree that upon termination/expiry of this Agreement or at any time during its currency, at the
request of the Disclosing Party, the Receiving Party shall promptly deliver to the Disclosing Party the
Confidential Information and copies thereof in its possession or under its direct or indirect control, and
shall destroy all memoranda, notes and other writings prepared by the Receiving Party or its Affiliates or
directors, officers, employees or advisors based on the Confidential Information and promptly certify such
destruction.

Article 6: INDEPENDENT DEVELOPMENT AND RESIDUALS

Both parties acknowledge that the Confidential Information coming to the knowledge of the other may
relate to and/or have implications regarding the future strategies, plans, business activities, methods,
processes and or information of the parties, which afford them certain competitive and strategic
advantage. Accordingly, nothing in this Agreement will prohibit the Receiving Party from developing or
having developed for it products, concepts, systems or techniques that are similar to or compete with the
products, concepts, systems or techniques contemplated by or embodied in the Confidential Information
provided that the Receiving Party does not violate any of its obligations under this Agreement in connection
with such development.

Article 7: INJUNCTIVE RELIEF

The parties hereto acknowledge and agree that in the event of a breach or threatened breach by the other
of the provisions of this Agreement, the party not in breach will have no adequate remedy in money or
damages and accordingly the party not in breach shall be entitled to injunctive relief against such breach or
threatened breach by the party in breach.

Article 8: NON-WAIVER

No failure or delay by either party in exercising or enforcing any right, remedy or power hereunder shall
operate as a waiver thereof, nor shall any single or partial exercise or enforcement of any right, remedy or
power preclude any further exercise or enforcement thereof or the exercise of enforcement of any other
right, remedy or power.

Article 9: JURISDICTION

All disputes or differences between IBPS and the SP shall be settled amicably.

Notwithstanding anything above:


a. In the case of any controversy (including termination), claim or dispute arising out of or in
connection with this Agreement or from the breach or interpretation of it (“the Disputes”), the
Parties shall first meet and exert their best efforts to reach an amicable settlement, and the
decision of the Director, IBPS shall be final binding on both the parties.
b. This Agreement shall be construed, governed, interpreted and applied in accordance with the
laws of India and shall be subject to the exclusive jurisdiction of Mumbai Courts.

Article 10: GOVERNING LAW

This Agreement shall be governed exclusively by the laws of India and jurisdiction shall be vested
exclusively in the courts at Mumbai in India.

Article 11: NON-ASSIGNMENT

This Agreement shall not be amended, modified, assigned or transferred by either party without the prior
written consent of the other party.

Article 12: TERM

This Agreement shall remain valid from the date last written below until the termination or expiry of this
Agreement. The obligations of each Party hereunder will continue and be binding irrespective of whether
the termination / expiry of the Agreement for a period of three years after the termination / expiry of this
Agreement.

Article 13: INTELLECTUAL PROPERTY RIGHTS

Neither Party will use or permit the use of the other Party’s names, logos, trademarks or other identifying
data, or otherwise discuss or make reference to such other Party or infringe Patent, Copyrights, in any
notices to third Parties, any promotional or marketing material or in any press release or other public
announcement or advertisement, however characterized, without such other Party’s prior written consent.

Article 14: GENERAL

Nothing in this Agreement is intended to confer any rights/remedies under or by reason of this Agreement
on any third party.

This Agreement and the confidentiality obligations of the Parties under this Agreement supersedes all prior
discussions and writings with respect to the Confidential Information and constitutes the entire Agreement
between the parties with respect to the subject matter hereof.

If any term or provision of this Agreement is determined to be illegal, unenforceable, or invalid in whole or
in part for any reason, such illegal, unenforceable, or invalid provisions or part(s) thereof shall be stricken
from this Agreement.

Any breach of any provision of this Agreement by a party hereto shall not affect the other party’s non-
disclosure and non-use obligations under this Agreement.
