CONTRACT TO SELL

KNOW ALL MEN BY THESE PRESENTS:

This CONTRACT TO SELL, made and executed this ____ day of _________, 2019 by and between:

SPS. RENATO H. GONZALES and FLORA O. GONZALES, both of legal age, Filipino, and with residence and
postal address at 197 Amang Rodriguez Ave., Cainta, Rizal, hereinafter referred to as the "SELLER";

-AND-

TRINIDAD NAGA, of legal age, Filipino and with residence and postal address at Block 2 Lot 29 Dahlia St.,
Greenwoods Executive Village Phase 7, Brgy. San Andres, Cainta, Rizal, hereinafter referred to as the
"BUYER"

WITNESSETH;

WHEREAS, the SELLER is the absolute and registered owner of a House and Lot consisting of NINETY ONE
(91) square meters, more or less, located at Block 1 Lot 29A Sunflower St. Ph. 4 Cainta Greenland Executive
Village, Barangay San Juan, Cainta, Rizal and covered by Transfer Certificate of Title No. 068-2019000890
issued by the Registry of Deeds of the Province of Rizal;

WHEREAS, the BUYER has offered to buy and the SELLER has agreed to sell the above-mentioned
property under the terms and conditions herein below set forth;

NOW THEREFORE, for and in consideration of the total sum of PESOS: THREE MILLION SEVEN HUNDRED
THOUSAND (Php 3,700,000.00) Philippine Currency, and of the covenants herein after set forth the SELLER
agrees to sell and the BUYER agrees to buy the aforesaid property subject to the following terms and
conditions:

1) The total consideration shall be PESOS: THREE MILLION SEVEN HUNDRED THOUSAND
(Php 3,700,000.00) Philippine Currency, payable as follows:

a) The amount of PESOS: SEVEN HUNDRED THOUSAND ONLY (Php 700,000.00) representing
PARTIAL PAYMENT shall be paid by the BUYER to the SELLER upon signing of this contract.
Reservation is valid only for 1 month (UP TO JULY 6, 2019 ONLY) after the signing of this
contract. In case the BUYER renege on the agreement to purchase the property, this PARTIAL
PAYMENT will be returned to the buyer but will incur a penalty charge of P___________.

b) The remaining balance of PESOS: THREE MILLION PESOS ONLY (Php. 3,000,000.00) representing
FULL PAYMENT shall be paid by the BUYER to the SELLER within THIRTY (30) days, after which
the SELLER shall sign and execute a DEED OF ABSOLUTE SALE in favor of the BUYER.

c) The Broker’s commission of PHP 111,000.00 shall be released to the Brokers after signing of this
contract. But in the event that the BUYER defaults on this agreement, said commission will be
deducted from the PARTIAL PAYMENT, including the penalty charges previously agreed on.

2. Capital Gains Tax shall be for the account of the SELLER;

3. Documentary Stamps Tax, Registration Fee, Transfer Tax, VAT and all other miscellaneous fees and
expenses shall be to the account of the BUYER.

4) Possession of the subject property shall be delivered by the SELLER to the BUYER upon signing and
release of DEED OF ABSOLUTE SALE in favor of the BUYER.
