MEMORANDUM OF UNDERSTANDING

THIS MEMORANDUM OF UNDERSTANDING is made and effective this 04 day of January,


2018 at 44-L Gulberg III at Superior Corporate Office.

BETWEEN: SUPERIOR NETWORK SYSTEM (PRIVATE) LIMITED a company


organized and existing under the laws of Pakistan, having its registered office
located at: 44-L Gulberg III , Lahore through its Project Director,
MUHAMMAD RIAZ (hereinafter referred to as “SNS”, which
expression shall include its representatives, successors, administrators
and assigns)

AND: Robina Roohi w/o Khalid Mahmood NIC No. 33100-4818330-8 (hereinafter
referred to as “Franchise Associate/FA,s”, which expression shall
include its/his representatives, successors, administrators, legal heirs and
assigns)

FOR: Franchise License to use “System” of SNS comprising the goodwill,


scheme and procedures for providing instructional materials, guidelines,
crafting and developing various systems, techniques, operations, plans,
formats, strategies and methods for the same.

RECITALS

WHEREAS this Memorandum of Understanding (MOU) reflects the preliminary understanding


between the parties which shall be followed by a Franchise Agreement (Agreement); and it
allows prospective FA to take necessary steps before operating SUPERIOR COLLEGE at
GOJRA.
AND WHEREAS, SNS has the expertise and goodwill to operate and manage educational
institutions and it has developed a System comprising the scheme and procedures for providing
instructional materials, guidelines, crafting and developing various systems, techniques,
operations, plans, formats, strategies and methods for the same.
AND WHEREAS, the SNS has agreed to license the operation of the said System to the
prospective FA as per the terms and conditions of this MOU and the Agreement to be entered
into between the parties.
NOW THIS MOU WITNESSES as under:
1. That both parties have an initial understanding that the SNS shall grant the license
respecting the System to the FA for a period of TEN (10) years initially from the date
2018 till 2028. This tenure will be extendable for new term with the mutual consent of
both parties.
2. It is mutually agreed that any license fee once deposited in favor of “SNS” will be non-
refundable.
3. That the tuition fee, admission fee, security and annual subscription fee will be decided
by the SNS in consultation with the prospective FA. It is further decided that the
prospective FA shall pay to the SNS royalty @ 20% of its gross income, including but
not limited to the admission fee, tuition fee and any other type of revenue generated by
it/him.
4. That all financial transactions will be made through designated bank(s) to be mentioned
in the agreement.

5. That the deliverables will start flowing from SNS only after the Agreement is signed.
6. That the FA shall establish an educational institution at Pensra Road Gojra comprising
Campus area approximately 5 Kanals with the essentials required for a particular level as
stipulated by SNS.
7. That the principal will be provided by the SNS. Whose salary and benefits will be
born/paid by FA. The salary, Car and other benefit/perquisites will be decided/fixed by
SNS according to qualification & experience of the person.
8. That the FA shall be sole responsible to construct or transform the building for the
educational institution as per the agreed requirements prescribed by the SNS, either in a
rented premises or at a self owned campus.
9. That the monthly rent, and necessary repair and maintenance of the campus shall also be
the sole responsibility of the FA and it/he shall make sure that the building is fully
compliant of the government criteria regarding map, commercialization etc.
10. That payment of all and any governmental dues, taxes and levies arising from or in
respect of this MOU and the Agreement shall always be the exclusive liability of the FA.
11. That the FA shall execute a rent deed in favor of the SNS, the terms of which will be
decided by SNS.
12. That obtaining registration, affiliation and/or recognition of the educational institution
with the concerned Board of Education, Government Departments and other relevant
authorities and organizations will be the sole responsibility of FA.
13. That the FA agrees to proceed with the schedule of operations for commencement of the
educational institution w.e.f. January 2018
14. In case FA does not meet this requirement till given date, the SNS will be entitle to
cancel the license and the license fee deposited in this regard, will be non-re-fundable in
any case what so ever.

15. That the FA shall use the System of SNS in accordance with the terms and conditions of
the Agreement. Further the FA shall not be entitled to use any component of the System
including the logo or other proprietary marks as well as the name and style of SNS in any
manner whatsoever, before entering into the Agreement; and, shall use it only with prior
written permission of SNS after commencement of functioning of the campus.
16. That the prospective FA also agrees that it shall award the prescribed number of
compulsory merit scholarships per year to promising students. The number of
scholarships will be decided by the SNS in consultation with the prospective FA.
17. The Agreement will be executed only after approval by SNS of suitability of the
designated premises required for each and every component of the System as well as
after satisfaction of SNS as to the necessary capability of the FA to carry out all the terms
and conditions of the Agreement.
18. That the SNS will Provide:
(a) Guidelines regarding prospective educational institution
(b) Be entitled to on and off inspection of the campus and highlight the issues,
which must be resolved within prescribed time conveyed by the SNS and the
failure of which may entail penalty decided by the SNS.
(c) Provide HR and IT support, where necessary.
(d) Initial admission advertisement along with its design and TV/Cable Ads
(e) Design skins for promotion
(f) Make lesson plans
19. That the FA shall also be responsible for:
(a) Marketing, printing and distribution of materials regarding the educational institution
at local level
(b) Arranging up to the mark building and facilities
20. That if any dispute or difference arises as to anything contained in this MOU, the same be
resolved without going to any court of law, and the decision of the SNS will be final in
this regard and the prospective FA by signing this MOU acknowledges that he has
released his rights or claims regarding any law suit as well as challenge to the authority
and any decision of SNS at any forum including all courts of law, whatsoever.

That in case the FA wants to quit this franchise agreement; it will be incumbent upon him
to give a written application to the Project Director of SNS at least one session in
advance. However, submission of application will not automatically terminate the
agreement, as the final decision will be that of the Project Director of SNS.
21. That general pre-requisite of the educational institutions will be provided by the SNS in
writing once the MOU is signed.
22. That the Agreement to be executed between SNS and the FA, and this MOU, shall
constitute the entire agreement containing the detailed terms and conditions.
IN WITNESS THEREOF both parties have executed this MOU on the day and place
mentioned above.
