MEMORANDUM OF UNDERSTANDING

This Memorandum of Understanding ('MOU') is made and entered into this on 21st March 2022
by and between:

VEDANTA FOUNDATION, a not-for-profit organization incorporated under Bombay Public Trust


Act,1950, currently has its registered office at Opposite Niranjan Building, Corner of 'E' Road,
Marine Drive, Mumbai-400002, Maharashtra, India hereinafter referred to as the “The
Foundation”, which expression, unless the context requires otherwise, shall include its
successors and permitted assignees); the FIRST PART

And

AISECT is a Society registered under MP Society Registration Act 1973 with registration no 4888
dated 16.06.1997 with registered address: Rabindranath University Campus, Near Bangrasiya
Chauraha, Chiklod Road, Post - Mendua, Bhopal Madhya Pradesh 464993, India, and is further
registered under section 12A and 80G of Income Tax Act1 1961 (hereinafter referred to as the
“Service Provider” or “AISECT”, which expression, unless the context requires otherwise, shall
include its successors and permitted assignees), of the SECOND PART.

VEDANTA FOUNDATION and AISECT shall hereinafter be individually referred to as the ‘Party’
and collectively as the ‘Parties’.

Background and Purpose: -

1. AISECT is India's leading Social Enterprise that is working in the areas of Skill Development,
Higher Education, Financial Inclusion, Entrepreneurship, e-Governance and other ICT-based
services to bring about an inclusive change in the semi-urban and rural areas of the country.
Established in 1985, the Bhopal-headquartered organization has been untiringly reaching out
to the remotest corners of the country for the past 36 years to empower people, generate
employment for the youth and unfold entrepreneurial initiatives.

2. This Memorandum of Understanding ("MOU") covers the terms and conditions of conduct of
such community development projects funded by The Foundation and managed by AISECT.
The parties wish to avoid any misunderstandings and disputes which might otherwise occur
in the event that comprehensive agreements in this subject are not fully negotiated and fully
executed.

NOW THEREFORE, in consideration of mutual covenants contained herein and other good and
valuable consideration, which the Parties acknowledge, the Parties do hereby agree as follows:

Article 1: General Provisions: -

1.1 Scope. A comprehensive Scope of Work (SOW) is attached as Annexure – 1 and shall be the
part of this MOU.

Sensitivity: Internal (C3)


The scope usually will relate to community development projects identified by The Foundation,
accepted upon review for funding by The Foundation and managed by AISECT.
Each project accepted for funding by The Foundation shall be subject to acceptance of
deliverables by The Foundation. The scope of work would cover but would not be limited to
the followings:
a. Title of the project for which scope of work is developed for Women Skills and
Entrepreneurship Development Program at 150 Nand Ghars (6 clusters).
b. Period of performance: 1st April 2022 to 31st March 2023
c. Background about the project: Vedanta Limited, India’s leading Natural resources
company, has signed an MoU with the Government of India to create 4,000 State of
the Art modern Anganwadi’s. We aim to transform the Anganwadi by not only
upgrading the infrastructure but also improving pre-school education, skills
development of women, delivery of nutrition and healthcare by providing an integrated
model “Nand Ghar”. This MoU will ensure Women Skills and Entrepreneurship
Development Program at 150 Nand Ghars.
d. Geographical area for implementation of the project: Rajasthan
e. Task to be undertaken by the agency selected: (Refer Annexure 1)
1.2 Commencement and Duration: This MOU shall take effect from 1st April 2022 (hereinafter
the “Effective Date”) for a period of one year.
1.3 Financial Arrangements: INR 14,358,000 (Rupees One Crore, Forty-Three Lakhs and Fifty-
Eight Thousand Only for 150 Nand Ghars). (Refer Annexure – 2 for the budget break up)
The terms and conditions of finance and release of funds differ from project to project and
must be drafted accordingly.

1.4 Single Point of Contact (SPOC): The Parties of this MOU shall nominate the SPOC for the
effective implementation of the program/ activity/ project under this MOU.

Article 2: Responsibilities and Obligations of the Parties: -

2.1 Responsibilities and Obligations of The Foundation


The Foundation will release the funds for the program/ activity/ project as agreed and shall
review the progress of the projects jointly with AISECT.

2.2 Responsibilities and Obligations of AISECT: -


2.2.2 Scope of Work

a. Beneficiaries
i. Primary beneficiaries: Children and women beneficiaries of Nand Ghar
ii. Community at large (catchment area of Nand Ghar)

2.2.3 Audit: The program/ activity/ project shall be subject to the internal and external
auditing procedures, rules and directives of The Foundation. The Foundation has the
right to inspect the site, review all the records and will conduct periodic review of the
program/ activity/ project as agreed.

2.2.4 Reporting:

a. The Foundation shall submit quarterly reports based on pre-agreed indicators.

b. AISECT shall prepare and submit a final report to The Foundation within 15 days
from the completion date or from the date of termination of this MOU as the case
may be.

Article 3: Terms of Understanding: -

3.1 Amendment: Any modification, alteration or amendment into this MOU shall be made
only by means of a written amendment executed by the authorized representative(s) of
each party.

3.2 Renewal: This MOU may be renewed for additional period of one year, by mutual written
consent of the parties.

3.3 Termination: This MOU may be terminated by either party by serving 30 days written
notice to the other party in advance of the effective date of termination. The termination
will not affect the responsibilities and obligations of both the parties till the termination
date.

3.4 Coordination: Parties shall coordinate for proper presence and visibility of the project/
Activities/ Program so that maximum people will get benefit.

3.5 Assignment: The parties shall not assign any of their rights or obligations pursuant to this
MOU without the prior written consent of the other party. Notwithstanding the above in the
event of The Foundation being restructured, merged with, amalgamated into or acquired
by any of its group companies, parent, affiliates, holding companies or subsidiary
companies (“Corporate Entity”) in any manner including by way of an agreement or
pursuant to a court order, The Foundation is deemed to have the absolute right (without
an express written cent of AISECT to transfer, assign or novate this MOU or a part thereof
to such corporate entity. Such Corporate Entity shall be deemed to be the Company under
this MOU with all the other terms and conditions of this MOU remaining unchanged.

3.6 Representations and Warranties: Each Party hereby represents and warrants to the
other Party as follows:

3.6.1 It is duly organized and validly incorporated body, as the case may be, and has full
power and authority to enter into and to perform its obligations under this MOU.

3.6.2 The execution, delivery and the performance by it of its obligations under this MOU
have been duly and validly authorized by all necessary corporate actions on the part of it.
This MOU constitutes a legal, valid and binding obligation of such party enforceable
against it in accordance with its terms.

3.6.3 The execution, delivery and performance by such party and the acts and
transactions contemplated hereby do not and will not, with or without the giving of notice
or lapse of time or both, violate, conflict with, require any consent under or result in a
breach of or default under:

(a) applicable law; or

(b) any order, judgment or decree applicable to it; or

(c) any term, condition, covenant, undertaking, agreement or other instrument to


which it is a party or by which it is bound;

3.6.4 There are no legal, quasi-legal, administrative, arbitration, mediation, conciliation or


other proceedings, claims, actions, governmental investigations, orders, judgments or
decrees of any nature made, existing, or pending or, to its best knowledge, threatened or
anticipated, which may prejudicially affect the due performance or enforceability of this
MOU or any obligation, act, omission or transactions contemplated hereunder; and

3.6.5 That it will comply with all applicable laws and regulatory requirements in connection
with the performance of its obligations under this MOU and will not do or permit anything
to be done which might cause or otherwise result in a breach of this MOU or cause any
detriment to the transactions herein envisaged.

3.6.6 Parties have the expertise, skills, experience and the necessary resources to
perform the activities envisaged by this MOU.

3.6.7 AISECT represents and warrants that the articles of association/ trust deed or any
other constitutive documents (as the case may be), adequate registration documents and
the requisite power of attorney which clearly details its incorporation details, its right to
undertake the activity/SOW and its authority to enter into the MOU submitted are true,
bona fide and accurate in all material respects.

3.6.8 AISECT shall not disclose, reveal and publish The Foundation’s participation and
funding made under this MOU to anyone including media, press and public without prior
expressed permission from The Foundation.

3.6.9 AISECT represents and warrants that the information given in the response to tender
and any prior or subsequent information or explanation furnished by AISECT to The
Foundation are true, bona fide and accurate in all material respects. AISECT has the
necessary infrastructure and assistance of high reputes along with appropriate content,
technical inputs and instruments required for implementing of the activity/ SOW.

3.7 Confidentiality of Information and Secrecy: The parties shall keep any information
which either Party learns about or receives from the other Party pursuant to this MOU in
strict confidence and will not disclose the same to any third party without the prior written
consent of other Party, except to their authorized agents, representatives and to such
extent as may be necessary for the performance of this MOU or which is required to be
disclosed by any law, rule or regulation of any government agency or court order. Neither
party shall use proprietary information received from other Party for any purpose other
than the objective and task agreed under this MOU subject to clause 3.6.8 of this MOU.
The provisions of this clause shall survive the expiry of termination of this MOU for a period
of 3 years.

3.8 Indemnity: AISECT (Party) shall defend, indemnify and hold The Foundation, its affiliates,
contractors, sub-contractors and respective directors, officers, employees and agents of
the foregoing harmless from and against any and all costs (including legal costs), losses,
damages, expenses, demand, claims, actions or suits that they may suffer or incur
whatsoever, including third party claims for damages incurred for not being in compliance
with applicable laws, rules and regulations and also against any losses, damages or
expenses suffered or incurred or that may be suffered or incurred by the other Party as a
result of or in relation to, any breach or non-fulfilment of any of its representations,
warranties, undertakings and covenants set out in this MOU.

The terms ‘Affiliate" or "Affiliates" included in this MOU, in relation to a Party, shall mean
any company or legal entity which controls either directly or indirectly a Party or is
controlled directly or indirectly by a Party or is directly or indirectly controlled by a company
or legal entity, which directly or indirectly controls a Party. For the purpose of this definition,
"control" means ownership or control of at least 50% (fifty percent) of the registered capital
of such company or legal entity or the right to exercise more than 50% (fifty percent) of
the voting rights of such company or entity.

Notwithstanding anything to the contrary in this Agreement, in no event shall either Party
be liable to the other, whether arising under MOU, tort (including negligence), strict
liability or otherwise, for loss of business or anticipated profits, loss of opportunity, loss of
reputation and any indirect, consequential, special, punitive, exemplary or incidental loss
or damages of any nature arising at any time from any cause whatsoever

3.9 Dispute Resolution and Jurisdiction: This MOU shall be governed by and construed in
accordance with the laws of India (excluding any of its conflict of law rules which would
direct or refer to the laws of another jurisdiction) and shall be subject to the exclusive
jurisdiction of courts at New Delhi. Any dispute, disagreement, claim or other difference
arising out of or in connection with this MOU (a “Dispute”) shall be resolved in accordance
with this Clause 3.10 (Dispute Resolution). Any dispute or difference whatsoever arising
between the parties out of or relating to the interpretation, meaning, scope, operation or
effect of this MOU or the existence, validity, breach or anticipated breach thereof or
determination and enforcement of respective rights, obligations and liabilities of the parties

thereto shall be amicably settled by way of mediation. If the dispute is not conclusively
settled within a period of forty-five (45) days from the date of commencement of mediation
or such further period as the parties shall agree in writing, the dispute shall be referred to
and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996 and
rules made thereunder (as amended from time to time), which are deemed to be
incorporated by reference into this clause. The arbitration shall be conducted as follows:
(i) A sole arbitrator shall be appointed in case the value of claim under dispute is less than
Rs. 50,00,000 (Rupees Fifty Lacs Only) and in any other event by a forum of three
arbitrators with one arbitrator nominated by each Party and the presiding arbitrator
selected by the nominated arbitrators. (ii) The language of the mediation and arbitration
proceedings shall be English. The seat of arbitration shall be New Delhi, India. (iii) The
award made in pursuance thereof shall be final and binding on the parties.

3.10 Force Majeure: Neither party shall be considered to be in breach of its obligations if it is
unable to fulfil obligations due to reasons beyond its reasonable control, specifically (a) an
Act of God, fire, flood, earthquake, epidemic, pandemic, natural disaster or extreme
natural event war, riot, insurrection, civil commotion, mobilization or military, call up of a
comparable scope (d) any direction, judgement, decree or any other order passed by any
judicial/ quasijudicial/ administrative authority and/or any direction passed by the
government authority/(ies), which restrains the performance of obligations herein (“Force
Majeure”). If any Force Majeure event continues for more than 30 days, The Foundation
shall have an immediate right to terminate this MOU and accordingly, no costs will be
payable to AISECT for the unfulfilled obligations/scope in case of such termination.

3.11 Liquidity Damage: In the event of Service Provider fails to,

a) mobilize the team within 30 days from date of issuance of MoU or

b) start the activities as per Scope of Work (refer Annexure 1) or

c) perform as per the relevant criteria in the performance evaluation scorecard (mutually
agreed) if any,

due to reasons not attributable to company, liquidated damages shall be applicable


@0.75% (zero-point seven five percent) per month of delay or part thereof subject to
maximum of 5% (Five percent) of the MoU value.

Where required, the Foundation shall raise an invoice to the Service Provider for the
liquidity damages as determined above.

3.12 Notices: All notices and other communications required or permitted to be given
hereunder shall be in writing and shall be delivered personally or sent by bonded overnight
courier or mailed by registered mail with postage prepaid or sent by confirmed facsimile
at the address for such Party hereto shown below:

Article 4: Miscellaneous: -

4.1 Registrations: AISECT must be registered under FCRA, 80G & 12A and shall also
confirm the same by submitting the photocopies of the respective certificates to The
Foundation before the commencement of the project.
4.2 Fund Utilization Certificate: On completion of the project or periodically during the
project (as agreed), AISECT shall provide the fund utilization certificate to The Foundation.
4.3 Refund of Unutilized funds - In case AISECT fails to complete the project or grants could
not be utilized by AISECT then AISECT shall utilize the funds as per guidance provided
by The Foundation. The unutilized funds shall be utilized during the same financial year in
which they are disbursed.
4.4 All activities pursuant to the MOU shall be in compliance with the requirements of all
applicable laws and regulations prohibiting discrimination on grounds of race, colour,
sexual orientation, national origin, disabilities, religion, age, or sex.
4.5 (i) AISECT shall at all times perform this MOU in a lawful manner consistent with the
highest ethical standards and principles, including strict adherence to The Foundation’s
Code of Business Ethics and The Foundation’s Human Rights Policy including the Modern
Slavery Act provisions and in case of breach thereof, the same shall be treated as a breach
of this MOU. AISECT shall not at any time enter into any arrangement with personnel,
officers or agents of The Foundation or its Affiliates or the other Co-venturers without The
Foundation’s prior written approval. AISECT shall maintain records and provide to The
Foundation upon request such records and evidence, as The Foundation may reasonably
require, confirming AISECT compliance with the obligations under Clause 4.6

(ii) AISECT confirms having read and understood the Code of Business Ethics and Insider
Trading Prohibition Policy, a copy of which has been provided to AISECT and which inter
alia includes (i) measures for prevention of corrupt practices, unfair means and illegal
activities including compliance of all anti-bribery and anti-corruption laws and regulations
of India, Foreign Corrupt Practices Act, 1977 of USA and UK Bribery Act, 2010 ; and (ii)
adherence to the insider trading prohibition laws and regulations of all jurisdictions,
including but not limited to SEBI (Prohibition of Insider Trading) Regulations, 2015 [SEBI
(PIT) Regulations, 2015]. AISECT confirms that he/she has read the relevant regulations
stated above and policies of The Foundation at the time of entering into this Contract and
undertakes to abide by the terms thereof to the fullest extent at all times. AISECT affirms
that it has formulated a Code of Conduct and instituted appropriate measures to comply
with the requirements of SEBI (PIT) Regulations, 2015 as amended from time to time.

(iii) In conducting its business, AISECT shall not, at any time, either directly or indirectly,
in the name of, on behalf of, or for the benefit of The Foundation, its Affiliates or other Co-
venturers, offer, pay, promise to pay, or authorize the payment of any money and/or gift,
or offer, give, promise to give, or authorize the giving of anything of pecuniary value or
otherwise to (a) any official, employee, agent, or representative of any government, or any
government department, agency, or instrumentality thereof; (b) any political party or official
thereof, or to any candidate, nominated or otherwise, for political office; or (c) any official,
employee or agent of The Foundation, its Affiliates or other Co-venturers; in each case for
the purpose of influencing any act or decision of such official, employee, agent, party, or
candidate or inducing such official, employee, agent, party, or candidate to do or omit to
do any act in violation of the lawful duty of such official, employee, agent, party, or
candidate, or securing any improper advantage for or otherwise promoting the business
interests of the AISECT in any way. AISECT shall require each of its directors, officers,
employees, agents, consultants, subcontractors and suppliers to comply with the
provisions of this clause.

(iv) AISECT shall declare any conflicts of interest with The Foundation including
relationship or financial interest of any nature whatsoever with employees, managers,
other suppliers, vendors or stakeholders of The Foundation. AISECT shall not use the
services of any employees of The Foundation whether directly or indirectly or offer any
inducement or give, offer or promise any gifts, reward, bribes, compensation, kickbacks
or any favour or thing of value to an employee of The Foundation or any person connected
with such employee. AISECT undertakes that in the event of use of any corrupt practices
by it, The Foundation shall be entitled to terminate this MOU forthwith and recover from
AISECT, the amount of any loss arising from such termination. A determination of The
Foundation or its nominee to the effect that a breach of the aforesaid undertaking has
been committed shall be final and binding on AISECT. The Parties agree to comply with
the provisions of the UK Bribery Act, 2010 and in case of a breach thereof, the same shall
be treated as a breach of this MOU.

If at any time during execution or performance of this MOU AISECT if faced with any
undue demand, request for gratification or favour from any employee of The Foundation
or a personal connection wipersonalhconnected AISECT must report the same
immediately at vedanta.wishtleblower@vedanta.co.in

(v) In the event The Foundation believes that AISECT is engaged in corrupt practices or
is acting in contravention of the aforesaid provisions defined in this clause, during the
existence of this Contract, The Foundation shall have the right to take appropriate action,
which may include the immediate termination of this MOU.

4.6 This MOU constitutes the entire agreement and understanding between the parties with
respect to its subject matter and overrides and supersedes all previous agreements
representations, written documents, correspondence and understanding of the parties,
whether in writing or otherwise.
4.7 Nothing in the MOU shall, or shall be deemed to, create an agency, a partnership or a
relationship of employer and employee between the Parties.

4.8 If any clause or provision of this MOU is prohibited, invalid or unenforceable in any
jurisdiction, that provision will, as to that jurisdiction, be ineffective to the extent of the
prohibition, invalidity or unenforceability without affecting or invalidating the remaining
provisions of this MOU or affecting the validity or enforceability of that provision in any
other jurisdiction, unless it materially alters the nature or material terms of this MOU.

4.9 A failure or delay in exercising any right, power or privilege in respect of this MOU will not
be presumed to operate as a waiver, and a single or partial exercise of any right, power
or privilege will not be presumed to preclude any subsequent or further exercise, of that
right, power or privilege or the exercise of any other right, power or privilege. All waivers
under this MOU must be made in writing.

promised to pay, or authorized the payment of any money, or offered, given, promised to give, or
authorized the giving of anything of pecuniary value, or otherwise, to any agent or agency or
otherwise to any person, organization or third party in procuring the Project/ Activity/ Program or
forbearing to do or having done any act in relation to the obtaining or execution of the MOU or
any other agreement with The Foundation for showing or forbearing to show favour or disfavour
to any person in relation to the MOU or any other agreement with the Company.

5.I hereby declare, as of the date hereof, that neither I, nor any of AISECT members, officers,
owners or employees, are; (a) public officials or hold government office, except for (name and
position in AISECT organisation) at (name of the public or government office); (b) do not and will
not employ or otherwise compensate or offer to compensate any public officials, or make or cause
another to make any direct or indirect offers or payments to any public officials, for the purpose
of influencing or inducing any decision for the benefit of AISECT (c) will not employ any
subcontractor, consultant, agent or representative in connection with this MOU or Purchase Order
without a thorough documented examination of his person, reputation and integrity, and; (d) will
not employ any subcontractor, consultant, agent or representative who does not comply with the
terms and conduct of the Code of Business Ethics and in the event of any such violation coming
to its attention will inform the The Foundation immediately.

directors, owners, employees, consultants or agents have any Conflict of Interest (as defined in
ITT).

In the event, Company finds any non-compliance to any of the above undertaking(s), I
acknowledge the right of the Company to declare the Contract null and void.

healthcare, and empowering women with skill development.

About Nand Ghar

Nand Ghars are a network of Modern Anganwadis designed to address the challenges faced by the
network of 13.7 lakh Anganwadis in India. The Model reimagines the existing Anganwadi Network present
across the country and enhances the role of Anganwadi in the community.

Government Convergences

Vedanta has signed an MoU with the Ministry of Women and Child Development to construct 4000 Nand
Ghars across India.

Our Nand Ghar project is in line with Hon. Prime Minister’s flagship schemes: Swachh Bharat, Beti Bachao
Beti Padhao and Start-up India by equipping Nand Ghars with televisions for e-learning, solar panels for
reliable power, safe drinking water and clean toilets and empowering women by making them
entrepreneurs.

Infrastructure

The state-of-art technology and infrastructure make Nand Ghar a model resource centre for the
community. Some of the key features are:

• Clean Hygienic toilets: For healthy sanitation and inculcating behavioural changes
• Smart TV: E-Learning of children
Water Purifiers: Safe drinking water for Nand Ghar children and women

Operations

Once the Nand Ghars are open the infrastructure is being utilized in the morning
time for children’s education and in the afternoon for the skill development of women.
The Nand Ghar centre daily provides:

• Pre-school education to children (3-6 years) through e-learning, BaLA designs and smart
kits.
• Nutrition through hot cooked nutritious meals to children, pregnant and lactating women.
• Healthcare through Mobile Health Van and Tele-Health Services.
• Women empowerment through Skill, credit linkage and entrepreneurship development.

Nand Ghar Impact

Today ~2450 Nand Ghars are running across Rajasthan, Odisha, Uttar Pradesh,
Jharkhand, Chhattisgarh, Karnataka, Madhya Pradesh, Punjab, Himachal Pradesh,
Assam, Gujarat, and Goa are a testimony to our commitment of constructing 4000 Nand
Ghars across India.

The Impact is paving way for the model Anganwadi movement across the country.

• More than 90,000 children are being provided with pre-school learning through
advanced teaching-learning methodologies including television, WhatsApp
Groups and IVRS.
• 30,000 OPDs are being conducted per month by ten Nand Ghar Mobile Health
Vans and Tele-Health Services.
• More than 50,000 women have been trained and have started their own
micro-enterprises or are supplementing their income through regular job work

The Nand Ghar Reach

The Nand Ghar Project aims to touch the lives of around 4 million community
members while directly impacting around 2,00,000 children and around
1,80,000 women on an annual basis.
