This is to inform that Company has signed a MOU for transfer of its lease hold rights on
the spare land in Industrial Area Paonta Sahib for a sum of Rs. Four Crores. The amount
shall be directly used towards part payment of one time settlement [*OTS+) recently
concluded with its lenders.

The current Composting operations on this land are proposed to be shifted to its.mother
unit at Village Shubhkhera Paonta Sahib thereby saving substantial reiurring amount
on management of separate premises besides modernizing the facility for higher
productivity of Mushrooms.
