Dear Kyle:

This letter will serve as confirmation of our agreement as regards the terms of your
employment at Teachers Learning Center as Administrative Assistant.

A. Commencement Date

This Agreement (“Agreement”) and the terms of this Agreement shall commence on 13 March
2020
(“Commencement date”), or a later date as agreed between you and the Company.

B. Consideration

1. Basic Salary

Your starting gross Basic Salary will be Six Hundred Forty (USD $640.00) per month, guaranteed
for 13 months.

An annual review will be conducted and a possible additional adjustment may be given at the
Company’s sole discretion based on your and the Company’s performance.

There will be a 1 month probationary period before you become permanent staff.

2. Annual Performance Bonus

You may be given an Annual Performance Bonus by the Company at its sole discretion based on
your and the Company’s performance.

3. Paid Leaves

a) Vacation Leave
You will be entitled to fifteen (15) working days paid vacation leave for each year of service.

b) Sick Leave
You will be entitled to fifteen (15) paid sick leaves annually. Any unused portion can be
converted to cash subject to government imposed taxes.

c) Bereavement Leave
Entitled to 3 days Bereavement Leave with pay if the person who dies is the legitimate spouse,
parent, or child of the employee. Entitled to 2 days Bereavement Leave if the person who dies
is legitimate full blood brother or sister of the employee

4. Retirement Plan
You will be enrolled in the Company’s Retirement Plan.

5. Notice of Termination

Termination for cause:

The Company may terminate this Agreement forthwith, without prior written notice, upon the
occurrence of any of the following events: (i) death; (ii) gross negligence or willful misconduct in
the performance of your duties; (iii) abuse of alcohol or of any controlled substances; (iv)
persistent and material breach of this Agreement advised to you in writing by the Company at
the time of the same or (v) dishonesty or disreputable behavior of yourself as determined solely
by the Company.

Termination due to disability:

The Company may, by giving one (1) month prior written notice, terminate this Agreement in
the event of your disability or incapacity due to illness, injury, accident or any other
circumstances beyond your control which occurrence prevents you from discharging in full your
duties pursuant to this Agreement for a total of ninety (90) days in any twelve (12) consecutive
calendar month period, so long as the disability or incapacity shall continue.

Pre-termination
Either party may terminate this agreement anytime by:
a) Your giving the Company one (1) months’ prior written notice to that effect; or

b) The Company giving you one (1) months’ notice to that effect due to your inability to
perform in accordance with the Company’s standards. As a result of the Company serving
notice of pre termination, the Company will pay you a severance pay equivalent to 1 month for
every year of service based on your Basic Pay (excluding bonus, insurance and any other
consideration) in addition to any fee that may be due to you prior to the effective date of
termination.

6. Prohibited Activities

During the period of your employment you may not serve as director or consultant of any other
company outside of the Company, unless there is a prior written consent.

7. Confidentiality

You shall not before or after termination of this Agreement disclose to third parties confidential
information obtained in the course of your engagement with the Company.
