Tax treatment of the benefits depends on BIR regulations in force at the time the benefit was provided. Tax rates are expected to vary. The
company is not liable for any decrease in the value of the benefit as a result of changes in tax regulations.

Dear Maria Liza,
 
We are pleased to offer you an appointment with Genpact Services LLC – Philippines Branch ("Company") as Process
Associate  under the following terms and conditions:
 
TERMS AND CONDITIONS:
1. Compensation and Benefits Details will be as indicated in Annexure of the appointment letter as of February 28, 2023.
 
2. Subject to your continuing satisfactory work performance and the Company’s standing policies on the matter (the latter
of which may change from time to time), your Monthly Basic Salary (MBS) may be reviewed subject to existing company
policy.
 
3. Your initial place of work will be Philippines>Muntinlupa City>Muntinlupa Phil. However, your services are transferable,
and you may be assigned after reasonable notice, to any location in Philippines or abroad where the Company or any one
of its associates or customers, conducts business. While on transfer you will be governed by the rules, regulations and
conditions of service of that location.
 
4. The Company will be operating twenty-four hours a day, 7 days a week. You will be expected to attend office - except
while travelling on business – as assigned to you by your supervisors and as per applicable laws in force. Weekly offs will
be governed as per applicable regulations & Company policies.
 
5. You will be entitled to eighteen working days leave per annum upon confirmation, the use of which shall be  subject to
prior approval by the Company.  Accumulation of leaves will start on your joining date. Accumulation / carry-forward of
leaves will be governed by existing Company policy on the subject.
 
6. Notice to terminate your employment will be accepted by the Company only when it is issued in a form wherein your
identity is ascertainable (such as hard copy letter with original signatures) and upon proper receipt by your Operations
Manager and/or Employee Relations Manager. Notice of termination in electronic form where such identity cannot be
ascertained such as SMS or personal email shall not be accepted as adequate notice of termination for the purposes of
this agreement. Further, in instances where a pending administrative case against you remains unresolved, despite your
submission to the Company of a written notice to terminate (“Resignation Letter”), you acknowledge to abide by the
outcome or resolution of the administrative case pending against you, knowing that such is fully supported by law.
 
7. Post confirmation, you may terminate your services by giving notice in writing as mentioned in clause 6 for 30 days or
payment of salary in lieu thereof. If you chose not to serve the notice period, the Company reserves the right to recover
from you all expenses incurred with regard to any training and development, special education, upskilling or on the job
training provided to you in the course of your employment with the Company up to Php. 75,000/- (Philippine Peso Seventy
Five Thousand only) in addition to notice pay. However the Company reserves the right not to accept payment in lieu of
notice and at its sole discretion enforce the notice period. 
 
8. Your employment and the continuation thereof is subject to: a) periodic performance review where you should get a
rating of not less than satisfactory, particularly during Call Monitoring and Recording; b) your full and faithful performance
with a high standard of honesty, diligence, courtesy, safety, skill, obedience and trustworthiness, of all duties and
responsibilities normally associated to your position and those that will be assigned to you by the Company from time to
time; and c) your full and faithful compliance with the Agreement and Genpact’s Corrective Action Policy (CAP) and Code
of Conduct. Genpact, therefore, reserves the right to terminate your employment on grounds of breach of policy,
misconduct or where your performance has been found to be unsatisfactory. 
 
9. Absence for a period of three consecutive working days  without prior approval of your supervisors, (including overstay
of leave / training), would be treated as abandonment of service and can lead to your services being terminated upon due
process.  In such an eventuality, the Company reserves the right to recover from you, all expenses incurred with regard to
any training and development, special education, upskilling or on the job training imparted by the Company or damages
suffered by Company due to loss of billing up to Php. 75,000/-. The said amount shall be automatically deducted from
your unpaid salaries and benefits, if any. In case your unpaid salaries and benefits are inadequate to cover the Damages,
you shall be liable for such deficiency and you agree that the Company shall not process your Exit Clearance until such
deficiencies are paid in full.
 
10. Should the Company send you to a special training or sign you up in its in-house educational program, for which the
Company shall invest considerable amount, you agree to remain as an employee of the Company for the duration to be
agreed upon between you and the Company before the start of the special training or the educational program, which
duration shall not be less than one year of service to the Company (“Commitment Period”). The training or educational
program may be conducted within or outside the premises of the Company and the Philippines, and at hours to be
designated by the Company. In the course of the Special Training or Educational Program, you shall comply with the
attendance and performance requirements which you acknowledge to have been made known to you on or before the
commencement of the training or educational program and which form part of the Rules and Regulations.

 
11. The Company shall provide you with a personal locker for your personal belongings. You acknowledge that you are
aware of the Company’s policy of prohibiting its employees from carrying or bringing mobile phones, miniature
computers, universal storage devices and any and all other instruments or devices which are capable of storing and/or
transmitting data into the production area. You warrant that you shall not carry or bring such instruments and devices into
the production area of the Company and any such instruments or devices shall be deposited at your personal locker prior
to the commencement of your working hours. Any violation of this provision shall attract action as per Company’s
disciplinary policy in force, including and up to termination.
 
12.  You permit and authorize Genpact, its subsidiaries and authorized third parties engaged in data storage and
processing, to retain as long as necessary, within and outside of the Philippines, your personal information that was
legitimately acquired by Genpact, as an incident to your employment, for the fulfillment of the purposes for which the data
was obtained, in accordance with the reasonable practice and laws applicable, specifically in compliance with the
requirements of Republic Act 10173, otherwise known as the Data Privacy Act of 2012.
 
13. You will automatically retire on attaining the age of 65 years.
 
14. Whilst employed by the Company:

a. You will not be permitted to undertake any other full time or part time employment or engage in any external
activities of a commercial nature without prior written approval. 
 
b. You will be required to effectively carry out all duties and responsibilities assigned to you by your supervisors
and others authorized by the Company to assign such duties and responsibilities. Your performance evaluation will
be done periodically by your supervisors as per the Company appraisal system. 
 
c. Except in the ordinary course of your employment, you shall not divulge to any third party any information
regarding the affairs or business matters of the Company or information regarding its customers without prior
written approval. All information that comes to your knowledge by reasons of your employment with the Company
is deemed to be confidential and any breach thereof, shall be deemed to be a violation of the Company policies
and treated in accordance of clause 8.  
 
d. You confirm that there is no litigation /conviction against you before any Court of law which involves any
criminal offence or offences involving moral turpitude.    
 
e. Employee To Devote Full Time to Company .You confirm that you have disclosed fully all of your business
interests in the Company - whether or not they are similar to or in conflict with the business (es) or activities of the
Company, and all circumstances in respect of which there is, or there might be perceived, a conflict of interest
between Genpact and you or any immediate relatives, Also, you agree to disclose fully and immediately to the
Company any such interests or circumstances which may arise during your employment.
 
f. In addition to the above, you will devote full time, attention, and energies to the business of the Company, and,
during this employment, will not engage in any other business activity, regardless of whether such activity is
pursued for profit, gain, or other pecuniary advantage. You are prohibited from making personal investments in any
other businesses except if those investments do not require active involvement in the operation of said
companies. Under this Rule, “personal conflict of interest” shall include a covered employee’s obligation to disclose
his/her financial interest, personal activity, or relationship in businesses conflicting/competing with Genpact, that
could impair the employee’s ability to act impartially and in the best interest of the Company.
