(hereinafter “COUNTY”),

and Mercury Public Affairs, LLC

(hereafter “CONTRACTOR” or “CONSULTANT”)

WHEREAS, reference is made to that certain document entitled “DELEGATED

AUTHORITY AGREEMENT FOR CONSULTING SERVICES, dated May 4, 2020, and further
identified as Delegated Authority Agreement No. AO-20-014, and any amendments thereto (all
hereafter referred to as “Agreement” or “Contract”); and
WHEREAS, on May 4, 2020, the Chief Executive Officer, in accordance with Government
Code Section 23005 and 31000, entered into an Agreement with CONTRACTOR, to provide
consulting services to the COUNTY; and
WHEREAS, the COUNTY and CONTRACTOR mutually agreed that it is to both of their
benefit to 1) extend the term of the agreement by two months from October31, 2020 to December
31, 2020 and 2) change the CONTRACTOR name from Mercury Public Affairs to Mercury Public
Affairs, LLC.
NOW, THEREFORE, in consideration of the mutual benefits derived therefrom, it is
agreed between the parties that Agreement No. AO-20-014 shall be amended as follows:
1. This Amendment shall commence on the date of execution.

2. Replace all references to Mercury Public Affairs with Mercury Public Affairs, LLC.

3. Section 4.0, Term of Contract, Paragraph 4.1, shall be deleted in its entirety and
replaced as follows:

4.1 The term of this Contract shall commence on the date of execution and shall expire
on December 31, 2020, subject to the COUNTY’s right to terminate earlier for
convenience, non-appropriation of funds, default of CONTRATOR, substandard

performance of CONTRACTOR, non-responsibility of CONTRACTOR, improper

consideration given/offered to COUNTY with respect to the award of this Contract,
and breach of warranty to maintain compliance with the COUNTY’s Child Support
Compliance Program.

Except for the change set forth herein above, Agreement shall not be changed in any respect by
the Amendment.
