SERVICE AND MAITENANCE AGREEMENT

( In respect of Common Services for 01 ( One) unit Passenger Lift at Community Based Medical College a
Winnenrper, Mymensingh, Bangladesh.)

This SERVICE AND MANINTENANCE AGREEMENT is made on this 5 th day of November of Two Thousand
Twenty of the Christian era.
BETWEEN
M/S KHAN TRADERS Company registered under the Companies (as amended in 2018),
having its registered office at Ga-185,Mohakhali, Dhaka-1212. Bangladesh hereinafter called the
CONTRACTOR (which expression, unless excluded by or repugnant to the context, shall mean and
include its successors-in-interest, legal representatives and assignees).

AND
‘‘ Community Based Medical College Winnenrper, Mymensingh, Bangladesh. to be represented by its
Owner hereinafter called the CUSTOMER ( which expression, unless excluded by or repugnant to the
context, shall mean and include his successors-in-interest, legal representatives and assignees

OF THE OTHER PART.


Community Based Medical College a Winnenrper, Mymensingh, Bangladesh. Consisting of a Four-
storied College having 01 (One) Units Passenger Lift are being used by the building.

AND WHEREAS the CONTRACTOR is engaged in providing the Services and Maintenance works for the
lifts against certain charges/fees to be paid by the CUSTOMER.

AND WHEREAS the CUSTRACTOR is pursuant to the provisions of concerned Agreement, the CUSTOMER
do hereby agrees to enter into an Service & Maintenance Agreement with the CONTRACTOR for service
purposes of the aforementioned 01 (One) unit Lift.

Now, therefore, the parties hereto enter into this Service & Maintenance Agreement on terms and
conditions specified here-in-below:
1 CONTRACTOR agrees to carry out the service on the terms and conditions herein Prescribed an
Examination and lubrication service for the following:
SITE : Community Based Medical College a Winnenrper, Mymensingh, Bangladesh.

LIFTS: 01 (One) unit Passenger Lift 700kg, 4 Stops / 4 Opening, AC VVVF & Speed
Community Based Medical College WInnenrper, Mymensingh, Bangladesh.
1. The Contractor shall carry out a planned maintenance schedule to the lifts, during his normal
working hours at a frequency visit once in a month, against the Service & Maintenance
charges/fees to be paid by the CUSTOMER.

2.1. At each maintenance visit, within every month the Contractor’s Representative shall inspect
the Lift; carry out lubrication procedure. minor adjustment as necessary. and as conditions
warrant Replacement of parts to keep the lift in satisfactory working order.

2.2. The Contractor shall inform the Customer in writing for replacement of the spare parts or
Overhauling as and when required to keep the lifts in order well in time.

2.3. The necessary cleaning materials shall be provided by the contractor to maintain the lift along
With all necessary lubrications at his own cost.

2.4. The CONTRACTOR shall replace necessary spare parts as & when required at the most
Reasonable prices to be borne by the CUSTOMER.

3. Pursuant to notification from the customer of a breakdown or failure in the lift the Contractor
shall attend the site as quickly as possible to restore the lift in normal operation.

4. PEPORTS: The Contractor shall report in writing to the Customer after attaining each monthly
routine servicing and maintenance as well as the conditions of the lift in every 3 (Three) months.
That not withstanding the contractor will report in writing to the Customer if any repair not
included in the Contract is necessary.

5. CONTRACT PERIOD : This Agreement will be come into effected from the.

5.1 This Contract shall continue. Thereafter on mutual understanding.

5.2 If not satisfy either party can break this contact with a prior notice before 2 moths.

5.3 During a power failure, reverse phase, high voltage/low voltage from PDB or the power supply
source, then the lift will not be in operation.

6. That in order to meet the establishment cost and other expenses for dispensing the routine
Servicing the CUSTOMER shall pay a monthly payment of service charges/fees of
tk. 3360 X 1 = 3360/- ( Taka Three thousand Three Hundred Sixty Taka only) Including Vat
and Tax for 01 (One) Unit Lift to the CONTRACTOR well in advance within 07 days of every
following month.
7. OPERATION: The Customer shall permit employees or agents of the Contractor to enter upon
the Premises and shall make the said lift available to them till such time and or such period as
may be Necessary for the performance of this contract.

8. SUSPENSION CLAUSE: The Contractor shall have the right, On giving to the Customer notice in
Writing to suspend all service visits in the event of outstanding invoices remaining unpaid more
than 90 (Ninety) days in respect of repairs, renewals. Until such time as such invoices have been
paid, the Contractor shall be relived of all liabilities under the contract. Resumption of
maintenance visits is Conditional upon the making good of any deterioration in the lift during
the period of suspension, the Cost of which will be borne by the customer.

9. The Contractor shall be under on liability for a fulfillment of any obligation to the extent that this
is Prevented, frustrated or impeded as a consequence of strikes, lock-outs, fire, explosion,
floods, riot, Civil commotion, war, malicious damage or act of God till the time period for which
circumstances and their effects remain in force.

10. This Contract contains the whole agreement between the parties and no other terms or
variations shall be effective unless in writing and signed by both parties.
