PUREGOLD PRICE CLUB, INC.

I. COMPANY PROFILE

A. DESCRIPTION

Puregold Price Club, Inc. operates wholesale and retail stores, including supermarkets.
It offers a wide array of goods from groceries, apparel, household accessories and furniture at
very affordable prices.

Puregold Price Club, Inc. was incorporated on September 8, 1998 and opened its first
Puregold hypermarket store in Mandaluyong City in December of the same year. In 2001, it
began its expansion by building 2 additional hypermarket stores in Manila and Paranaque. It
also launched its loyalty program, which was eventually renamed “Tindahan ni Aling Puring” in
2004.

In 2008, Puregold was recognized by Reader’s Digest Asia’s as the Most Trusted Brand
in the supermarket category. To expedite market coverage, a new format called “Puregold Jr.
Supermarket” was introduced in the 4th quarter of 2008. By mid-2009, the Company gained
market leadership being the second largest hypermarket and supermarket retailer in the
Philippines in terms of net sales. By 2010, it was already operating 62 stores, and launched
another format called, “Puregold Extra”. In the same year and henceforth, Puregold was
recognized by Retail Asia Pacific as one of the top 500 retailers among the 14 economies of the
region.

2011 saw the highest number of store openings in Puregold history with the launch of 38
new stores making its number of stores to a total of 100. In 2014, Puregold opened 28 stores, 1
S&R store and 4 S&R New York Style Pizza/quick service restaurants (QSR).

By the end of 2016, Puregold was operating a total of 147 hypermarkets, 100
supermarkets, 29 extra, 1 minimart, 12 S&R warehouse clubs, 23 S&R-QSRs, 9 stores under
NE Bodega and 8 Budgetlane stores, for a total of 329 stores across the country.

B. PRIMARY PURPOSE OF THE CORPORATION

Based on the Amended Articles of Incorporation of Puregold, dated November 22, 2010,
the corporation has the primary purposes as stated below:

“To engage in conduct and carry on the business of buying, selling, distributing,
marketing at wholesale/retail insofar as may be permitted by law, all kinds of goods,
commodities, wares and merchandise of every kind and description such as but not
limited to consumer goods; to enter into all kinds of contracts for the export, import,
purchase, acquisition, sale at wholesale or retail and other disposition for its own
account as principal or in representative capacity and manufacturer’s representative,
merchandise broker, indentor, commission merchant, factors, or agents upon
consignment of all kinds of goods, wares, merchandise or products whether natural or
artificial, food or non-food, except as broker/dealer of securities.”

C. SECONDARY PURPOSE OF THE CORPORATION

The following are the secondary purposes of Puregold Price Club, Inc.:

1. To carry on a general import and export business as well as a general


commission business
2. To enter into arrangement or contracts with the government or any of its
agencies and to obtain all rights, licenses, concessions and privileges that may
be conducive to the objectives of the Corporation so far as the same is allowed
by law
3. To apply for, obtain, register, purchase, lease or otherwise acquire and to the
extent authorized by law to hold, use, own, operate, develop and introduce, sell,
assign and otherwise dispose of any trademarks, trade names, distinctive marks,
patents, inventions, concessions, franchises, improvements and processes used
in connection with or secured under letter patent of the Philippines or other
countries
4. To borrow or raise money necessary to meet the financial requirements of the
business by the issuance of bonds, payment in cash and other evidence of
indebtedness, and to secure the repayment thereof by mortgage, pledge, deed of
trust or lien, upon the properties of the corporation or to issue pursuant to law
debentures and other evidence of indebtedness in payment for properties
acquired by the corporation, as well in the prosecution of its lawful business
5. To invest and deal with the moneys or properties of the corporation in such
manner as may from time to time be considered wise or expedient for the
advancement of its interests and to sell, dispose of or transfer the business
properties and goodwill of the corporation or any part thereof at an opportune
time to further the objectives of the corporation
6. To establish and operate one or more offices or agencies to carry on any of or all
its operations and business without any restrictions as to place or amount
including the right to hold, purchase or otherwise acquire, lease, mortgage,
pledge and convey or otherwise deal in and with real and personal property
anywhere within and outside the Philippines, as may be permitted by local laws
of this country or the host country.

C. MERGER

In 2012, Puregold acquired a related retail company, Kareila Management Corporation,


with 6 S&R Membership Shopping Warehouses (patterned after the Costco and Sam’s Club in
the USA), opened 31 new Puregold organic stores and acquired Gant Group of Companies
known as “Parco supermarkets” with 19 stores.

In 2013, Puregold acquired another supermarket chain, Company E Corporation, with 15


stores and opened 40 new stores. S&R opened 2 warehouses located in Davao Province and
Mandaluyong City. Company E and Gant Group of Companies later merged with Puregold.

It also partnered with Lawson, Inc. and Lawson Asia Pacific Pte Ltd. under a joint
venture company called PG Lawson, Inc. PG Lawson plans to build and operate a chain of
Lawson convenience stores all over the Philippines targeting a total of 500 stores by 2020. The
parties’ investment share is 70% Puregold and 30% Lawson.

III. MILESTONES

Based on the official website of the corporation, Puregold disclosed three major events
in line with their corporate social responsibility, such as giving donations, ensuring good
environmental performance, and initiating a blood donation activity.

50 Million Donation
A 50 Million Peso donation by Puregold Price Club, Inc. and Luis Co Chi Kiat
Foundation was given to The One La Salle Scholarship Endowment Fund on October 7, 2010.
In a simple turn-over ceremony held at the De La Salle University along Taft Avenue, Manila.

Mr. Lucio Co, Director of the LCCK Foundation handed over the donation to One La
Salle Steering Committee Co-Chairman Br. Augustine Boquer FSC and the Vice Chancellor for
Lasallian Mission & External Relations for DLSU Br. Bernard Oca FSC.

The aim of Puregold and LCCK Foundation is to provide scholarships to deserving


children who do not have the means to enroll in prestigious schools such as DLSU. With this
donation, more children will be able to realize their dreams of pursuing college degrees.

Puregold Donates Blood to Philippine National Red Cross

Last June 28, 2011, Puregold, in collaboration with the Philippine Red Cross (PRC) –
National Blood Center, initiated a mass blood donation activity. A total of 52 units of blood were
collected from enthusiastic Puregold employees from different departments. Each blood unit will
benefit two to three blood recipients. PRC deeply expressed its gratitude for the generosity of
Puregold employees, as this will contribute in their advocacy to save lives and alleviate human
sufferings. Puregold in the same way felt privileged as the event led them to partially fulfill its
mission to humanity.

Puregold Gets Four

Laguna Lake Development Authority headed by its General Manager, Mr. Rodrigo E.
Cabrera, in a night of recognition of socially responsible companies conferred awards to various
industries in the Laguna Lake Region for its good environmental performance for the year 2009.
The awards were in compliance with effluent standards and with the regulatory requirements set
by LLDA.

Puregold received a total of four Blue Rating for the 5th Cycle of the Laguna Lake Region
Public Disclosure Program given last December 14, 2010 at the Hotel Rembrandt in Quezon
City. The awards were conferred to Puregold Qi-Central, Puregold San Pablo, Puregold Taytay
and Puregold Zabarte.

On hand to receive the awards were Ms. Nicy D. Carolino, Puregold Vice-President for
Administration, Puregold Store Managers Mr. William Chiucinco and Ricky Yebra and Puregold
Pollution Control Officer, Mr. Clarence Clarito.
