work is linked to all of the business activities of the company thus implementing their
business concepts in every step of the way. In this regard, TOYOTA does not
tolerate illegal or criminal acts or acts in violation of the company policy and rules,
regardless of whether such acts were motivated “in the interests of the company” or
“in the interests of the customer”.They are expected to comply with the law and
should always act with awareness and responsibility. They rise to the challenge of
solving the many issues that arise, as customer needs diversify and as progress is
made in TOYOTA’s globalization, such as mastering of the world’s most advanced
technologies, establishing the world’s most suitable procurement and supply
networks, meeting environmental and safety standards, and improving customer
satisfaction.

Toyota Programs
Establishment of the Waste Reduction Liaison Committee
A program for the effective use of materials by halving waste. Initial
energy-saving measures included reducing lighting in the vicinity of windows
and in corridors, addressing leaks of compressed air, and lowering heating
temperatures.

Establishment of Code of Conduct


Provides a cultural worldview. It is a way of being, of doing, and
thinking — the Toyota Way. Common sense, fitting-in with society, safety,
respect for people, responsibility to society, and customer focus are just some
of the repeated themes all throughout the Code of Conduct.

Development of Toyota Production System


Maintains the safety and quality of products and to comply with laws related to
production and distribution. It continues to evolve according to the characteristics of
particular regions of the world and aims to achieve worker and environmentally
friendly plants.

Caution Concerning Insider Trading


TOYOTA possesses a large amount of valuable internal (confidential)
information and does not allow people working for it to engage in insider trading,
such as using confidential information to buy and/or sell stocks. We must understand
that insider trading is clearly not permitted. Not only is it illegal in many countries, but
it also destroys the mutual trust that TOYOTA has built with its investors, affiliated
companies and business partners. Therefore, we shall not engage in or permit any
insider trading. It is a manifestation of their Guiding Principle 1 - Honor the language
and spirit of the law of every nation and undertake open and fair corporate activities
to be a good corporate citizen of the world.

Under Japanese Financial Instruments and Exchange Laws (the "Exchange


Law"), subject to certain exceptions, any person who receives certain material
information relating to the business, etc., of Toyota which may be contained in this
document is prohibited from trading in Toyota's shares or certain other transactions
related to such shares (as set forth in the Exchange Law) until such material
information is deemed to be made public.

Under the Exchange Law, material information is deemed to be made public


when (i) such material information is disclosed by ways of electromagnetic means as
prescribed by the ordinance of the Cabinet Office (posting on the TDnet (Timely
Disclosure Network) information service and ED-NET (Electronic Disclosure
Network) information service) or (ii) twelve (12) hours have elapsed since a listed
company, such as Toyota, disclosed such material information to at least two (2)
media sources as prescribed by the Exchange Law.
