MOTORVEHICLE SALES AGREEMENT

This agreement is made on this 03rd day of July, 2020

BETWEEN

The undersigned ELIFAIDA EMMANUELY MSANGI of P.o.box 99, Dar es

salaam. (hereinafter referred to as (Vendor).
AND

The undersigned, SIRILA JOSEPH KIMORURU, (the "PURCHASER"), with P.o.box

14342, Arusha, Tanzania.

PROPERTY SOLD: Vehicle in the name of ELIFAIDA EMMANUELY

MSANGI, make: Toyota Saloon, Model: IST with
Engine no: 2NZ2289471, Chassis No: NCP600010147,
Gold in color, registration No. T840 DLC, Card no:
7637484.

CONSIDERATION: Tanzania Shillings Five million only (Tshs.

5,000,000/=) which are paid in cash at the signing of
this contract.

THE AGREEMENT WITNESSES AS FOLLOWS;

1. Vendor shall sell and the Purchasers shall buy the property herein sold at
the purchase price afore-mentioned free from all encumbrances
whatsoever;

2. That it is mutually agreed between the parties hereto that shortly upon
the signing of this Agreement the Vendor shall simultaneously handover
peaceful possession of the said vehicle herein sold to the Purchaser;

3. Vendor acknowledges to have received the purchase price of Tanzania

Shillings Five million only (Tshs. 5,000,000/=) and the Purchaser shall
make all necessary arrangements to transfer the above property into his
name.

4. All costs and expenses incidental to the Transfer of ownership of the said
Vehicle shall be borne by the Purchaser.

5. That the Vendor binds himself to the Purchaser; that the Purchaser shall
take peaceful possession and occupation of the vehicle upon rectification
of minor defects found in the car of the property without being disturbed
by third parties;
6. Since the sold motor vehicle got an accident and thus it has defects in it;
The purchaser shall buy it with its latent and patent defects found in the
vehicle.
7. That the Vendor and the Purchaser have agreed to be bound by the terms
and conditions, and spirit of this Agreement;

8. That in case of ambiguity, the terms, conditions and spirit of this

Agreement shall always prevail;

9. That in the case of breach of any of the terms and conditions above
stipulated, the party aggrieved shall at first instance resort to the
negotiation, and if that fails then to the Arbitrator chosen by the parties
who shall also choose the umpire. The final resort to be Court of
competent jurisdiction for legal redress;

IN WITNESS WHEREOF: the parties herein have hereunto freely, with their
own accord and satisfaction and with no duress but with sound mind set their
hands on the day, month and year hereinafter appearing.
