SECTION 1: EOI Notice
LucknowSmart City Limited (LSCL), invites Expression of Interest (EOI) from eligible
Bidders through e-tendering Portal (https://tenderwizard.com/LMC) for selection of agency
for design, build, finance operate and maintenance of public bicycle sharing system in
Lucknow city in PPP Mode under Smart City Mission.
To begin with, LSCL invites applicants through this EOI to propose on suitable financial
model under the PPP mode to design, develop, built and finance the project where the
Concessionaire shall also have operation and maintenance responsibilities with part sharing of
revenue with LSCL. Based on the responses of EOI, LSCL shall finalize on the financial
mode, TOR (Terms of Reference)l and concession period, and initiate further procedure of
inviting the private entities to bid as Private Vendor/Concessionairefor design, build, finance
operate and maintenance of public bicycle sharing system in Lucknow city in PPP Mode
under Smart City Missionon the basis of Notice Inviting Tender (NIT).
Interested Applicants are advised to study this EOI document carefully before submitting
their proposals in response to the EOI document. Submission of a proposal in response to this
EOI shall be deemed to have been done after careful study and examination of this document
with full understanding of its terms, conditions and implications.

for the proposed project Development in the city of Lucknow PPP Mode under smart city
mission.

person. The purpose of this EOI is to provide interested parties with information that may be

useful to them in the formulation of their Proposals pursuant to a specific Request for
Proposal (RFP).
This EOI includes statements, which reflect various assumptions andassessments arrived at by
the Authority / Employer in relation to the Project. Such assumptions, assessments and
statements do not purport to contain all the information that each bidder may require. This
EOI may not be appropriate for all persons, and it is not possible for the Authority/ Employer,

SECTION 2: INSTRUCTION TO AGENCY
2.1 Technical Qualification Criteria
To be eligible for evaluation of its Proposal, the Applicant shallfulfill the following:
A. Technical Capacity:
2.1.1 Applicant should have experience of providing, operating & maintaining cycle sharing
services with a minimum fleet size of 700 bicycles in all projects together operating in India
in last 5 financial years and at least 200 bicycles in any one single project being operated in
India.
2.1.2 The Applicant shall submit exposure details on ongoing /completed engagements on its
letter head having mention of Experience as Developer (Investor) cum Operator with
successful project (s) on PBS system or PBS system(s) in operation, including duration of
services provided and the number of bicycles used / in use for the project in last 5 Financial
Years.
B. Financial Capacity:
The Applicant shall have minimum annual turnover of INR 3 Cr from supply, operation
&maintenance of PBS including its allied activities during last 3 (three) consecutive financial
years immediately preceding the Proposal Due Date. In case of consortium, this is applicable
to “Lead member” and the Total Turnoverof the consortium should be more than INR 4 cr
during each of the last 3 consecutive financial years. The average positive net worth of
Bidder/Agency/Consortium in last 3 financial years shall be at least INR 1 Cr.
2.1.3 The Applicant shall enclose with its Proposal, certificate(s) from its statutory auditors
stating its total revenues andrevenue from supply, operation & maintenance of PBS during
each of the last three financial years.
2.1.4 The Applicant should submit a Power of Attorney, however, that such Power of
Attorney would not be required if the Application is signed by a partner of the Applicant, in
case the Applicant is a partnership firm or limited liability partnership. In the event that the
Applicant is a company within the meaning of the Companies Act, 2013, the Applicant shall

also provide the resolution of the Board of Directors regarding the delegation of such
authority to the constituted attorney. In the event that the Applicant is a partnership firm or a
limited liability partnership, the partnership deed shall be submitted for the purpose of
verification of the veracity of suchapplication by the purported partner in such partnership
firm or a limited liability partnership.
2.1.5 Any entity which has been barred by the Central Government, any State Government,
a statutory authority or a public sector undertaking, as the case may be, from participating in
any Project, and the bar subsists as on the date of Proposal, would not be eligible to submit a
Proposal either by itself or through its Associate.
2.1.6. An Applicant or its Associate should have, during the last three years, neither failed to
perform on any agreement, as evidenced by imposition of a penalty by an arbitral or judicial
authority or a judicial pronouncement or arbitration award against the Applicant or its
Associate, nor been expelled from any project or agreement nor have had any agreement
terminated for breach by such Applicant or its Associate and neither shall the Lead/JV firm be
blacklisted by the Applicant or its Associate.
2.1.7. While submitting a Proposal, the Applicant should attach clearly marked and
referenced continuation sheets in the event that the space provided in the specified forms in
the Appendices is insufficient. Alternatively, Applicants may format the specified forms
making due provision for incorporation of the requested information.
2.2 Submission of proposal
2.2.1 Proposal should be submitted through e-tendering Portal

(https://tenderwizard.com/LMC) only through 2 envelope system.
a. Envelope (A):- EOI document fees receipt and Document Processing Fee receipt
b. Envelope (B):- Technical Proposal & Revenue Sharing Proposal
2.2.2. Interested Agencies will have to make online payment of INR 5,000/- Non-Refundable
as Credit Card/Net-Banking. Tender Fee receipt can be system generated during bid

preparation EOI document Fee using online payment gateway during bid preparation i.e.
Debit Card/ by the Bidder(Inclusive of all taxes applicable).
2.2.3. Deleted
2.2.4 .Applicants shall submit the technical proposal in the formats at Section 4 (Appendices)
(the “Technical Proposal”).
a. All forms are submitted in the prescribed formats and signed by the
Authorizedsignatories;
b. Power of Attorney, if applicable, is executed as per Applicable Laws;
2.2.5. The Authority reserves the right to verify all statements, information and documents,
submitted by the Applicant in response to the EOI. Any such verification or the lack of such
verification by the Authority to undertake such verification shall not relieve the Applicant of
its obligations or liabilities hereunder nor will it affect any rights of the Authority there under.
2.2.7 Revenue Sharing Proposal:
a. Agency will have to propose a revenue sharing model which states the percentage of
Gross Revenue to be shared with LSCL by Agency.
b. The revenue sharing shall be in terms of Net Present Value at discount rate of 10 % for
successive years.
c. Agency will also have to submit Cash-Flow Analysis for 15 years and will have to share
detailed data regarding operation & Financials.
2.3. Evaluation of Proposals:

The EOI Proposal will be evaluated on the basis of Firm’s experience, itsunderstanding of
scope, proposed methodology and work plan. Only those Applicants whose Proposals get a
score of 60 marks or more out of 100 (as per above weightages) shall be qualified for
evaluation/study of their proposal.
2.4. General Conditions to the Agencies:
a. The PBS System is to be implemented, operated & maintained completely by the

selected agency and no funding shall be provided by LSCL for procuring bicycles,
cycle stand infrastructure, operations & maintenance of PBS System. It is required
that the proposal shall be self- sustaining with the help of fare box revenue and
Advertisement rights on stands & cycles without any kind of Viability GapFunding
(VGF) by LSCL. All the applicable taxes and duties of advertisement etc shall be paid
by the agency.
b. The Agency can induct regular paddle bicycle or electric bicycles with charging points
on stations or mix of both types in the fleet of minimum 200 bicycles for initial 3
months followed by increase in fleet demand.
c. The design of physical structures, wherever created should be modular & easy to
construct & dismantle so that location can be changed if required.(It should be
approved by LSCL before construction)
d. Provision of attendants/service providers shall be incorporated by the agency for

efficient system operations and safety.
e. Cycle stand location shall not impede pedestrian or vehicular traffic or cause
inconvenience to daily commuters.

f. LSCL will provide bare space upto 10 sq.mt. per station subject to availability &
feasibility to the agency on free rental basis for installation of cycle stands.
g. The installation of cycle stands of main station and satellite station shall be done
within 15 days from date signing of contract.
h. The cycle sharing services shall be operational for period of at least 12 hours every day
from 8:00 am to 8:00 pm and all the electricity & other facilities required shall be
made available by the agency itself.
i. Agency is required to follow all statutory provisions and directions applicable from
time to time towards traffic regulation.
j. Agency is required to appoint a Nodal Officer/Manager for the project for day to day
management of the activities includingmaintenance and redistribution of cycles etc.
k. LSCL will not be held liable for any accidents/claims. Liabilities or any criminal
proceedings or statutory requirements at any time arising out of operation of PBS
system. The agency shall INDEMNIFY LSCL in this regard. As a safeguard measure
to any possible litigation arising out of accidents/acts/omissions imploding LSCL, the
agency shall be required to take adequate passenger liability insurance at its own cost.
l. In case of breach of any of the terms by the agency, LSCL will issue thenotice for
cure period followed by withdraw the permissions at any point of time.

SECTION III: TERMS OF REFERENCE
3.1.Background:
Lucknow Smart City is one of the fastest growing metropolises in India. With a population of
about 3.5 million as per 2019 estimate,It is the eleventh-most populous city and the twelfth-
most populous urban agglomeration of India. Lucknow has always been a multicultural city
that flourished as a North Indian cultural and artistic hub, and the seat of power of Nawabs in
the 18th and 19th centuries. Being a hub of employment centres it is fetching large number
of employments by using public transport, IPTs and Private Vehicles.
3.2. Objectives of Assignment:
With a view to provide means of last mile connectivity and to propagate environment friendly
mode of transportation, LSCL intends to allot bare spaces, subject to availabilityfeasibility, to
interested public bicycle sharing operators in Lucknow for provision of Public Bicycle
Sharing (PBS) System.
The detailed Objective of the said assignment is as below:

3.2.1 To provide convenience to the commuters by way of last mile connection with
availability of eco- friendly transportation services in Lucknow.
3.2.2 To ensure low-cost, flexible, safe & secure and comfortable last mile mobility services
for the daily commuters.
3.2.3 Bicycles will facilitate to & fro movement in heavily congested hours in Lucknow With
these objectives, LSCL will be able to contribute to the Environment side by side providing
last mile connection to commuters.
3.3. Scope of Assignment
To achieve the objectives of the assignment, the broad scope of the assignment is divided into
following sub tasks for “for selection of agency for design, build, finance operate and
maintenance of public bicycle sharing system in Lucknow City in PPP Mode under
Smart City Mission.”
Task 1 – Review of Existing Situation with respect to commuters during peak hour in
different location of Lucknow City.
Task 2-To identify the feasible alignment/stretch to implement the PBS System in different
location of Lucknow City.
Task 3 -To identify location of PBS Stationin different location of Lucknow City.
Task 4 -To prepare an conceptual plan of cycles distribution across all proposed the stations.
Task 5 – To procure and implement Public Bicycle Sharing System with minimum200 cycles
and 8 station for the given area on for (3) three monthsduration followed by increase in
number of cycles and stations based ondemand.

Task 6 –Operation & Maintenance of the PBS System with assured safety of thecommuters
and system implemented.
Task 7- Advertisement, Marketing and Publicizing of PBS System on cycles, stationsand

media to make it user-friendly and convenient for daily commuters to adopt it by providing
way finding maps & alignment maps etc.
Task 8- To implement PBS System based on Mobile Application operation inAndroid/IOS

and shall be user-friendly for the commuters.
Task 9 –To suggest/submit revenue generation/sharing model for the PBS Systembased on
maximization of Non Farebox revenue generation for the agency against the area provided by
LSCL for the PBS system. It shall be in terms of percentageof Gross Revenue in Net Present
Value at a discount rate of 10%.

Technical approach, methodology, work plan and Transfer of Knowledge are key components
of the Technical Proposal. You are suggested to present your Technical Proposal (50 pages,

A. Understanding of Scope of Services. In this chapter you should explain your

understanding of the objectives of the assignment and scope of services.
B. Approach. In this chapter you should explain your approach to the services for
carrying out the activities and obtaining the expected output, and the degree of detail
of such output. You should highlight the problems being addressed and their
importance, and explain the technical approach you would adopt to address them.
C. Methodology. In this chapter you should explain your Methodology for carrying out
the activities and obtaining the expected output, and the degree of detail of such
output. You should also explain the methodologies you propose to adopt and highlight
the compatibility of those methodologies with the proposed approach.

D. Work Plan/Activity Schedule. In this chapter you should propose the main activities of
the assignment, their content and duration, phasing and interrelations, milestones
(including interim approvals by the Employer), and delivery dates of the reports. The
proposed work plan should be consistent with the technical approach and
methodology, showing understanding of the TOR and ability to translate them into a
feasible working plan. A list of the final documents, including reports, drawings, and
tables to be delivered as final output, should be included here.
E. Organisation&Staffing and Staffing Schedule. In this chapter you should propose the
structure and composition of your team. You should list the main disciplines of the
assignment, the key expert responsible, and proposed technical and support staff.
Present the manning schedule for Key Personnel and Support Personnel as per the
understanding on the scope of services, approach and methodology.
H. Projected Financial Statement (at least 15 Years). The projected financial statement of
proposed business model for 15 years need to be estimated with the breakup of
revenue source and cost structure along with details of assumptions for it.
