MEMORANDUM OF UNDERSTANDING

This Memorandum of Understanding made and entered into by and between:

________________________________, a government instrumentality created and existing pursuant

to Presidential Decree No. ________, as amended, with principal office address at the
_________________________________________, Philippines, herein represented by its
Administrator, ___________________________, pursuant to Board Resolution No. -
_________________ herein attached as Annex “A”, hereinafter referred to as “_______________”;

_______________________________, a corporation duly organized and existing under the laws of

the Republic of the Philippines, with principal office address at __________________________,
____________________, herein represented by its Corporate Treasurer/General Manager/Director,
______________________, as evidenced by its Secretary’s Certificate, herein marked as Annex “B”,
hereinafter referred to as the “___________________”;

WITNESSETH THAT:

WHEREAS, ________________________AND _______________ have initiated negotiations

with the aim to enter into a Registration Agreement and Contract of Lease for __________________
to establish a business activity within the industrial estate owned, managed and administered by
__________________________;

WHEREAS, _________________ seeks to establish its business activity of manufacturing, importing,

exporting, buying, selling, or otherwise dealing in at wholesale, such as plastic processing and other
goods of similar nature in the _______________ and to lease an area within the
__________________ for this purpose;

WHEREAS, __________________’s consent to the establishment of _________________ business

activity and the lease of an area within __________________ is contingent upon the understanding
that the requisite Registration Agreement and Contract of Lease will be executed upon the
undertaking of ____________________ to strictly and fully comply with environmental laws and
standards prior to and during the establishment of its business activity as required by the
Department of Environment and Natural Resources and other appropriate government agencies
tasked with such purpose;

NOW THEREFORE, for and in consideration of the foregoing premises, the parties hereto agree that
________________________consents to the establishment of ______________ business activity
and the lease of an area within _________________________ with the mutual understanding that
the requisite Registration Agreement and Contract of Lease will be executed upon the undertaking
of ______________ to strictly and fully comply with environmental laws and standards prior to and
during the establishment of its business activity as required by the Department of Environment and
Natural Resources and other appropriate government agencies tasked with such purpose, otherwise
no obligation to sign the Registration Agreement or the Contract of Lease shall arise from these
premises.
