1 INTERPRETATIONS

1.1 Trans Namib means Trans Namib Holdings Ltd (herinafter referred to as client);
1.2 OEM means Optimized Environmental Management (Pty) Ltd;
1.3 Site means Trans Namib Walvis Bay Depot

2 DESCRIPTION OF WORK – Surface Spill Clean up (1st Phase)

Walvis Bay fuel Depot to be completeley shutdown so all areas can be confirmed
safe befor SOW can commence. Risk Assesment shall be separate to this measure
– High Risk Area.

2.1 Scope of Work: Surface Oil Spill Clean up (Phase 1)

1. Cross pump of the Diesel into holding tanks, Clearing all fuel lines and
storage tanks into Carriages provided by Trans Namib - TBD
2. Dispose of Sludge – Disposal Operations
3. Demarkate Spill areas
4. Calculated areas contaminated confirmed – Area 1 3120 m2, 399 m2, 9m2.
Area 2 1350m2. Area 3 2700m2. Area 4, 1350m2. Total 8928m2.
5. Lift 30mm to 100mm of soil for disposal OR bio remediaiton based on clients
recommendation.
6. Cleaning / Washing of Pits, Drain Channels, sump tanks and Pump Room.
7. Thickness testing on all piping including pressure test TBD by Client
8. Area to be inspected by Trans Namib
9. Prepare for 2nd Phase

3 BASIS OF QUOTATION
3.1 This quotation is based on a Call Out form Trans Namib and correspondence
with Mr. H Boshoff dated 23 November 2015
3.2 The extent allowed for in this quotation is:
3.2.1 Surface Oil Spill Clean up
3.2.2 Client to provide Site Plans so OEM can ascertain location of
underground fuel lines that might effect additional spillages underground or
surrounding areas.

4 SCHEDULE
4.1 The duration of work can only be estimated on completion of 1st phase
4.2 The contract amount and estimated duration of work assumes that the work will
be performed during normal working hours and that there will be no delays in
meeting the requirements.

5 PAYMENT SCHEDULE
5.1 Work shall be invoiced every 14 days, payment strictly 30 days from invoice.

7 CONTRACT PRICE
The client shall pay OEM for work as specified above and on the Bill of Quantities
attached to this measure, including Value Added Tax (VAT).

8 VALIDIDTY PERIOD
8.1 This Quotation shall be valid until 15 December 2015, where after it shall be
subject to confirmation.

9 TERMS AND CONDITIONS


9.1 By awarding a Contract to, or placing a Purchase Order on OEM, OEM’s Terms
and Conditions, together with the Terms and Conditions contained in this Quotation,
shall govern the contract and is agree to and accepted by the Client.
9.2 The Clause in this quotation shall be the governing minimum Terms and
Conditions on any PO emanating from this quotation.
9.3 No Clause contained in a PO as a result of this quotation will be deemed
applicable if not negotiated and agreed in writing by both parties prior to the issue of
a PO.
9.4 No Terms and Conditions endorsed upon, delivered with or contained in
Purchaser/Client’s PO, acknowledgement or acceptance or similar documents will
form part of the contractual agreement. The Purchaser/Client waves any right which
it otherwise might have to rely on such Terms and Conditions.

10 LIMITATION OF LIABILITY AND CONSEQUENTIAL DAMAGES


OEM shall not be liable to the client and/or any other person and/or entity (whether
natural or juristic) for any consequential damages of any nature whatsoever.
Notwithstanding anything to the contrary contained in any contract, document, terms
and condition or annexure to any document, including but not limited to those
mentioned here, OEM’s total aggregate liability to Client and/or any other person
and/or entity whether natural or juristic) arising from this quotation, the resulting
contract, purchase order and/or the like and/or any other cause whatsoever,
excluding consequential damages which is always fully and completely excluded, is
hereby limited to 10% (ten) of the value of the quotation as at quotation date.

11 ADDITIONAL WORK CHANGE IN SCOPE OF WORK

11.1 Costs incurred by OEM for any additional work outside of the original Scope of

Work will be for the account of the Client, which shall be reimbursed at the applicable
person’s hourly rate.

Towards 2 nd Phase Mitigation and planning

The first priority should be to contain the environmental impact of the spill. Equally
important to that is to maintain the Trans Namib operations, considering:
· Critical diesel stock levels

· Throughput/ stock turnaround


· Temporary storage facilities, should it be required to decommission the existing

facility in order to carry out the clean-up of the spill


· Road loading access and interface – as temporary solution

Based on the limited information available our view is that spill is the symptom of a
larger problem, and that on the short term we will have to focus on the symptoms

(clearing of the diesel spillage), but to prevent the recurrence we will have to focus
on the cause of the spill. This can range from not following standard operating

procedures, the maintenance falling behind, site ergonomics or any combination


thereof.

To assess the potential causes and to get to a stage where you can present possible
solutions we will have to:

· Review the legacy data including (but not limited to): If the information is not
available we can reverse engineer and draft it for Trans Namib

o Mechanical Flow Diagrams


o Operating procedures

o Maintenance strategies
o Operating conditions

· Review the legacy data for compliance to the latest codes and regulations
· Complete hazard and operability assessments

· Determine the gap

· Do a full conditions assessment on the installed infrastructure

o Failure mechanisms
o Metallurgical assessment for the installed materials

o Condition assessment – NDT


o Statutory compliance assessment, e.g. pressure testing etc.

· Complete fitness for service assessments and remaining life assessments as


applicable

· Decide priority items – risk based in order to make the biggest improvement
with the least intervention (80/ 20 approach)

· Costing of the various improvements


· Implementation of the approved improvements

· Implementing a maintenance strategy to prevent the recurrence of the spill and


decline in condition of the infrastructure. We can suggest collaboration with Pragma

for this, not only for the Walvis Bay siding, but for all the Trans Namib assets
