Universal Partnership

Kinds:

- All present property or all profits

All present, what is transferred? Ownership. (hindi na ibabalik ang property pag dissolution)

All profits, what is transferred? Usufruct, or only the use. The partner retains the ownership. (ibabalik
pa ang property)

*husband and wife aren’t allowed to join universal partnership, but can in particular

*if there is doubt between GP and LP, partnership will be interpreted as General partnership

UP of all Present Property

1. All properties owned at the time of creation (will be given)

2. Profits from the properties contributed (natural, industrial, civil fruits, kasama. So, principal
and accessory things binigay)
3. If there is a stipulation for the common enjoyment of any other profit, but the properties
which may be subsequently acquired by inheritance, legacy, or donation. They cannot be
contributed except the fruits.

*can contribute other type of profits, but properties acquired by inheritance, legacy, donation cannot
because they’re properties acquired by lucrative title. But the fruits from that three can be
contributed.

1. Industry or work during the existence of the partnership

2. Usufruct – right to use (jus utendi)

(not included profits by chance acquired by lucrative title)
