CONTRACT TO SELL

KNOW ALL MEN BY THESE PRESENTS:

This CONTRACT TO SELL is made and entered into by and between:

ENRILITO DELA CRUZ IMMACULATA, lawful and appointed representative of the Heirs of
LUCIANO LITUANIA ESTATE and for himself as co-heir , of legal age, Filipino, with residence and
postal address at No. 85 -D Sto. Nino Street, Brgy. San Jose, Antipolo City ,

ABENICIO EDEM GIMENA , lawful co-owner, of legal age, Filipino, with residence and postal
address at Gumamela 2 Phase 1, Brgy.Santa Cruz, Antipolo City, hereinafter referred to as the
SELLERS,

SONNY UY JIMENEZ, with principal address at No. 155 Faustino Street, Bgy. Punturin,
Valenzuela City, and by virtue of the Board Resolution and Secretary’s Certificate herein attached as
Annex “A” ; of legal age, Filipino, hereinafter referred to as the BUYER,

--WITNESSETH that--

WHEREAS, ENRILITO DELA CRUZ IMMACULATA, the herein SELLER Administrator or


attorney-in-fact of the heirs of Luciano Lituania is equipped with the Special Power of Attorney( which
is attached hereto and made an integral part of this Deed of Absolute Sale) by their respective co-heirs,
either as children or grandchildren or great grand children of the late Luciano Lituania and
ABENICIO EDEM GIMENA, the herein Co-owner/Assignee of the Six Hectares(6) portion of the
subject lot as mentioned below in the Deed of Assignments and Kasunduan ng Pagkakaloob with
specific dates indicated;

WHEREAS, the SELLERS is the absolute co-owner in fee simple of that certain real property, a
parcel of land located at Barrio of Taguisan, Antipolo, Rizal, containing an area of 260,766 square
meters, more or less, with Land Registration Case No. N-1891, LRO Rec. No. N- 15336 111836 and
(PSU- 111838 (AP-9963);

WHEREAS, the BUYER has offered to buy and the SELLERS has agreed to sell Lot 1, Lot 2,
and Lot 3 of the above-described property containing an area of 178,616 square meters, 39,216 square
meters and 42,934 square meters, respectively, or a total of 260,766 square meters ( Twenty Six Point
Zero Eight Hectares, more or less) , and which is more particularly described as follows:

WHEREAS, ABENICIO EDEM GIMENA , as ASSIGNEE has entered into and was assigned to
a TWO(2) HECTARE portion of this real property subject of this Deed by EMELITO M. LITUANIA
as co-heir and ASSIGNOR by virtue of a Deed of Assignment dated February 12, 2008, attached hereto
as Annex “ B”;

WHEREAS, ABENICIO EDEM GIMENA , as ASSIGNEE has entered into and was assigned to
a “ISANG (1) EKTARYA O SAMPUNG LIBONG (10,000) Metro Kuadrado” portion of this real
property subject of this Deed by TWO(2) HECTARE portion of this real property subject of this Deed
by ROLANDO V. LITUANIA as co-heir and ASSIGNOR by virtue of a Kasunduan ng Pagkakaloob J
dated January 15, 2007, attached hereto as Annex “ C”;

WHEREAS, ABENICIO EDEM GIMENA , as ASSIGNEE has entered into and was assigned
again to a ONE(1) HECTARE portion of this real property subject of this Deed by ROLANDO V.
LITUANIA as co-heir and ASSIGNOR by virtue of a Deed of Assignment dated April 20, 2018,
attached hereto as Annex “ D”;

WHEREAS, ABENICIO EDEM GIMENA , as ASSIGNEE has entered into and was assigned
to a TWO(2) HECTARE portion of this real property subject of this Deed by EMELITO M.
LITUANIA as co-heir and ASSIGNOR by virtue of a Deed of Assignment on the same date of April
20, 2018, attached hereto as Annex “E”;

WHEREAS, ABENICIO EDEM GIMENA , has the inchoate right and ownership of the
SIX(6) HECTARES portion of the lot subject of this Deed by virtue of the above-mentioned Deed of
Assignments and Kasunduan ng Pagkakaloob as Annexes “B”, “C”, “D”, and “E”, respectively;
WHEREAS, on April 20, 2018 ENRILITO DELA CRUZ IMMACULATA, has entered into
a JOINT VENTURE AGREEMENT with SONNY UY JIMENEZ, and was assigned a TEN(10)
HECTARE parcel of the land as the Owner’s share in the Agreement attached hereto as Annex”F”;

WHEREAS, on the same date of April 20, 2018 , ABENICIO EDEM GIMENA , has
entered into a JOINT VENTURE AGREEMENT with SONNY UY JIMENEZ, and was assigned a
THREE(3) HECTARE parcel of the land as the Co-owner’s share in the Agreement attached hereto as
Annex”G”;

NOW, THEREFORE, for and in consideration of the foregoing premises, the parties herewith
agree to the following:

1. The SELLERS are the absolute co-owners in fee simple of that certain real property, a parcel of land
located at Barrio of Taguisan, Antipolo, Rizal, containing an area of 260,766 square meters, more or
less, with Land Registration Case No. N-1891, LRO Rec. No. N- 15336 111836 and (PSU- 111838
(AP-9963);

2. The Total Amount in consideration to be paid to the SELLERS by the BUYER is THREE
HUNDRED THIRTY EIGHT MILLION NINE HUNDRED FIVE THOUSAND AND EIGHT
HUNDRED PESOS (Php 338,995,800.00);

3.From the proceeds of the Sale, for his TEN(10) HECTARES share, ENRILITO DELA CRUZ
IMMACULATA shall be paid in cash by the BUYER the amount of TWO HUNDRED SIXTY
MILLION NINE HUNDRED NINETY FIVE THOUSAND AND EIGHT HUNDRED PESOS
(Php 260,995,800.00).
As per the Joint Venture Agreement items No. 3 and No.4 , the DEVELOPER /BUYER shall
pay for the initial amount of ONE HUNDRED THIRTY MILLION FOUR HUNDRED
NINETY SEVEN THOUSAND NINE HUNDRED PESOS (Php 130,497,900.00 as partial
payment representing FIFTY (50%) PERCENT of total price of P260,995,800.00 on the 19th
month upon the release of the title and the OTHER FIFTY (50%) PERCENT (P130,497,900.00)
balance shall be paid not exceeding the 36th month from the release of the title, thereof.

4. By the same token for his THREE(3) HECTARES share, ABENICIO EDEM GIMENA shall be
paid in cash by the BUYER the amount of SEVENTYEIGHT MILLION PESOS
( Php 78,000,000.00).
As per the Joint Venture Agreement items No. 3 and No.4 , the DEVELOPER /BUYER
shall pay for the initial amount of THIRTY NINE MILLION PESOS (Php 39,000,000.00 as
partial payment representing FIFTY (50%) PERCENT of total price of P 78,000,000.00 on the 19th
month upon the release of the title and the OTHER FIFTY (50%) PERCENT (P39,000,000.00)
balance shall be paid not exceeding the 36th month from the release of the title, thereof.

5. The payment of the Capital Gains Taxes and Real Property Taxes, VAT if any, including the
Documentary Stamp Tax, Transfer and Registration Fees, Notarial Fee and other miscellaneous fees
shall be for the account of the BUYER necessary for the transfer of ownership of the subject
property.

6. The SELLERS do hereby covenant and agree with the BUYER that the above-described property is
free from all liens and encumbrances, that they have all the rights to convey the same, and they
warrant and forever defend the same unto the BUYER, his heirs and assigns, against the lawful
claims of all persons whomsoever;
