SPINNERSPERFORMINGARTS,INC.F/S/OTHESPINNERS(HEREINAFTERREFERREDTOAS"ARTIST")AND
_________________________________________(HEREINAFTERREFERREDTOAS"PURCHASER").

PURCHASERSHALLPROVIDEANDPAYFORTHEFOLLOWING:

 1.)PURCHASERshallmaketheplaceofengagementavailabletoARTISTforsetuppriorto
soundcheck/rehearsalwithalltechnicalpersonnelinattendance(lightmen,soundmen,stagehands,
etc.)atleasteight(8)hourspriortoshowtime.Sound,lighting,andbacklinecompaniestobecomplete
withtheirsetupatleast30MINUTESpriortostartofsoundcheck/rehearsal.Timeofsoundchecktobe
mutuallyagreedupon.

 2.)PURCHASERorhisspecifiedrepresentativemustbeavailabletoARTISTorArtist
representativeonthedayofengagement.

3.)Sound,Lighting,andBandEquipment(Allequipmentlistsandplotsmustremain
attachedtothisrider.)ARTISTshallretaincreativecontrolinthesectionofsound,lighting,and
equipmentutilizedandthecreativemixingofallinvolved.ARTISTorhisdesigneeshallmakethefinal
decisiononacceptabilityofallsound,lighting,andbacklineequipment.PURCHASERagreesthatnoact
precedingARTISTshallusestrobelightsunlessagreedtobyARTISTortheirdesigneepriortostartof
performance.

 4.)PURCHASERtoprovideARTISTortheirdesigneewithaplotplanandprintersmanifestof
theplaceofperformance.PURCHASERfurtheragreestoprovideARTISTortheirdesigneewitha
notarizedstatementfromtheprinterlistingamountofticketsprintedandthepriceofeachticket.Allof
theaforesaidmaterialshallbesenttoARTISTortheirdesigneenolaterthantwo(2)weekspriorto
engagementhereunder.

5.)ArepresentativeofARTISTshallhavetherighttobepresentintheboxofficepriortoand
duringtheperformance(s)andintermissionperiod.Suchrepresentativeshallbegivenfullaccesstoall
boxofficesalesandshallotherwisebepermittedtoreasonablysatisfyhimselfastothegrossreceipts
(andexpendituresifrequired)ateachperformancehereunder.

6.)PURCHASERagreestohaveonhandattheplaceofperformanceonthenightofshowfor
arepresentativeofARTIST,allunsoldtickets.ARTISTshallbecompensatedforthedifferencebetween
thenumbersofunsoldticketsonhandandshownbytheticketmanifest,minusapproved
complimentarytickets.UnlessanunsoldticketisshowntotheARTIST'Srepresentative,itshallbe
deemedthatpurchaserhassoldaticketforthatseatatthehighestticketpricethatseatcouldhave
beensoldfor.

 7.)Allgrossadmissionreceiptsshallbecomputedontheactualfulladmissionprice
providedoneachticket;intheabsenceofpriorwrittenagreementbyARTIST,noticketshallbeoffered
orsoldatadiscountorpremium.

 8.)PURCHASERshallbepermittednomorethanfifty(50)complimentaryticketspershow.A
listofthosereceivingcomplimentaryticketsshallbegiventoARTISTorhisdesignee.Intheeventsaid
listcontainsmorethanfifty(50)pershow,ARTISTshallbecompensatedforsaidadditionaltickets.
ARTISTshallbeentitledtoaminimumoften(10)firstclasscomplimentaryticketspershow.

 9.)PURCHASERtoprovideandpayforinternalgroundtransportationconsistingofone(1)
stretchlimousinetoaccommodatesix(6),one(1)15passengervan,andone(1)15passengercargo
stylevanforwardrobe,equipment,etc.tomeetARTISTandtheirgroupattheairport,transportationto
thehotel,thevenueforrehearsalandengagement,andreturntothehotelandairport.Purchaserto
provideandpayfordriversofallvehicles.

10.) IntheeventARTISTistheheadlineact,ARTISTshallhavepriorapprovalofanyopening
attraction(s).

11.) ARTISTshallreceive100%soleheadlinebillinginalllights,displays,programs,marquees
andanyandallotheradvertisingandpublicitymaterial.

12.) OnlymaterialsprovidedbyWhitepineEntertainment,orParadiseArtistsaretobe
utilizedinpublicizingARTIST.

13.) PURCHASERshallprovidethreeprivatedressingroomsasfollows:
 
  One(1)largefirstclassdressingroomshallbeprovidedforARTISTwhichshallcontain2
3banquettablesorcomparablesurfaces,atleastfive(5)chairs,mirrors(goodlightingaroundmirrors
formakeup),twodozentowels,atleasttwo(2)ACoutletsorpowerstrips,couches,andtwo(2)clothing
rackswithhangers.Ifoneroomwillnotcomfortablyaccommodate5performers,pleaseprovidetwoor
three(23)smallerrooms.

  One(1)largedressingroomshallbeprovidedforthemusiciansandtechnicalstaff;this
roomshouldaccommodateten(10)andbecomfortablyfurnished.

  One(1)dressingroomorotherareasuitableforwardrobesetup;thisroomshouldhave
aminimumoftwo(2)ACoutlets,andshouldbeequippedwithtwo(2)largeclothingracks,aflat

16.) PURCHASERshallhavethesoledutyandresponsibilityofsecuringanylicenses,
consents,waiversorpermissioninvolvedinproducingandpresentingallshows(andtheperformed
materialtherein)duringtheengagementhereunder.

PURCHASERherebyassumesthefullresponsibilityandliabilityforthepaymentofanyandallcosts,
expenses,charges,claims,losses,ordamagesinconnectionwith,limitedtoorbaseduponthe
presentationorproductionofallshowsinwhichARTISTistoappearduringtheengagementhereunder.

17.) ARTISTmustbepaidinbyCERTIFIEDCHECK,CASHIER’SCHECKorMONEYORDER.(NO
EXCEPTIONS!!)ALLMONIESaredueeachdate,nightofperformance,PRIORtotheshow.

18.) ARTISTshallbetheclosingactontheshow.NooneshallbebilledaboveARTISToron
thesameline.

19.) ARTISTmaycancelandterminatethiscontractandtheservicestoberendered
hereunderwithoutliabilityuponfortyfive(45)dayspriorwrittennoticetoPURCHASERintheevent
ARTIST'Sengagementhereunderwouldconflictorinterferewiththepreparationorrehearsalof,or
performanceinanymotionpicture,legitimatestageproduction,foreigntour,oralive,filmedortaped
televisionprogram.

20.) Securitymustbeprovidedatalltimesduringtheengagementhereunder.Thisshall
includearoundthestage,nearthedressingroomsandtravelingtoandfromthestage.PURCHASERshall
provideandpayforadequatesecurity.

21.) PURCHASERshallnotscheduleorcausetobescheduledanyinterviews,appearancesor
otherpromotionalactivityinvolvingARTISTwithouttheexpresspriorconsentofARTIST'Smanager,Nat
Burgess.

22.) Noportionoftheperformancerenderedhereundermaybebroadcast,photographed,
recorded,filmed,tapedorembodiedinanyformforanypurpose,andPURCHASERagreesthatitwill
notauthorizeanysuchrecordingwhetheraudioorvideo,withoutARTIST'Sexpressedwrittenconsent.

23.) PURCHASERshallneitherrepresentnorpermittoberepresentedtoanythirdparty,
thattheARTIST'Sappearanceattheengagementiscopromotedorsponsoredbyacommercialproduct
orserviceunlessARTISTorARTISTSmanagementissoadvised.

24.)IfPURCHASERisprovidingandpayingforahornsection,ten(10)musicstandswithlights
willberequired.Aminimumthree(3)hourrehearsalwillberequiredandshallbepaidforby
PURCHASER.

25.) WhenPURCHASERisprovidingandpayingforhotelaccommodations,theyaretobeas
follows:Six(6)kingsingleroomsandEight(8)regularsinglerooms.(Seeattachedroominglist.)If
Artist’sManagerattendsengagementPURCHASERshallprovideandpayforone(1)additionalking
room.IMPORTANT:Hotelmusthaveprovisionsforfullinroomdining(roomservice).

26.)WhenPURCHASERisprovidingandpayingforairfares,theymustconsistofthe
following:
  Five(5)Firstclassairfares:(1)Orlando,FL&(4)Detroit,MI
  Nine(9)Coachairfares:(1)Providence,RI;(1)Columbus,Ga&(7)Detroit
  One(1)additionalfirstclassairfarewillberequiredforinternationalengagements
  forartistmanagement(SpokaneWA)

27.)ARTISTshallhavethesoleandexclusiverighttosellorcausetobesold,souvenir
booklets,programs,Tshirts,CD’s,DVD’s,oranyproductorpublicationutilizingthenamesorlikenessof
theARTISTS.ARTISTshallretainallproceedsfromsuchsalesintheabsenceofawrittenagreementto
thecontrary.Atable/boothandadequatelightingwillbeprovidedforsuchsales.ARTISTS’logoand/or
likenessmaynotbeusedoneventTshirtsorotheritemswithoutpriorwrittenconsentfromARTIST’S
management.

28.) ThefailureofthePURCHASERtocomplyfullywithalloranyportionofhisdutiesor
obligationshereunder,includingbutnotlimitedtothetimelypaymentofmoniesdueARTIST,shall
constituteamaterialbreachofthisagreement,therebyentitlingARTISTtopursueanyandalllegal
remediesavailabletoARTIST.Further,ifanybreachbyPURCHASERshalloccurpriortocompletionof
engagement,hereunder,ARTISTshallthereuponbeentitledtoceaserenderinganyfurtherperformance
underthisagreementandshallbereleasedfromanyobligationhereunder.Nevertheless,suchrelease
ofARTISTshallnotreleasePURCHASERfromitsfulldutiesandresponsibilitiestoARTISTunderthis
agreementasthoughARTISThadfullyperformedallARTIST'Sdutiesandresponsibilitieshereunder.
