Exile 2011 Technical Rider

This Technical Rider which includes the “Sound & Light Addendum” are attached to
and incorporated by reference in the terms of the Agreement for the engagement date of
____________, in the venue and city ____________________________________.

As with the Agreement for the engagement, this Technical Rider, the terms, conditions,
obligations, responsibilities and liability shall exist between Exile Reunion, LLC (herein
“Artist”) and ________________________________________ (herein “Purchaser”) .

The obligations assumed and conveyed herein are not transferable or available for
assignment by either party hereto.

Exile wants to express very clearly that their organization is very committed to everyone
having a good experience as the best show possible is presented. From the Artist side,
Communication, Cooperation and Compromise are all two way streets.

Clear & Specific Authority:

By signing this Agreement the Purchaser warrants and represents that they have the
authority to engage in this Agreement as the ultimate end-user of Artist’s services, to
accept sole personal legal liability for all terms, conditions, obligations and liabilities of
this rider and the contract to which it is attached, to cause payment to be made for all
services required hereunder, endorse checks, to be on site at the engagement from
load-in through performance through load-out and satisfy all requirements herein to
Artist’s standards. Should Purchaser not be the ultimate end-user, the contact info is

Requisite Provision:

Artist and Purchaser all provisions herein are the ideals for Artist to provide the highest
quality show possible for Purchaser and the ticket-buying audience. Should Purchaser
have any questions or impediments to providing each item as specified, Purchaser
should contact Artist’s agent and manager immediately.

As with all aspects of this Agreement, time is of the essence.

Failure by Purchaser to make contact with either the manager or agent within the earlier
of seven (7) days of receipt of this Agreement or 30 days prior to the engagement being
publicized shall constitute Purchaser’s acceptance of all terms and conditions as set
forth in this rider without alteration.

Upon Purchaser’s review of this technical rider, Purchaser shall initial each page of this
rider indicating acceptance of the terms and conditions as reflected on that page. Any
alteration must be approved by management and attested to by the manager’s initials
next to each alteration. Any lack of such co-execution by manager or Purchaser’s initials
on any page of the rider shall constitute the Purchaser’s complete acceptance of the
terms and conditions as they appear in their original form.

1. PAYMENT:

All monies due Artist shall be paid by cash or cashiers check, prior to performance to
Artist’s representative. No personal checks shall be accepted.

Any monies representing artist’s share of overage is to be paid immediately upon


completion of engagement. Artist representative shall be provided with a ticket
manifest and a detailed box office statement—including copies of invoices to verify
expenses—signed by the purchaser upon request. All receipts and expenses are
subject to Artist’s representative approval. Artist shall be due 100% of any amount
charged per ticket in excess of the amount(s) stated on the face of the Agreement
unless otherwise mutually agreed in writing.

2. BILLING:

Unless otherwise agreed, Artist shall receive 100% sole Headline billing in any and all
advertising, publicity releases, promotion and reference to the engagement. This
includes, but is not limited to, programs, fliers, signs, lobby boards, all venue marquees
and promotional & marketing materials of any sort whatsoever.

3. ADVERTISING:

A. Purchaser shall use only photographs & bio material supplied by Artist.
B. Purchaser shall not commit to any sponsorship, promotion, co-
promotion or presentation credit of the engagement with any
entity—radio station, product or service—without Artist’s express
written consent.

4. CANCELLATION:

a) If the performance is canceled by Purchaser for any reason other than an Act of God,
Artist is to be paid the contract fee in full. In the event of such cancellation, Artist shall
not be required to perform at a later date.

b) Artist reserves the right to cancel or postpone this contract without liability in the event
of an Act of God (including death of a family member), illness, failure of means of
transportation, inclement weather, government restrictions, potential threat of terrorism,
riot, strike, national or international emergency or when physical violence or injury is
likely to occur. Further, Artist reserves the right to cancel or postpone this contract
without liability if Artist is called upon to furnish Artist services in connection with a
motion picture, Broadway Production, or Television Program and if Artist, at Artist sole
discretion, determines that this engagement might conflict with such other event, or with
rehearsal or preparation thereof. In any such instance neither party will have any claim
for costs or damages hereunder.

c) In the case of late arrival due to circumstances beyond Artist’s control (e.g. weather,
traffic delays, flight cancellation, etc.); Purchaser must use every resource to present the
concert when Artist arrives in the city of the engagement. This concert may not be
cancelled for the above reasons by Purchaser without Artist consent. No unilateral
reductions of the contract fee can be made if the concert takes place at a time other than
originally scheduled.

d) In the event of breach by Purchaser of any of the terms, covenants or conditions of


this contract rider, Artist shall not be required to perform hereunder and Purchaser
shall pay the Artist the full amount of the performance fee as specified on the contract
face.

5. MERCHANDISE:

Purchaser shall provide, at no cost to Artist, a prominent, well lit, secure place from
which Artist’s merchandise may be sold. This placement shall be, in Artist’s sole
judgment, a place that is plainly visible to the public entering the facility from any usual
and customary entrance. If there is one primary point of entry, Artist’s merchandise sales
location shall be accorded top priority in positioning and visibility. Unless otherwise
agreed in writing, Artist merchandise shall be sold and the gross revenue retained by
Artist with no deduction of any sort whatsoever. The signing of autographs, including the
time, place and security arrangements, shall be at the sole discretion of Artist.

6. SOUND & LIGHTING:

Attached hereto is an addendum of specific detail of Artist’s sound & light requirements.
Purchaser agrees to provide this equipment and required operators at no cost to Artist
on the addendum as defined therein.

7. STAGING REQUIREMENTS:

Unless otherwise agreed in writing, Purchaser agrees to supply, at no cost to Artist an


elevated stage of forty (40) feet in depth, sixty (60) feet in width and five (5) feet in
height. It shall also have separate sound wings and risers in accordance with the
attached “Sound & Light Addendum.” There shall also be an 8’ x 8’ x 18” drum riser and
8’ x 8’ x 12” keyboard riser assembled onstage at load- in. Stage and all riser(s) should

be of solid interlocked construction. LIGHTED STAIRWAY or WALKWAY ACCESS is


required. For an outdoor show the entire stage must be covered.

8. LOAD-IN, STAGE SET UP & SOUND CHECK:

Purchaser agrees that scheduling adequate time, labor and equipment to accomplish a
full and satisfactory sound check is essential to the presentation of the highest quality
performance for the audience and Purchaser by Artist. Purchaser therefore agrees:

A. A mandatory sound check will be completed prior to opening doors


and admitting ticket holders.
B. Stage call and load-in will be scheduled for not less than five hours
prior to opening the venue doors and admitting ticket holders.
D. All equipment—musical, sound, lights, support—shall be in stage
area at the scheduled stage call.
E. That not less than four (4) stage hands will be provided from load-in
to load-out. Should the sound & light system require more hands,
Purchaser agrees to supply the number of hands reasonably
required to load it in, set it up, assist in its operation, break it down
and load it out.
F. In any event, Artist will have access to the stage to commence
sound check not less than two hours prior to the opening of the
venue doors and admitting ticket holders.
G. No person who is not directly involved in the presentation of the
performance will be present during sound check.
H. Should this performance take place in a club, the stage and stage
area MUST be clear of any equipment other than sound equipment
at the time of load-in.
J. Doors must not be opened without the approval of Artist’s
representative.

9. PURCHASER’S REPRESENTIVE:

Should Purchaser not be able to be present as agreed herein and designate a


representative, that representative shall be empowered to act in place of the Purchaser
on all matters agreed herein. Artist will be informed in advance of the engagement of
whom Purchaser’s designated representative is and assured of their authority. Either
Purchaser or Purchaser’s designated representative will be available from stage call
through load-out to confer with Artist and Artist representatives as needed.

10. DRESSING ROOMS:

Purchaser shall provide two clean and well lit dressing rooms with chairs, a table, full-
length mirror and private washroom with shower. There shall be at least 12 clean towels
in the dressing room at the time of sound check. Adequate security provided to protect
Artist and Artist personal effects.

11. FOOD & BEVERAGES:

Available in dressing room upon arrival:

a) 12 - Cokes, 12 Diet Cokes; 6 - Sprite - chilled on ice


b) Deli tray with fresh, non-processed meats (turkey, roast beef & veggie
recommended) along with bread, condiments & utensils
c) Assorted juices (enough for 10 people minimum) and 1 case of bottled
water in 500 ml bottles chilled on ice.
d) One half case bottled water in 500 ml bottles at room temperature for use
on stage during performance.
e) Hot Tea with cups and condiments
f) Coffee (with condiments including milk—please no powder) & cups for 10
people
g) Fruit (preferably whole apples, oranges, grapes, pears)
h) Chips & Snacks with only blue Kix Brooks M&M’s which is listed herein
solely to be sure Buyer has read the rider thoroughly so we can laugh

Available at least 2 hours before showtime: Either a dinner buy out @ $20 per person
for10 people or catered dinner (arrange with Management or Production Manager).

12. ACCOMMODATIONS & GROUND TRANSPORTATION

In the event accommodations are part of this Agreement, Artist will require eight (8)
rooms (8 singles) in a mutually agreeable hotel. If ground transportation is required by
Artist and crew, this will consist of one (1) 15-passenger van and one (1) cargo van to
transport gear and luggage, each with a driver provider by Purchaser at no cost to Artist.
Purchaser shall make all necessary arrangements for Exile’s parking requirements as
close to the stage as possible as determined in the date advance.

13. COMPLIMENTARY TICKETS

Purchaser agrees to provide20 complimentary tickets to Artist for each show at no cost
to Artist.

No video or audio recording without the express written consent of the Artist
Management. The signatures below attest to the acceptance of the following
Sound & Light Requirement Addendum as well.

In the event that the only signature supplied to Artist for this Rider or Agreement
by Purchaser is the face of the contract or the signature below, it will attest to the
Purchaser’s acceptance of all terms herein without alteration.

SOUND SYSTEM:
Exile requires a professional, high definition sound reinforcement system. This system
shall be in perfect working order and totally free of noise or distortion. This system
should consist of no less than a 3 way system evenly distributed across and delivered
evenly to the entire audience. This system should also be of adequate power to deliver
a clear 102 db spl to every location of the performance area.

The system should include the following components:

FRONT-OF-HOUSE

40x8x2 House Console (in order of preference):

A minimum forty (40) channel main house console is required


Yamaha M7CL, Midas H3000, XL200, XL250, Legend 3000 or Venice 320 , Soundcraft
Series 5, Yamaha PM3000 or 4000.
(NO — Midas Venice, Mackie, Behringer or Yamaha <other than those listed> )

Each channel should have four band parametric EQ, a high pass filter on each channel
(preferably selectable), a minimum of 4 aux sends and a channel insert on each
channel.
Individual On/Off - Pre/Post aux send switch ability preferred.
All console functions 100% operational with spare power supply included.

**Special Note - Dedicate thirty (30) channels + three (3) stereo FX return channels to
Exile. Exile will not share channels (only unused channels may be used for other bands,
etc.)

HOUSE SIGNAL PROCESSING

- Four (4) Channels of 1/3 Octave equalization for system left-right, front fills and delays.
Klark-Teknik, BSS, or TC Electronics.
- Eight (8) channels of insertable compressor/limiters, side chain accessible. BSS,
Valley, Drawmer, DBX.
- Six (6) channels of insertable expander/gates, side chain accessible. BSS, Valley,
Drawmer, DBX.
- Two (2) Digital Reverbs. SPX 1000, 990, TC Electronics, Lexicon, Rev 5.
- One (1) Digital Delay. Lexicon, SPX 900, TC Electronics.

HOUSE SPEAKER SYSTEM - (Line array preferred but not required) - JBL VerTec
Line Array System, Meyer, Clair, EAW, QSC (wide line 8 array); *** Substitutions

HOUSE AMPLIFICATION
- AMPS - QSC, Crown, Carver, Crest
- Adequate RMS wattage to cleanly drive the above speaker systems to manufacturer’s
rated output specifications.
- All amplifiers and crossovers preferably identical in make.

CD PLAYER: A professional unit in good working order capable of playing a pre-


recorded CDR.

STAGE MONITORS

Exile will provide their own monitor console with in-ears monitors. A split / fan out will be
provided to FOH. The following is required for supplemental monitoring if needed.

-Yamaha PM4000, 3000, 2800; Midas H3000, XL200, XL250, or Venice 320;
Soundcraft,
-Ten (10) DISCRETE mixes with pre and post fader listen capabilities.
-MUST BE ABLE TO HEAR EQ IN QUE MIX.
-Individual aux send pre and post input fader switching preferred.
-All console functions 100% operational with spare power supply included.
**Special Note - Dedicate five (5) mixes to Exile - add other mixes as needed for other
bands, etc..**

MONITOR SIGNAL PROCESSING


-Ten (10) channels of identical equalization, inserted at the mix sends.
-Klark-Teknik, TC electronics 1/3 octave equalizers

MONITOR CABINETS: Monitors must have either one (1) fifteen inch (15”) speaker
with one (1) two inch (2”) horn or two (2) twelve inch (12”) speakers with one (1) two inch
(2”) horn. EXILE will need a total of ten (10) matching wedges. (EAW, JBL, EV or
better). ALL MONITORS MUST BE BI-AMPED.

Exile provides their FOH engineer dedicated to mixing only their show. The sound
company will be required to provide a tech for the entire system and monitor engineer.

STAGE POWER: In addition to the power required for the sound & light system Exile
will require a minimum of two (2) 30 amp circuits, terminating in quad boxes located at
AC positions, as shown on stage plot to power the stage gear.

**The sound system shall be assembled in a totally professional manner using low
noise, high resolution, studio grade cabling and connectors.
**The system shall be in phase and available for testing and tuning two hours before
scheduled sound check where all system controls and operating parameters shall be
available to Artist’s production staff.
**Ground Loops, RF interference, Hums, Hisses, Pops or Buzzes are not acceptable.
**In some situations (Festivals, small clubs) some substitutions of components and
timing may be unavoidable. However, all substitutions or deletions must be approved by
the Artist’s Production Manager prior to arrival.

LIGHTING NOTES:
- Sufficient lighting instruments, power, dimming, console to cover entire stage area.

- Please have at least one (1) special for Exile at the “star” position on the stageplot.
This special should be a Lee 110 Gel or equivalent. Specials on separate dimmers for
each of the band member positions with the same spec’s where available.

- At least 4 color changes (back truss light) to go from ballad to up tempo - preferably
Reds, Congo Blues, Light Blue, or Amber (Please no Greens - She has Red Hair).

- Each member of Exile, should look natural (no color shades or dark spots)

- System should have a competent operator on site and available from set-up to tear
down, capable of doing lighting focus at Production Manager’s discretion.

- If spotlights are used, Clearcom is to be provided to all positions and to production


manager for lighting cues.
