TRANSACTION PROCESS FROM INCEPTION TO COMPLETION

1. Initial Meeting.

2. Proposal of work & Engagement Letter.

3. Signed Engagement Letter, formalising DIAS & Client relationship.

4. DIAS Research team sends Client an Initial Information Request and commences work on the Information
Memorandum & pro-forma Financial Model – The estimated timeline for completion of the offering
documents is 25 – 35 days.

5. Completed Information Memorandum, both parties satisfied after any adjustments made at the request of
the Client. Strategy for marketing of the transaction discussed and the profile of ideal investor-partner
identified.

6. Investor relations & marketing of the proposed transaction commence.

7. DIAS engages with investors matching the profile that will most benefit Client's business strategy, vision
and goals

8. DIAS handle all of the initial Q&A from prospective Investor(s), after they have signed an NDA, ensuring
they have a comprehensive understanding of the business, the capital & strategic requirements, and
parameters of the transaction.

9. Investor agrees to sign a letter of intent or MoU (non-binding), and thus we introduce the Investor and
Client to one another. DIAS will be present in any and all communications between the two parties. DIAS will
handle negotiations with both parties, ensuring there is no conflict between Client & Investor.

10. Investor presents a Term sheet, signaling their intent to invest at a certain rate for a specific equity
percentage. This is non-binding as the Investor needs to complete their Due Diligence on the Client.

11. Investor begins Due Diligence phase.

12. Investor completes Due Diligence, and either honors the initial term sheet or makes slight adjustments
based on the results of their Due Diligence.

13. Client either accepts the terms offered, or not.

14. If Client accepts, transaction is complete. If Client rejects the terms, DIAS either renegotiate with the
Investor, or approach a new Investor, thus re-starting the process from step 6 onwards.
