Fixed Term Employment Contract

This is temporary employment Contract (hereinafter called as “CONTRACT””) is made on June 15 2020
between:
Ohio State Global One Health,LLC (TIN No. 0058210259), Address Addis Ababa, Kirkos Sub City, Woreda
08, House No.572 (hereinafter called the LLC) represented by the Regional Director Dr Getnet Yimer.
And
Dr/Mr/Miss/Mrs Kassahun Girma Muluneh (hereinafter called “the the Contracting Party”), Address;
Telephone: +251924538435/+251947075208.

Together refereed as “Parties”

Whereas, LLC is willing to engage the Contracting Party on temporary bases as a surveillance officer in
order to support the government of Ethiopia with the performance of the urgent work in connection
with prevention and treatment of COVID-19 and related surveillance support service;

Whereas, the Contracting Party, is willing and ready to accept the responsibility within this Contract and
guarantees his/her knowledge, professional experience and qualifications to efficiently execute the
responsibilities;

Now, therefore, the parties have agreed as follows;

1. Duration of the contract

1.1 The Contract shall be valid for 3 months effective from the date of June 15, 2020 to September 15,
2020.
1.2 This Contract will automatically expire and terminate at the end of the three months period without
any notice of termination being required by either party unless LLC agrees to renew and extend the
terms of this Contract for another three months due to the extension of the purpose of the Contract
stated under Article 2.

2. Purpose of the Contract

The Parties hereby agree that the Contractor is engaged under this Contract for the performance of
urgent work in connection with prevention and treatment of COVID-19 and surveillance support service
for the government of Ethiopia during the term of the Contract (Service).

3.1 Responsibility of the Contracting Party

3.1.1. The Contracting Party shall give quality and timely COVID 19 surveillance support service and
perform its activities using highest possible professional skill and due care in the performance of its
obligation under this Contract. The Contracting Party fully understands the purpose of this Contract and
has undertaken to perform the Services within this Contract as assigned by GOH LLC or the government
of Ethiopia as appropriate.
3.1.2. The duty station of the Contractor is Dire Dawa
3.1.3. The Contracting Party shall warrant that the Services are to acceptable standard and ensure the
steps required by the local rules and regulations and GOH LLC human resource and finance policies.
3.1.4. The Contracting Party agrees to keep a high degree of confidentiality when GOH LLC staffs and its
partner’s discussion about the company issue inside the vehicle.
3.1.5. The Contracting Party shall have the duty to carefully use the properties of LLC and refrain from
breaking or damaging any property of LLC that are provided to him/her by LLC for the purpose of
carrying out his/her duty and which are under his/her possession. These properties include but not
limited to Laptop, internet modem and Infrared thermometer. Upon termination of this Contract, the
Contracting Party agrees to promptly deliver to LLC all material, equipment or property that are in
his/her possession or control including, without limitation, all physical property, documents and others.
3.1.6. The Contracting Party shall ensure that any data or information received in connection with the
Contract is obtained with the consent of the providing person or organ unless information obtained
through a public means. The Contracting Party represents and warrants that any information or data
obtained during the provision of the Services under this Contract do not violate any applicable law and
rights of third parties.

3.2 Responsibility of the GOH LLC

3.2.1 The LLC shall pay ETB 17,172 monthly for the Service under this Contract to the Contracting Party
either through cash or Cheque. However, in consideration of the current status of the Contracting Party,
the LLC agreed to effect payment of 50% of his/her first month salary in advance following the date of
this Contract. The Contracting Party hereby agrees to reimburse the advance payment if the Contract is
terminated for any reason before the Contracting Party provides the Service for the month which the
advance payment is made for.
3.2.2. Payment by LLC shall be made after the necessary deductions for the concerned tax authority
have been made.

3.1.3. The Contracting Party is not entitled to any additional benefits, bonus, medical benefits,
profit sharing, rewards or other payments other than the monthly payments specified
here in.
3.1.4. LLC shall assign and supervise the job of the Contracting Party. The Contracting Party will
be reporting to their office –MOH, EPHI, RHBs and GOH LLC COVID 19 coordinator.

4. Working Hours
4.1. The Contracting Party shall be expected to work the following hours: 5 working days/week and
40 hours/week.
4.2. The Contracting Party shall be entitled 2 days off within a week.

5. Guarantee

The Contracting Party hereby produces Mr,/Mrs./Miss _____________________________________

who hereby agree(s) to stand as joint guarantor as provided in Article 1933 of the Ethiopian Civil Code
and undertake (s) to compensate LLC (upon simple demand to that effect) for any loss or damage caused
to LLC due to the damage that may be caused to the property of LLC under the possession of the
Contracting Party, failure to return the objects of LLC by the Contracting Party upon termination of this
Contract or failure to reimburse the advance payment as stated under article 3.2.1.
It is stipulated by the parties hereto that the total indebtedness of the guarantor by virtue of this
Contract shall not exceed ETB 15,000.

6. Confidentiality

The Contracting Party shall keep all information received or learnt during the execution of his/her duties
confidential during the term of this Contract or thereafter. This obligation of the Contracting Party
survives until the termination of this Contract.

7. Liability

The Contracting Party shall be fully responsible and agrees to indemnify and hold LLC harmless from any
damages, costs, claims or losses that may arise in connection with the Services under this Contract
unless such damage results from the fault of the LLC.

8. Personal Performance

The Contracting Party shall not delegate or assign any other person to execute any of his/her obligations
under this Contract and shall personally perform all the services, unless expressly authorized to do so in
writing by LLC.

9. Termination
9.1. This Contract shall automatically expire on September 15, 2020 without any notice.
9.2. The Contract may also terminate at any time by the agreement of both Parties.
9.3. LLC may terminate this Contract, upon notice of immediate effect, where the Contracting Party
breaches any of his obligations under this Contract, LLC’s rules and/or regulations, policies or any

other cause determined to be serious and warranting termination of this Contract with immediate
effect as per the applicable labor law.

10. Effect of Termination

Termination of this Contract for any of the reasons stated in the foregoing Article shall automatically
oblige the Contracting Party to return all LLC’s property under his/her possession to LLC.

11. Governing law and Jurisdiction

This Contract shall be governed per the applicable law of Ethiopia. The competent court in Ethiopia shall
have jurisdiction over any disputes arising out of this Contract.

12. Miscellaneous
12.1. In the event that any provision of this Contract shall be determined to be illegal, invalid or
unenforceable, that provision will be limited or eliminated to the minimum extent necessary so that this
Contract shall otherwise remain in full force and effect and enforceable
12.2. This Contract constitute the entire understanding and agreement of the parties, and any and all
prior agreements, understandings, and representations are hereby terminated and cancelled in their
entirety and are of no further force and effect.
12.3. This Contract terminates and supersedes all prior understandings or agreements on the subject
matter hereof. This Contract may be modified only by a further writing that is duly executed by both
parties.
