THE LEGAL PERSPECTIVE OF CSR

Companies Act, 2013 Section 135 Corporate Social Responsibility:

In compliance with the provisions of Section 135 of the Companies Act 2013 and Companies

(Corporate Social Responsibility Rules) 2014 & Schedule VII, the Ministry of Corporate Affairs

(MCA) has made Corporate Social Responsibility mandatory for some groups of companies.

Applicability of CSR:

Tata Chemicals Limited, with a profit of Rs.1,069.65 crore in the year 2019-20 complies with the

aforementioned section as prescribed to be a mandate under the Companies Act, 2013.

CSR Committee:

The company's CSR operations are regulated by the CSR Committee. The CSR Policy approved

by the Board directs the design of CSR activities for the enhancement of the quality of life of

society and the sustainable protection of the environment and biodiversity. The Committee on

CSR, Protection and Sustainability ('CSS') has been entrusted with the particular task of

evaluating corporate social responsibility, health and safety and sustainable development

programmes.

Partnered Organizations/Associations:

The Company is implementing CSR through Tata Chemicals Society for Rural Development

(‘TCSRD’), Okhai Centre for Empowerment, Uday Foundation, Ncourage Social Enterprise
Foundation and various government and non-government organisation such as Sir Ratan Tata

Trust, WASMO (Water and Sanitation Management Organisation), NABARD (National Bank

for Agriculture and Rural Development), American India Foundation, Wildlife Trust of India,

HP, Schneider and GRIMCO (Gujarat Rural Industries Marketing Corporation Ltd.).

FOCUS

Their CSR policy has been drafted with the focus being on the following:

● Serve the society, local and national goals in all the countries where they operate.

● Creating a major and sustained effect on the communities impacted by the corporation.

● Provide opportunities to contribute to these activities by volunteering for staff, clients and

partners.

● Play an important role in fostering sustainable growth by empowering farmers, women

and socially and economically weaker sectors of society.

● Building alliances and fostering creativity to meet social needs by incubating innovations

and technologies.

Geographies and Target Communities:

TCL focuses its efforts within a 50 km radius of their plants and offices in villages and

dwellings. These include work through their centres of excellence - Sustainable agriculture and

farm excellence and Coastal and marine biodiversity conservation. At the beginning of each

year, the exact locations are decided.

Community Development:
The Company has an integrated approach to community development that helps to address all

facets of society such as livelihood, education, health, environment and empowerment of the

weaker segment of society, especially women, scheduled castes and scheduled tribes.They focus

on development that enables sustainability and community development in the following areas:

Building Economic Capital:

The Company focuses on poverty alleviation and creating livelihoods, both linked to farm and

nonfarm activities.
Farm based livelihoods: The Organization focuses on promoting livelihood possibilities and

improving the quality of life of agriculture-dependent and the rural households. The Unnati and

Kasturi programmes are among the main initiatives.

Non-Farm based livelihoods: The Organization runs skill development programmes in various

locations to train unemployed young people to promote their jobs or entrepreneurial development

by setting up Technical Training Institute at Mithapur and assisting the Tata Strive Centre in the

running of the Aligarh Skill Development Centre and the Dwarka Industrial Training Institute

('ITI'). The development programme of the Okhai focuses on supporting the livelihoods of rural

artisans by developing market ties with handicrafts and other items locally produced in rural

areas.

Ensuring Environmental Integrity:

Natural Resource Management & Environmental Protection is the company's primary focus.

Main activities include land and water protection, waste management, biodiversity conservation

and mitigation of the impacts of climate change. The company developed a dry waste treatment

plant under the Swachh Bharat Abhiyan.

Enablers for Social, Economic and Environmental Development:

Good health, education, clean water and sanitation are the enablers for social, economic and

environmental growth. The Comprehensive Nutrition Programme, which targets a child's first

1,000 days, is the main programme of the organisation. The company helps provide clean water

through the Samridhi and Swachh Tarang Project.


Building Social Capital:

The Organization undertakes an Affirmative Action Policy that focuses on improving the lives of

the disadvantaged community through its programmes in the areas of housing, employability,

entrepreneurship, education and basic amenities.

Building Task Force for Disaster Management in the wake of COVID-19:

The Company took various initiatives towards financial, medical and community support in the

fight against Covid-19 pandemic. This included the relief funds of state governments, providing

sodium hydrochloride, hand sanitizers, medical infrastructure, supply of dry ration, driver kit,

hygiene kit, distribution of masks, awareness drives, etc.

The Farm-based livelihood programmes undertaken have benefited more than 9,800 farmers.

The company has been implementing the Okhamandal Samridh Gram Pariyojna ('OSGP') project

in collaboration with the Coastal Salinity Prevention Cell ('CSPC') with the goal of doubling

farmers' incomes in 4 years. Approximately 56,000 cattle were protected in FY 2019-20 under

the initiatives for cattle health and breed development.

Under the Non-Farm based livelihood programmes the company has founded a Technical Skills

Training Institute and is also funding the Tata Strive Center at the Aligarh and Industrial

Training Institute ('ITI') in Dwarka, where more than 1,550 young people have been educated.

Under the Okhai initiative, it was able to influence 2,366 artisans across India. Okhai served as a

bridge between artisans and clients to increase the selling of their handicraft goods via the Okhai
website to promote sales. 600 items were released online during the year. Sales of Okhai have

risen by 58 percent, affecting many more groups of artisans and rising their profits.

To ensure environmental integrity, around 44 whale sharks mistakenly captured in fishing nets

along the Saurashtra coast were rescued. The company planted 1.04 lakh mangroves in Dwarka,

Gujarat and Sundarbans, West Bengal, under the Greening scheme.

Through its health awareness camps, counselling and nutrition services, 21,718 people benefited

in the year 19-20. Approximately 3,000 individuals were covered by programmes for general

health care. Activities such as women's anaemia screening, the detection of Extremely Acute

Malnourished ('SAM') and Moderately Acute Malnourished ('MAM') children and the treatment

of anaemic women were included in the programme. More than 8,549 women and 9,975 children

benefited from this over the course of the year 19-20.

1,060 households were provided with a tap link for the supply of water during the years 19-20

and funded the building of toilets. Approximately 90,000 individuals were made conscious and

sensitised to the usage of clean and healthy drinking water during the Samriddhi project. The

Organization has initiated the initiative in north-eastern states and has funded water purifiers for

8,500 families. In FY 2019-20, the volunteers and their family members contributed nearly

20,000 volunteer hours.
