THE PARTIES AGREE:


The Subcontractor PT. BUMI RAHARDJA UTAMA must comply with the Contract Documents and
complete the Works to AN- Nahl’ satisfaction and AN- Nahl will pay the Subcontractor PT. BUMI
RAHARDJA UTAMA (i) The Price of Rp. 450,000,000,- (Four Hundred Fifty Million Rupiah) excluding
VAT or (ii) in accordance with the Schedule of Rates (see below); or such other amount as is payable under
this agreement.

PAYMENT TERMS: 10% Down Payment in advance, 30% After Completion 50% working Progress, 50%
After Completion Progress 85% working Progress, 90% After Completion Progress 100% working Progress
as invoice and support document receive, 10% Retention 3 Month
CONSTRUCTION SCHEDULE: Start on 10th March 2021, and Finish on the 10th May 2021 (Refer to as
“the Scheduled Completion Date”).
DEFECTS LIABILITY PERIOD: 2 months after finish inspection and material arrival

RETENTION: 10% 3 Months

CONDITIONS OF MINOR WORKS SUBCONTRACT AGREEMENT

AGREEMENT NO. 210301-MW-01

1. Start and Finish


The Subcontractor must start the Works on the date set out in the Agreement or any other date AN- NAHL reasonably requires and finish the
Works by the date stated in the Agreement or any other date AN- NAHL agrees to in writing. If the Subcontractor does not finish the Work in
the agreed time AN- NAHL will be entitled to the Liquidated Damages. If no amount is stated under Liquidated Damages then AN- NAHL will
be entitled to damages under Clauses 6 and 7 below.

2. Payments
(a) Payment must be made as set out in the Agreement provided that no dispute arises as to the value and/or quality of the Works. All
progress payments will be deemed on account only.
(b) AN- NAHL may withhold the Retention which will be returned to the Subcontractor at the end of the Defects Liability Period subject to the
Subcontractor’s satisfactory performance of the Works.
(c) Before becoming entitled to the final payment for the Works the Subcontractor must sign a Release stating that:
(i) it agrees to the final Contract Sum stated in the Release;
(ii) it releases and indemnifies AN- NAHL and the Client from and against all claims; and
(iii) all sums and benefits due and owing to its employees, subcontractors and suppliers in respect of the Works have been paid.
(d) AN- NAHL may agree to make an advance payment to the Subcontractor. If it does then the subcontractor must provide AN- NAHL with
an unconditioned bank guarantee on terms acceptance to AN- NAHL.

3. Variations
The Subcontractor will not be entitled to claim payment for any variation which is not authorised in writing by AN- NAHL. The price of any
variation authorised in writing by AN- NAHL will be added to or deducted from the Contract Sum.

Any reference to the Works in the Contract Documents will for all purposes include all approved variations.

4. The Law
The Subcontractor must, at its own expense, comply with all laws affecting the Works and its employees. Upon completion of the Works or
termination of the Agreement for any reason, the Subcontractor will surrender to AN- NAHL any documents in its possession issued by or
evidencing the approval of authorities in connection with the Works.

5. Insurances
Contractors’ All Risks (“CAR”) - AN- NAHL will effect CAR Insurance for the Project including coverage for third party liability. The
Subcontractor must pay any amount which is not recovered by AN- NAHL on any claim (eg excesses) where the loss or damage is caused by
the Subcontractor’s act or omission.

The CAR insurance includes the Works but does not include the Subcontractor’s plant, machinery, tools or equipment. The Subcontractor is
responsible for these items.

The Subcontractor must comply with all directions given to it by AN- NAHL concerning insurance matters including the immediate notification
and processing of claims following any incident.

6. Liability and Indemnity


The Subcontractor is liable for and indemnifies AN- NAHL and the Client against all losses, costs, fines and expenses which they may incur
arising out of or which is in any way connected with an act or omission of the Subcontractor, the Subcontractor’s personnel or their visitors,
except to the extent that the losses, costs, fines and expenses are caused by a breach of this agreement by AN- NAHL or the negligence of
AN- NAHL or the Client.

The Subcontractor also indemnifies AN- NAHL for any losses that it suffers under its head contract with the Client due to the Subcontractor’s
breach or negligence, including liquidated and unliquidated damages for late completion, delay and disruption costs and rectification costs.

This indemnity excludes amounts which are recovered by AN- NAHL or the Client from any insurance policy.

7. Default and Termination


If the Subcontractor:

(i) being a person, commits an act of bankruptcy or presents against himself or has presented against him a petition in bankruptcy or a
sequestration order is made against him;
(ii) being a company, takes or has taken or instituted against it any action whether voluntarily or compulsory which has as an object or may
result in the winding up of the company or is placed under official management or enters into any arrangement with its creditors or a
receiver and manager is appointed to carry on its business for the benefit of its creditors or any of them;
(iii) fails to proceed with the Works with reasonable diligence or in a competent manner;
(iv) fails to remove and replace defective work as directed by AN- NAHL;
(v) commits a substantial breach of any provision of this Agreement;

then AN- NAHL may, in writing, terminate this Agreement immediately. This termination will not prejudice any right of AN- NAHL to recover
from the Subcontractor damages for any breach and AN- NAHL will not make any payment but will certify the amount of expenses properly
incurred by AN- NAHL in completion of the Works, and if this amount is greater than the moneys due to the Subcontractor the difference will be
a debt payable to AN- NAHL by the Subcontractor. If the moneys are less then the difference will be paid by AN- NAHL to the Subcontractor.
8. Assignment
The Subcontractor must not assign any of its rights under this Agreement or subcontract any part of the Works without AN- NAHL’ consent.

9. Wages and Conditions


The Subcontractor must provide its employees with their wages and benefits. The Subcontractor must ensure that all foreign labor engaged
by it has all necessary work permits.

10. Damage
The Subcontractor must pay to AN- NAHL the cost of making good any damage done by it or its employees or subcontractors to AN- NAHL’
work or any of its other subcontractors.

11. Quality of Materials and Workmanship


Materials and workmanship must be in strict accordance with the provisions of this Agreement. In the absence of any such provision materials
and workmanship must be of good quality and of a kind suitable for their purpose and consistent with the nature and character of the Works

12. Defects
The Subcontractor must maintain the Works until completion and make good all defects that may appear in the Works prior to the expiry of the
Defects Liability Period.

13. Safety
The Subcontractor must comply with all directions given to it by AN- NAHL from time to time in connection with health and safety on the
Project. The Subcontractor must at its own cost take all necessary measures to ensure the health and safety of all persons including its
employees and members of the public who may be affected by the Works. The Subcontractors’ employees must wear safety helmets and
footwear. The Subcontractors’ employees whose find not follow safety procedure would be forbidden to enter the site.

14. AN- NAHL’ Representative


A reference to AN- NAHL in this Agreement includes its nominated representative. The Subcontractor must comply with AN- NAHL’
representative’s instructions at all times, unless AN- NAHL informs the Subcontractor to the contrary.

15. Subcontractor’s Representative


The Subcontractor must appoint a competent representative who will be present at the Project during the Works. Any instructions given to the
Subcontractor’s representative will be deemed to be given to the Subcontractor.

16. Head Contract


If the head contract between AN- NAHL and the Client ends for any reason, then this Agreement will automatically end at the same time.

The Subcontractor acknowledges that under AN- NAHL’ head contract the Client may be entitled to direct AN- NAHL to remove any
subcontractor from the Project or terminate any subcontractor. The Subcontractor must remove from the site all of its temporary buildings,
equipment, plant, tools, goods and materials if requested to do so by AN- NAHL.

17. Delay by other subcontractors / suppliers, etc.


AN- NAHL will in no way be liable for any loss, cost, fine or expense incurred by the Subcontractor as a result of any delay, disruption or
interference to the progress of the Works caused directly or indirectly by the default of AN- NAHL because of:

(a) the acts or omissions of others, whether engaged by AN- NAHL or otherwise; or
(b) any matter beyond the direct control of AN- NAHL, its employees or agents.

18. Cleaning up
The Subcontractor must keep the Works clean and tidy and remove accumulated rubbish. If the subcontractor does not do this, AN- NAHL
may carry out or have carried out the cleaning and deduct the cost from any payment due to the Subcontractor.

19. Facilities
The Subcontractor must provide all facilities unless AN- NAHL agrees otherwise.

20. Applicable Laws


This Agreement is governed and construed in accordance with laws of the country in which the Project is located.

21. Agreement and Conditions


This Agreement prevails over any conditions etc provided by the Subcontractor.

1. Description of the Works

Scope of work covered by this contract comprises the provision of all labor, heavy
equipment, trucking, and equipment necessary and required to complete the “Infrastucture
AN-Naml Farm (Works)“ as described below and in full compliance with the requirements of
the specification and drawings and the satisfaction and approval of the relevant authorities
and engineers.
