1 INTRODUCTION
1.1 About retail spaces at MRT station
Station retail is unique. It has guaranteed high footfall and is extremely fast paced. In
addition, operationally trading in a station environment is complex. Business experience
with retailers new to station trading is essential to be successful. The first MRT Line
covers a span of 51 kilometres from Sungai Buloh to Kajang with 31 stations along the
line. More than 400,000 commuters are in our network daily. Engage them through your
presence in our network. Choose from a variety of retail spaces to suit your business
needs.

1.2 What we look for in retailers


Criteria for retailers to fulfil in order to be a proud tenant at MRT Station:

a) Exciting business ideas and services for the fast-paced mobility & urban lifestyle
b) Sustainable and competitive business proposal and merchandising plan
c) Creativity of retail concepts and completeness of operations plan
d) Previous experience in running a business
e) Small and local business participations are encouraged to apply

We will also need to be able to see the operation up and running, so that retailers can
demonstrate to us that the product range, quality, operation and shop-fit are all of the
required standard and appropriate to the high profile nature and demands of station
retailing.

2 APPLICATION METHODS
Application for retail spaces will be available via online at MRT's website
(www.mymrt.com.my) on 18th of March 2016. All who wish to be a potential retailer and
who are eligible to conduct business at MRT station retail should follow these steps:

a) Read and prepare all the information required in the Retail Spaces Application
Guideline before submission.
b) Fill in the online Retail Spaces Application Form
c) Ensure that you have completed all required information to avoid disqualification.
d) Submit your application online
e) Print your submitted application form
f) Ensure that you have specified the monthly rental offer required in the
application form for retail unit section
g) Submit the application form and supporting documents to MRT Corp.

3 ELIGIBLE PARTIES
Basic requirements to fulfil in order to apply for retail spaces at MRT stations.

a) Registered with the Companies Commission of Malaysia (SSM)


b) Be able to submit a full and complete business proposal
c) Over three (3) years of experience of the same type of business/trade applied.
(2013 – present)

d) Retail space allocated for Bumiputera, certificates of registry with Bumiputera
status from Ministry of Finance Malaysia (MOF)

4 ADMINISTRATIVE FEE
Applicant is required to pay an Administrative Fee amounting to RM 30.00 (Ringgit
Malaysia Thirty) inclusive of 6% GST only (RM 28.30 + RM 1.70 (GST 6%)) in the form
of a Money Order / Banker’s Cheque / Bank Draft made payable to MASS RAPID
TRANSIT CORPORATION SDN BHD and crossed “Not Negotiable” from a bank
established in Malaysia during submission. Personal cheque and cash will not be
accepted. The Administrative Fee shall not be refundable.

5 BOND
5.1 The Application Document shall be accompanied with a BOND for a sum of two (2)
months of gross rent offered only in the form of an approved Banker’s Cheque / Bank
Draft which shall be valid for a period of one hundred and eighty (180) days from the
Application closing date as shown in the application document and indicated above
made in favour of “MASS RAPID TRANSIT CORPORATION SDN BHD”, failing which
Application shall be disqualified. The Applicant shall indicate the BOND reference
number and the amount in the Submission checklist.
If the application is successful, the BOND is treated as rental deposit for tenancy. If the
application is unsuccessful, the BOND shall be returned without interest.
5.2 BOND shall be called upon under the following circumstances:
a) Applicant who withdraws its submission upon 180 days from Application Closing
Date
b) Applicant who submits falsified information and/or falsified signature
c) In the event of its Application been accepted, the successful Applicant refuses or
fails to execute formal agreement with MRT Corp.

6 SUBMISSION OF APPLICATION DOCUMENTS


6.1 Application documents shall be submitted and comprise the following documents:-
a) Bond
b) Appendix 1: Submission Checklist
c) Appendix 2: Application Form
d) Appendix 3: Business Proposal
e) Appendix 4: Non-Disclosure Agreement
f) Appendix 5: Bidder Statement of Non-Collusion
g) Appendix 6: Applicant’ Letter of Recognition
h) Appendix 7: Statement of Compliance to Terms and Conditions
i) Appendix 8: Supporting Documents

6.2 Applicant shall submit its Application enclosed and sealed under cover with the station
name and unit number marked on the top right hand corner.
6.3 Applicant shall submit its Application in two (2) complete sets in the following forms:-
a) One (1) set of the ORIGINAL copy;
Envelope shall be marked as “ORIGINAL”.

b) One (1) set of the DUPLICATE copy;


Envelope shall be marked as “DUPLICATE”.

6.4 Application shall be submitted “by hand” not later than 12.00 noon on 18 April 2016
(hereinafter referred to as “Closing Date and Time”) at MRT Corp. Sdn Bhd addressed
as below:-

6.5 The submission of the Application shall be delivered BY HAND and placed inside the
dedicated Tender box at Procurement Department office on the Closing Date and Time.
6.6 Courier or faxed or e-mailed Application SHALL NOT be accepted
6.7 Any document left out and/or not included in the submission envelope, SHALL NOT be
accepted.
6.8 Any document received after the Closing Date and Time specified, may be declared as
“Late Submission” and kept unopened by MRT Corp.

7 ADDENDUM TO THE APPLICATION DOCUMENT


a) MRT Corp. may at its sole discretion issue Addendum(s) to the Application Document
before the Closing Date and Time which may in effect vary, amend, increase and/or
reduce the requirement(s) in the submission of the Application.

b) Applicant shall be required to revise, amend, modify and/or clarify any part of its
Application in accordance with the Addendum(s) issued.

c) Every addendum issued shall be published on MRT Corp’s website under Retail Tab
and shall form part of this Application document.

d) Application submitted shall be deemed to have been made in reference to and on the
basis of the entire Application document, inclusive of all Addendum(s) duly issued prior
to the Closing Date and Time.

8 TERMS AND CONDITIONS OF APPLICATION
8.1 Annulment Process by MRT Corp.
MRT Corp reserves the right at any time to annul this the application without being
liable for any costs, damages, losses and/or expenses whatsoever. Applicant shall
have no legal recourse against MRT Corp., its employees and/or agent for such
annulment and/or rejection in any respect whatsoever.
8.2 Right to reject Application
MRT Corp reserves the right not to accept the highest offer or any application.

8.3 Non-withdrawal of Application


Application submitted cannot be amended or withdrawn for any reason at all. Each
application submitted shall remain irrevocable and valid for MRT Corp's acceptance for
a period of six (6) months from Application Closing Date or such other date as may be
determined by MRT Corp at its discretion and as notified to the applicant. In the event
of any withdrawal of submitted application after the final submission date, MRT Corp
shall have the right to forfeit the deposit (or any part thereof). An application form not
properly completed shall be rejected at MRT Corp's sole discretion.

8.4 Right to Enter into Private Negotiations/E-bidding


MRT Corp reserves the right to subsequently enter into private negotiations with any
applicant or such party for any unit as deemed fit by MRT Corp.

8.5 Offer of an Advantage or Inducement


The offer of an advantage or other inducement by any person with a view to influencing
the tenancy will result in the rejection of the application.

8.6 Acceptance of tenancy


A Letter of Offer will be handed to or posted to the successful applicant's address as
given in his/her application. The applicant is given not less than one (1) week to accept
the award as specified in the Letter of Offer. Unless prior written approval has been
obtained from MRT Corp, the successful applicant who does not respond within the time
specified for acceptance in the Letter of Offer will be assumed not to accept the offer
and the security deposit and all other monies paid to MRT Corp shall be forfeited. For
the avoidance of doubt, MRT Corp shall have the right to withdraw any award at any
time without any liability before the Letter of Offer is issued to the successful applicant.
MRT Corp will not enter into correspondence with any applicant regarding the reasons
for non-acceptance of a tenancy.

8.7 Error or Omission


In the event of applicant discovering a major error or omission or any arithmetical error
in his/her application after it has been submitted to MRT Corp, he/she may draw MRT
Corp’s attention to the error at any time prior to closing time and date for the receipt of
applications. MRT Corp will not entertain any communication regarding any error or
omission in an application after the closing time and date for the receipt of applications.

8.8 Non-liability for any Costs and Expenses
In no case will any expense incurred by an applicant in the preparation of his/her
application be borne by MRT Corp.

8.9 Acceptance of all terms and conditions


By submitting the application, the applicant is acceptable to all terms and conditions
stated in this application.

8.10 Acceptance of Changes


The applicant accepts that there may be changes to the layout plans, floor areas, shop
specifications, estimated availability dates and other details provided in this application.

8.11 Payments upon Letter of Offer


Upon award acceptance, Tenant shall sign the Letter of Offer and make the following
payments:

a) First (1st) month's gross rental offered


b) Rental Deposit equivalent to two (2) months' gross rental offered (as per item 5 of
this guidelines)
c) Fitting/Reinstatement Deposit of
a. RM 1,000/- for shops below 20.0 m2
b. RM 2,000/- for shops above 20.0 m2
d) Utilities deposit equivalent to 1.5 month’s of the estimated monthly utilities
consumption. (amount determined by MRT Corp shall be final)
e) Stamp fees for Agreement as required under the Stamp Duties Act.
f) Legal fee (amount determined by MRT Corp shall be final) for disbursements
incurred in the preparation and completion of Tenancy Agreement.

8.12 Tenancy Agreement


The award of the tenancy shall be subjected to contract. The successful tenant shall
enter into a Tenancy Agreement ("Agreement") with MRT Corp within the time stipulated
by MRT Corp. The Agreement shall be executed by the company and two (2) major
shareholders, one of whom must be a Malaysian citizen. A certified true copy of the
company's resolution stating the person authorised to execute the Agreement on behalf
of the company shall be produced at the time of execution of the Agreement.

8.13 Term of Tenancy


The period of the tenancy shall be two (2) years unless otherwise indicated.

8.14 Minimum Business Hours


Tenant is to ensure everyday business operation is in accordance with the minimum
business hours from

Monday to Friday : 8.00 am. to 10.00 pm.


Saturday : 9.00 am. to 5.00 pm.

8.15 State and Condition of the Unit
Tenant is to provide own signage, flooring, false ceiling, supply and return air ducts and
diffusers, and 2nd layer sprinkler system (if not provided by the Landlord). Tenant is also
required to provide own necessary numbers of air-conditioner to suit his/her operations,
e.g. for extended business hours or if in use of equipment/lightings generating high heat
loads, subject to MRT Corp's and authorities' approval.
8.16 Rent-free Fitting-Out Period
A rent-free renovation period of up to four (4) weeks before the commencement of the
tenancy will be granted to tenant. Rent will be charged from the expiry of the rent-free
period, regardless of whether the successful tenant is ready for business, or from the
commencement date of business, whichever is earlier. Tenant will have to take into
account renovation or other requirements in offering a monthly rental.

8.17 Fitting-Out Works


Tenant warrants to carry out fitting-out works at own cost and expenses in compliance
with the Tenant's Fitting-Out manual upon unit award. Tenant is to undertake all site
preparation works (Civil and M&E works) at his/her own costs and expenses. All design
and layout is subject to MRT Corp's and authorities' approval.

8.18 Submission of Layout, Renovation/Decoration Plan


Upon request by MRT Corp, tenant may be required to submit fitting-out plans and layout
to MRT Corp for evaluation. MRT Corp reserves the right not to approve if the proposed
plans submitted are not acceptable.

8.19 Prohibited Sale Items


Sale and display of the following items are strictly prohibited within the MRT stations:-

a) R-rated materials by illegal act with negative influence i.e. pirated, anti-racial,
pornographic or related products/materials.
b) Alcohol or any beverage with alcoholic content is prohibited unless with written
consent from MRT Corp i.e. Wine, spirit, etc.
c) Flammable substance. All combustible materials can only be sold in total amount of
2 litres in safety can(s)/fire cabinet is allowed and only a total amount of not more
than 10 litres is permitted for display purposes at any one time.

8.20 No Assignment, Sub-rent or Part with Possession


Tenant will not be allowed to assign, sub-rent or part with possession of the awarded
unit or any part thereof.

8.21 Submission of Annual Returns


Tenant is required to supply certified copies of the Annual Returns of two preceding
financial years to MRT Corp as per submitted to the Suruhanjaya Syarikat Malaysia
(SSM) pursuant to the Companies Act.

8.22 Non-amalgamation or Merger
Tenant is to obtain consent from MRT Corp in writing and if such consent is granted, it
shall be given on such terms and conditions as MRT Corp may in its entire and
unfettered discretion deem fit to impose any form of amalgamation or merger with
or take-over by another company, firm or body or party.

8.23 Change of Shareholders/Value of Shares


Tenant is to notify MRT Corp immediately of any change of shareholders or the value of
the shares held by the shareholders or of any form of reconstruction of the company.

8.24 Licences, Permissions or Approvals


As required by law, tenant is to obtain licence, permission and approval as legal
document to carry out businesses. Copies of these legal document needs to be
submitted to MRT Corp. No allowance in payment or refund of rent shall be given for
any period before such licence, permission or approval is granted if the same is refused
or withdrawn.

8.25 Non-Negotiation of Terms


All terms and conditions contained in the stated in the Term and Condition of Retail
Spaces Application, Tenancy Agreement and Fitting-Out Manual are not negotiable.

8.26 MRT Corp’s Right to Inspect Applicant’s Facility


MRT Corp. reserves the right to inspect the Applicant’s facility by giving no less than
forty eight (48) hours’ notice and the Applicant shall provide the necessary access and
obtain permission for MRT Corp to carry out such inspection.

1. What are the application procedures?

All who wish to be a potential retailer and be eligible to conduct businesses at MRT
station should follow these steps:

i) Read and prepare all information required in the Retail Spaces Application
Guideline before submission.
ii) Fill in the online Retail Spaces Application Form
iii) Ensure that you have completed all required information to avoid any
disqualification.
iv) Submit your application online
v) Print your completed application form
vi) Ensure that you have specified the monthly rental offer required in the
application form for retail unit section
vii) Submit the application form and supporting documents to MRT Corp.

2. Where should I submit my application?

You should submit your application enclosed and sealed under cover with the station
name and unit number marked on the top right hand corner. The document shall be
delivered BY HAND and deposited in the provided tender box at MRT Corp
Headquarters, Procurement Department, Level 6, Menara I&P 1, 46, Jalan Dungun,
Bukit Damansara, 50490 Kuala Lumpur, Wilayah Persekutuan Kuala Lumpur,
Malaysia on the stipulated closing time and date.

3. Can I leave blank answers in the application form as some of it them not
applicable to me?

Applicants must complete all the necessary submissions. All blanks in the form have
to be filled, if not, applicants will risk being disqualified. Please fill in ‘N.A.’ or ‘Nil’ for
those not applicable to applicants.

4. Can I submit the application on behalf of someone else?

Yes. However, the applicant indicated in the ‘Application Form’ is the only authorised
person to sign the tenancy agreement with MRT Corp if his/her application is
successful. He/she shall not be allowed to assign, sub-rent or part with possession of
the awarded unit or any part thereof.

5. What is the minimum/average rental for kiosk/retail spaces at MRT Station?

Applicants have to bid desired retail space with minimum rental set by MRT Corp.
Applicants are advised to bid at a level they are comfortable with.

6. How long is the tenancy term if we are awarded with the tenancy agreement?

The tenancy term is two (2) years unless otherwise stated.

7. When will I know the application result?

Evaluation takes about 6 to 8 weeks’ time to process. Successful applicants will be


notified by phone/email.

Appendix 4: Non-Disclosure Agreement

NON-DISCLOSURE AGREEMENT

We, the named Applicant in this Non-Disclosure Agreement hereby agree not to disclose,
utilize and/or provide any information whatsoever duly provided by MRT Corp. except to the
extent insofar necessary towards the Retail Spaces Application at MRT Stations

We hereby agree not to make any announcements and/or release any information whatsoever
relating to Retail Spaces Application at MRT Stations to any corporate body, press and/or
public at any time and for whatsoever purpose unless a prior written approval has been
furnished by MRT Corp for such particular purpose.

We shall ensure that the terms and conditions of this Agreement are fully complied with by all
employees, agents, sub-consultants, engineers and /or other relevant third parties whom we
may be in contact with MRT Corp’s confidential information for the purpose of preparing the
Retail Spaces Application at MRT Stations submission.

We agree that the terms and conditions of this Agreement shall survive whether or not our
Retail Spaces Application at MRT Stations has been accepted by MRT Corp.
