Brand Representation Agreement

PARTIES TO THE AGREEMENT

Between {{‘’Insert Company Name”}}, ¨The company¨ and {{“insert Brand Rep”}}, (‘’Brand
Rep), sets forth the terms and conditions for the Brand Rep Agreement here in after (“Agreement”).
{{Insert Company Name and Brand Rep}} agree to following terms:
AGREEMENT TERM
{{x}} months Agreement (“Term”), beginning at _______, this agreement is for a fixed length on
time ending on {{insert ending date}}. {{Insert Company Name}}, within its full discretion, will
notify Brand Rep within 14 days before the term ends if Brand Rep is eligible to renew the agreement
for a new Term.
COMPANY OBLIGATIONS
1. {{Insert Company Name}} will provide Brand Rep with a USD$ {{x}} retail package
“Products”. Brand Rep may request certain pieces, but {{Insert Company Name}}, in its full
discretion, may send items more readily available.
2. {{Insert Company Name}} will provide necessary details regarding the Products in order for
Brand Rep to provide precise content.
3. {{Insert Company Name}} will answer any question Brand Rep may have within 48 hours.
4. {{Insert Company Name}} will provide Brand Rep with a free shipping code for Brand Rep
to include in social media posts. Posting the code is not required, but the discount code is how
{{Insert Company Name}} tracks Brand Rep’s progress, which will be considered when
determining whether to renew the Agreement for a new term. The discount code will only be
valid throughout the duration of the Agreement.
5. {{Insert Company Name}} will “tag” or otherwise allow Brand Rep in all social media posts
made with content provided by Brand Rep.
BRAND REP OBLIGATIONS
1. Brand Rep will post one high-quality photo each week throughout the duration of the
Agreement to Facebook and Instagram (IG). See clause Photography Requirements below.
2. Brand Rep will tag {{Insert Company Name}} in the photo and in the caption of the post.
3. Brand Rep gives {{Insert Company Name}} the right to use Brand Rep’s photos for its own
use on {{Insert Company Name}} social media accounts, websites, and all advertising
materials.
4. Brand Rep must represent {{Insert Company Name}} in a positive light. Also has to
represent {{insert company name}} in compliant with D.E.I. (Diversity, Equity and
inclusion)
5. Brand Rep, at the discretion of {{Insert Company Name}}, may be allowed to guest post on
{{Insert Company Name}} blog or social media accounts as a method of mutual promotion,
see clause Non-Disclosure and Confidentiality below.
PHOTO REQUIREMENTS
1. Photography do not have to be from a professional photographer, but the photos must be
high-quality.
2. Photography must not be blurry or grainy.
 3. Viewers must be able to clearly see the item and accurately depict what the item is (we do not
need distance photos).
4. Brand Rep must wear the {{Insert Company Name}} item in the photo. Flat lays will not
count towards the 1 photo per week requirement.
5. Required weekly photos must not be posted within 2 days of each other. Additional photos
may be posted at the discretion of Brand Rep.
6. Photos must be emailed in their original form to {{insertcompanyname@e-mail.com}} for
{{Insert Company Name use}}.
NON- DISCLOSURE AND CONFIDENTIALITY
Brand Rep may gain access to {{Insert Company Name}} confidential and proprietary information
including, but not limited to: social media login information, copyrights, business and financial
information, business methods and practices, technologies and technological strategies, marketing
ecosystem strategies and other such information {{Insert Company Name}} regard confidential.
a) Brand Rep may not disclose this information to any other person unless required by
law.
b) Brand Rep may not use the information for any purpose other than the intended use.
PARAGRAPHE ONE: This Agreement imposes no obligation upon Brand Rep with respect to any
Confidential Information is or becomes a matter of public knowledge through no fault of Recipient.

VIOLATIONS
Any violations of this Agreement will result in Brand Rep being responsible for the full retail value of
the commodity. An invoice will be sent to Brand Rep, which will be due upon receipt. If Brand Rep
violates this Agreement, Brand Rep will not be eligible to apply to become a {{Insert Company
Name}} Brand Rep for 12 months from the date of the violation.
