Brand Ambassadors – Contract of Agreement

This agreement is made on the date of last signature set out below between:

(2) Épique Clothing part of the Teds Trading Ltd. group of Flat 2, 17-18 Alma Square,
Scarborough, North Yorkshire, YO11 1JR (the Company)

(1) In this agreement, unless the context requires a different interpretation:

a. The masculine shall include the feminine;

b. The singular includes the plural and vice versa;
c. References to sub-clauses, clauses, schedules or appendices are to sub-clauses,
clauses, schedules or appendices of this Agreement;
d. A reference to a person includes firms, companies, government entities, trusts
and partnerships;
e. “including” is understood to mean “including without limitation”;
f. Reference to any statutory provision includes any modification or amendment
of it; and
g. The headings and sub-headings do not form part of this agreement
h. You means the ambassador, us means the company.
Ambassadors Requirements
(2) The Ambassador is required:
a. To follow all instructions in item 4
b. To display the provided public rep code in the bio of the ambassador’s
primary social media account
c. To display the company’s website address (www.epiqueclothing.com) in the
bio of the ambassador’s primary social media account
d. To post at least one post every 31 days on the ambassador’s primary social
media account. The post must include:
i. An image of the brand ambassador wearing one or more of the
company’s products which are currently available for sale
ii. A tag or link to the company’s social media account
iii. The ambassador’s public rep code
e. Maintain a public social media account that is listed as the primary social
media account in schedule 3
(3) As the ambassador’s first post for the company the ambassador must include:
a. The artwork provided by the company

 b. A tag or link to the company’s social media account
c. The ambassador’s public rep code
(4) If the ambassador to follow the points in item 3 & 4 the company can choose to
terminate the agreement without warning.
Company’s Requirements
(5) Once the ambassador has completed item 4 the company will send an item from our
current clothing line free of charge. The company is responsible for shipping charges
but is not responsible for any duties or taxes that are incurred. The ambassador will be
given a choice however that choice is not guaranteed.
(6) The ambassador will be provided with a public rep code. The ambassador will receive
a percentage commission on every sale that uses the rep code. The percentage
commission is laid out in schedule 1.
(7) The company is required to provide a sales report to the ambassador every month.
The ambassador will receive renumeration for the previous month on the 10th of the
following month. The company is not liable to pay renumeration until the 30th of the
month following in extreme circumstance.
Rep codes
(8) The ambassador will be provided with two rep codes;
a. Public rep code – This code will be used by the public, it will give the
customer a discount on their sale. The ambassador will also receive
commission as listed in item 7.
b. Private rep code – This code is to be used by the ambassador only to receive a
discount on clothing.
(9) The private rep code must only be used by the ambassador, the public rep code must
not be used by the ambassador.
(10) The discounts for the codes are listed in schedule 2 of this agreement.
(11) On the termination of this agreement the rep codes will expire immediately

Rewards
(12) The company will provide periodic rewards to the ambassador, these rewards
are at the complete discretion of the company and are not guaranteed.
(13) After 10 sales that have used the ambassador’s public rep code, the
ambassador will send an item from our current clothing line free of charge. The
company is responsible for shipping charges but is not responsible for any duties or
taxes that are incurred. The ambassador will be given a choice however that choice is
not guaranteed.

Intellectual Property and Image Rights

 (14) Any posts made by the ambassador that includes a tag to a company owned
social media will become the property of company indefinitely. The post and any
images attached will remain the property of the company even after this agreement
ends. Any images attached can be used without restriction by the company for any
reason or use. The ambassador does not have the right to alter this item or to request
that any images or post are not used.
(15) Any posts made by the ambassador the do not include a tag to a company
owed social media account will remain the property of the ambassador even if the
ambassador is wearing company clothing in the pictures.
Public Imaging
(16) The company does not have the right to interfere with the ambassador’s
profiles, bios, post or images other than that with are:
a. Covered or required by any items in this agreement
b. Tagged to company social media accounts
(17) The company is an inclusive organisation. Discrimination on any ground will
not be tolerated. If ambassadors have posts, text or images anywhere on their social
media platforms or in the public media that contravene our public image policy, the
company reserves the right to terminate this agreement without warning.
(18) Posts which are tagged to any of the company’s social media must follow all
these requirements. Posts must not:
a. Contravene the companies public image policy
b. Contain any discriminatory content
c. Contain any obscene language
d. Links to any other companies
e. Contain any political statements or links to political parties
Legal Status
(19) The ambassador is not an employee of the company:
a. The ambassador must never advertise that they are a member of the company
b. The ambassador must never speak on behalf of the company
(20) The company can not prevent the ambassador from working for another
company and may not interfere with the ambassadors right to represent another
company
(21) The ambassador is responsible for their own tax and legal affairs.
Termination of agreement
(22) Either party may terminate this agreement without warning at any time.
Termination must be made in writing however that document can be sent
electronically.
(23) On termination:
a. Any private rep codes will expire immediately

b. Commission accrued by persons using the public rep code up until the end of
the current calendar month will still be returned to the ambassador.

 c. On the 1st day of the next calendar month no commission will be earned using
the public rep code.

d. The company can choose when it will become appropriate to end the public
rep code.

e. The company reserves the right to request free items of clothing to be returned
when within two months from the agreement start date.

Limit of liability
(24) The ambassador is required to ensure that any photoshoot is properly risk
assessed. The company will not be liability for any damages or personal injury
occurred.

Schedule 1 – Commission
The company can change the commission schedule with one-month notice. The ambassador
will have the choice to end the agreement if the new schedule cannot be agreed.

The company can change the discount schedule with one-month notice. The ambassador will
have the choice to end the agreement if the new schedule cannot be agreed.

Schedule 3 – Ambassadors Details

If you wish to change your primary social media, please contact us.
Primary social media must be Instagram or Facebook.

however we will check your primary social media to count your posts.
