EMPLOYEE NON - DISCLOSURE AGREEMENT

In consideration of employment by the Company, and disclosure by Company of Confidential
and trade secret information, the undersigned Employee hereby agree as follows:

1. CONFIDENTIALITY
Employee acknowledges that during Employee's Span of Service, any information (Private or
Public) gathered and exposed to valuable confidential and trade secret information of
Company, Employee agrees to treat all such information as confidential and to take all
necessary precautions against disclosure of such information to third parties during and after
the term of this Agreement.
Employee acknowledges that trade secrets of the Company will consist of but will not be
necessarily limited to:
a. Technical information: Methods, processes, formulae, compositions, systems,
techniques, inventions, machines, computer programs, Proposals and projects.

b. Business information: Customer lists, pricing data, sources of supply, financial data and
marketing, production, or merchandising systems or plans.
Employee understands that this Agreement does not and will not prevent him/her from working
for any other Company subsequent to the termination of his/her employment with the Company
as long as the Employee does not use or disclose any such confidential and proprietary
information.
2. USE
The employee will not use the Company’s confidential data and trade secret information to
other companies, only if allowed by the Company prior to providing services, goods and
opportunities as requested or prior to referral to the Company.

3. ENFORCEMENT
The Employee agrees that if he/she commits a breach of any of the provisions of this
Agreement, the Company shall have the right to enforce this Agreement in any court having
equity jurisdiction. Employee acknowledges and agrees that any such breach of this Agreement
will cause irreparable injury to the Employee Non-Disclosure Agreement

4. SERVICE FOR THE COMPANY

The Employee acknowledges his/ her rightful responsibility as an Employee under the (INPUT
COMPANY NAME HERE) As an Employee of the company, any actions that are against the
Company’s Scope such as:
a. Stealing of Project opportunities under the services of (INPUT COMPANYHERE).
b. Any actions of Sabotage in relation to the Projects under (INPUT COMPANYHERE).
c. Breach of Project Contract.
d. Stealing of Materials or Equipment provided by (INPUT COMPANYHERE).
And any other things that can be related to the instances stated above, the Employee will face
legal actions such as immediate Termination, Forbiddance from Workplace and sites under the
services of (INPUT COMPANYHERE). Action might depend on the Judgement of the
Management prior to the level of Misconduct.
