revised in October 2020 as a result of the severe economic impact of the COVID-19 pandemic. As previously disclosed, the acquisition was conditional on the

approval of various regulatory authorities, including the European Commission. In order to meet that key condition, Air Canada offered and enhanced a significant

package of remedies, which went beyond the commercially reasonable efforts required of Air Canada under the Arrangement Agreement and what has been

traditionally accepted by the EC in previous airline merger cases. Following recent discussions with the EC, it has become evident, however, that the EC will not

approve the acquisition based on the currently offered remedy package. After careful consideration, Air Canada has concluded that providing additional, onerous

remedies, which may still not secure an EC approval, would significantly compromise Air Canada's ability to compete internationally, negatively impacting

customers, other stakeholders and future prospects as it recovers and rebuilds from the impact of the COVID-19 pandemic. Especially in this challenging

environment, it is essential that Air Canada focus on creating the optimal conditions for its full recovery by preserving and leveraging all of its key strengths and

assets including its strong employee culture. Both Air Canada and Transat have agreed to terminate the Arrangement Agreement with Air Canada paying Transat

a termination fee of $12.5 million, and with Transat no longer under any obligation to pay Air Canada any fee should Transat be involved in another acquisition or

similar transaction in the future.

Towing Tractor

Description
All Nippon Airways (ANA), Japan's largest and 5-Star airline for eight consecutive years, will partner with Toyota Industries
Corporation (Toyota Industries) to conduct a test of the latest autonomous towing tractor in the restricted area at Tokyo Haneda
Airport from March 29 to April 2, 2021. These trials be the first to take place at Haneda Airport. For this latest round of tests, Toyota

Description
Cathay Pacific Cargo, a leading global air freight operator, partnered with EFL Global, a leader in supply chain solutions, to uplift

a COVID-19 vaccine shipment out of Hyderabad, India. The shipment was uplifted from Rajiv Gandhi International Airport to

Paraguay via Miami International Airport. The shipment included 10,000 vials with a total of 100,000 vaccine doses, successfully

delivered through the airline’s fleet B773ER, a cargo-only passenger flight from Hyderabad to Hong Kong. This was followed by

a quick transfer onto Cathay Pacific Cargo freighter B747-8F from Hong Kong to Miami. The vaccine shipments were assigned

a unique handling code “VAC” that denotes a special SOP used for handling and notifying all concerned teams at origin, transit,

and destination. This protocol ensures that vaccines are stored within the required consistent temperature ranges of 2-8 degrees

Celsius from acceptance to delivery. Crucial steps such as the late release of the shipment from warehouse to airside at origin and

an early release from aircraft to warehouse at the destination are taken to minimise exposure and temperature fluctuations.

Additionally, priority towing at ramp for all flights was provided to avoid exposure to external conditions.

Boston Customers Bound for Aruba
Description
JetBlue and The Commons Project Foundation, in partnership with the government of Aruba and COVID testing companies Vault and

XpresCheck, announced they have launched the use of the CommonPass platform, allowing JetBlue customers traveling from Boston’s

Logan International Airport to Aruba’s Queen Beatrix International Airport to enter the nation using the CommonPass digital health pass.

The CommonPass platform enables safer travel and easy entry as travelers can simply scan their passports to verify that they meet entry

requirements into Aruba. The first flight for eligible customers landed Tuesday in Aruba and will continue for all JetBlue flights from

Boston to the island destination. The airline and its partners plan in the coming weeks to expand the use of CommonPass for customers

traveling to Aruba from cities throughout JetBlue’s network. Aruba requires that arriving passengers test negative for COVID-19 either

within 72 hours of or upon arrival. Boston customers who utilize JetBlue’s testing partners, Vault for supervised at-home PCR tests or

XpresCheck for in-person testing, are now able to streamline the arrival process in Aruba by downloading the CommonPass app in

advance of their flight. Upon arrival, CommonPass users will have access to dedicated CommonPass immigration lanes to start their

vacation sooner. More testing facilities are expected to be added to the CommonPass platform in the coming weeks and months.
