1 Introduction
This Statement of Work (“SOW”) describes the professional consulting services that Trimble Inc. (“Trimble”) has
been requested to perform on behalf of Client stated above. This SOW may not be modified or amended except in
writing signed by a duly authorized representative of each party. The delivery of services for this Statement of Work
is subject to Trimble’s Terms and Conditions of Sale (http://www.trimble.com/support/terms_of_sale.aspx) and
Trimble’s Terms and Conditions for Professional Services (http://www.trimble.com/legal/tandcforservices)

IF THERE IS A MASTER PURCHASE AGREEMENT IN PLACE WITH THE CLIENT THEN USE THE FOLLOWING INSTEAD
OF THE PREVIOUS SENTENCE WITH LINKS: The delivery of services for this Statement of Work shall be in accordance
with the Terms and Conditions of the Master Purchase Agreement dated _________________between Trimble and
the Client.

2 Project Scope

GE Johnson has engaged Trimble to build an integration between Prolog and M-Files. The development of the
integration is complete. This SOW is an allocation of 40 hours towards supporting the deployment of the
integration to the Prolog Sky environment and for any minor changes requested and approved by GE Johnson.

3 Schedule/Time Plan
A project time plan will be created by the Trimble Project Manager after the approval and execution of this SOW.
The actual start and completion dates will be dependent upon actual execution of the contract and qualified resource
availability of both Trimble and the Client.

4 Assumptions
The following assumptions were made in preparing this SOW:
a) Upon execution of this SOW, the Trimble and Client project managers will identify the resource and create the
Project Plan. The Project Plan and Project Team members to be agreed upon prior to the kick off.
b) Scope may be identified during the phases of this project that is outside the scope contained in this SOW. Those
scope items will be identified but not explored or delivered as part of this engagement.
c) Client will provide suitable office space and facilities while working on the Client premises. The space will
include internet access. Conference or team working rooms with a projector and white board may also be
requested.

d) The Trimble project team will be available during normal business hours (based upon the location of the
employee). Meetings outside of this time must be approved by Trimble management.
e) Documents will be delivered in English. Any documents requiring translation will be translated at added
expense.
f) Trimble will have appropriate access to Client’s environment if necessary.
g) If training is included in this Statement of Work then Trimble recommends that up to a maximum of 10
students per session in order to maximize learning and interaction.

5 Professional Service Fees – Time + Materials Rates

Task Rate Fee

Prolog Consulting $200/hr $8000

Total : $8000

1. Trimble Invoices will be in USD.

2. Professional Services will be billed monthly based upon above milestones and payment is due net thirty (30)
days from date of invoice.
3. The costs for Professional Services will not exceed the above amount without prior written approval. If
additional hours are required, a client approved change request will be required prior to the work commencing.
4. The costs for Professional Services (above) do not include Travel expenses. Trimble will invoice any actual
expenses incurred on a monthly basis and payment is due net thirty (30) days from date of invoice. Travel is
not expected for this SOW.
