Dear Sirs,

Since TECHNIP ITALY S.p.A. (the Contractor) have been awarded the Contract by ENOC PROCESSING
CO LTD (EPCL) (the CLIENT) for the implementation of the reference Project, you are kindly requested to
submit your bid for the works specified in this Bid Inquiry.

1. TECHNICAL SPECIFICATIONS AND SCOPE OF WORK

The works to be carried out for the JEBEL ALI REFINERY EXPENSION PROJECT are specified in
this Inquiry, and relative annexes, which form an integral part of the same. Your bid shall be in
conformity with all Inquiry documents. BIDDER shall verify the accessibility of all areas subject to
Insulation Works.

The SCOPE OF WORK to be performed by the selected bidder (SUBCONTRACTOR) shall be


executed according to the prescriptions of JEBEL ALI REFINERY EXPENSION PROJECT and in
particular according to the General conditions for the HSE behaviour to be applied at JEBEL ALI
REFINERY EXPENSION PROJECT Site.

The SCOPE OF WORK mainly consist in the following activities:


- INSULATION WORKS for Greenfield and Brownfield

Bidder must quote two alternates as detailed in the Price List.

Installation activities include relevant precommissioning activities.

2. MANPOWER AND WORKING HOURS

Work conditions and hours shall be those in force in U.A.E. and in compliance with JEBEL ALI

REFINERY rules.

3. WORK SCHEDULE

Will follow in a separate communication.

4. BID VALIDITY

The Bid shall be valid up to April 30th , 2018

5. OTHER CONDITIONS

Refer to attached Subcontract Order draft.

6. CODE OF ETHIC - ADMINISTRATIVE AND SOCIAL ACCOUNTABILITY

BIDDER shall declare its compliance to the Technip Italy S.p.A. Code of Ethics attached to the
present, undersigning the following declaration.

“BIDDER hereby declares that he is aware of and undertakes to comply with the principles of
Technip Italy S.p.A.’s Code of Ethics, which has been duly provided to BIDDER by Technip Italy
S.p.A..
Accordingly, it is expressly agreed that any non-compliance with the above commitment during
the performance of the activities to be carried out under the present Purchase Order, connected
to possible implications involving Technip Italy S.p.A.’s liability, will represent a fundamental
breach of the present Purchase Order. In any such event, Technip Italy S.p.A. shall be entitled to
undertake any and all measures it considers appropriate to protect its interests, including to
terminate forthwith the present Purchase Order for default, and to be indemnified for any and all
losses, damages, costs and expenses deriving from the above-mentioned breach.
BIDDER acknowledges and agrees that the payment of, or the promise to pay, any sum of money
or any facility, with the exception of cases where such a facility is of negligible value, in favour of
public officials of any nationality whatsoever aimed at obtaining an economic advantage,
represents a fundamental breach of the present Purchase Order. In any such event, Technip Italy
S.p.A. shall be entitled to terminate the present Purchase Order for default and to be indemnified
for any and all losses, damages, costs and expenses deriving from the above-mentioned breach.”

BIDDER hereby also declares to share the principles of Social Accountability contained in the
Technip Italy S.p.A.’s Code of Ethics and agrees to allow Technip Italy S.p.A. to audit the
implementation methods of such principles focusing particularly on the following topics assumed
as indicators:

• Local labour laws and regulations compliance with particular reference to Working hours, Over
Time, Weekly off-day, Annual Leaving Management;
• Payment slip delivered to the workers and reporting all the items forming the wage;
• Worker’s contract delivered to the workers and reporting terms and conditions of the
employment in English language and translated in the language understandable by the
worker;
• Evidence of the recruitment process / procedures, included contract with manpower supply
agency;
• Passport holding: in case passport holding is carried out, it can be justified only as a security
precaution and passport shall be given back to its owner as necessary. Such process will be
supported and detailed by written procedure / declaration of the employer;
• Proper communication channels by means of suggestion boxes, hot lines or workers

representatives put in force / established in collaboration with the workers in order to
assess/verify the compliance with and the proper implementation of the applicable labour
contracts and regulations.

7. TECHNIP GROUP ANTI-CORRUPTION POLICY

With reference to Technip Group “Anti-Corruption Policy” - GOPS 25001, BIDDER shall accept the
contents described in the document GTDS 22002-5 and shall fill in the “Subcontractor Compliance
Questionnaire” - GTDS 22002-1 and sign the “Declaration of Compliance” - GTDS 22002-3, provided
herein in the attachment.

8. BID SUBMISSION
Bid shall be submitted through the EPC BUSINESS platform; the invitation to
access to the platform will be sent to the BIDDER separately by email.
Furthermore Bidder is requested to send in envelope duly sealed:
