The Seller agrees to sell and the Buyer agrees to buy hereinafter commodities under the
follow terms and conditions:

1. COMMODITY: White, irregular rice.

2. ORIGIN: Vietnam

3. QUALITY:

• Broken: 25%.
• Moisture: 14%-15%.
• Double polish: required.
• Chalky kernel: 5.0% max (basis ¾ grain).
• Foreign matter: 1% max.
• Yellow kernel: 1% max.
• Paddy: 5 per kg.

4. QUANTITY:

• 929,880 kgs (nine hundred and twenty nine thousand, eight hundred and eighty
kilos)
• Tolerance: 0.1%

5. UNIT PRICE: USD 465.0/Ton (US Dollars three hundred and sixty five per ton)
CFR Long Beach Port, in accordance with INCOTERMS 2020.

6. SHIPMENT:

• Shipment date: from 25 September 2019 to 31 December 2019.

• Trans-shipment: Allowed.
• Partial shipment: Allowed.
• Port of Loading: Ho Chi Minh (any terminal)
• Port of Destination: Long Beach or Los Angles.

7. PACKING: the rice is packed in new 45.36-kg PE bags (equivalent to 100lbs/bag).

8. INSPECTION: by the buyer’s representative at the seller’s warehouse or at the port
of loading.

9. FUMIGATION: The rice must be fumigated in container at port of loading.

10. DOCMENTS REQUIRED:

• Full set (3/3) original clean on board Bill of Lading.

• Signed commercial invoice in triplicate.
• Packing list in triplicate.
• Certificate of Fumigation issued by Vietnam government/ competent authority.
• Certificate of Origin to be issued by Vietnam Chamber of Commerce and Industry
(VCCI)

11. PAYMENT: By T/T or by cash 100% in advance or within 5 days after B/L issuance
date.

12. GERNERAL TERMS: Both parties undertake to execute strictly all article of this
Contract. Any amendment or addition to this Contract shall be made in writing after
being mutually agree by both parties.

13. FORCE MAJEURE: Neither party to this contract shall be held responsible for
breach of contract caused by an act of god, insurrection, civil war, war, military operation
or local emergency. The parties do hereby accept the international provision of “Force
Majeure” published by the International Chamber of Commerce, Geneva, Switzerland,
and as defined by I.C.C rules uniform customs and practice.

14. CLAIMS AND ARBITRATION: In case of claim on quality discrepancy against

the seller, the buyer shall officially notify the seller by fax within 2 weeks from the date
of arrival of vessel at discharging port. Thereafter, both buyer and seller mutually appoint
an international reputable neutral inspection agency and such inspection result shall be
deemed as final to both buyer and seller.
 Any dispute arising under this sales contract would be settled amicable at first. In
case the dispute cannot be settled dispute will be referred to the Vietnam International
Arbitration Center of Vietnam Chamber of Commerce and Industry (VCCI).

This contract is recognized by email will come into force after being signed by both

concerning parties.

Bên bán đồng ý bán và Bên mua đồng ý mua hàng hóa sau đây theo các điều khoản và
điều kiện sau đây:

1. HÀNG HÓA: Gạo trắng, không đều.

2. XUẤT XỨ: Việt Nam

3. CHẤT LƯỢNG:

• Độ vỡ : 25%.
• Độ ẩm: 14%-15%.
• Đánh bóng kép: bắt buộc.
• Nhân phấn: tối đa 5,0% (cơ sở 3/4 hạt).
• Vật lạ: tối đa 1%.
• Nhân vàng: tối đa 1%.
• Lúa: 5 kg.

4. SỐ LƯỢNG:

• 929.880 kg (chín trăm hai mươi chín nghìn, tám trăm tám mươi kg)
• Dung sai: 0,1%

5. ĐƠN GIÁ: 465.0/Tấn USD (Ba trăm sáu mươi lăm đô la Mỹ 1 tấn) CFR Cảng Long
Beach, theo INCOTERMS 2020.

6. GIAO HÀNG:

• Ngày giao hàng: từ 25/09/2019 đến 31/12/2019.

• Chuyển lô hàng: Được phép.
• Vận chuyển một phần: Được phép.
• Cảng xếp hàng: Hồ Chí Minh (bất kỳ nhà ga nào)
• Cảng dỡ hàng: Long Beach hoặc Los Angles.
7. ĐÓNG GÓI: gạo được đóng gói trong túi PE mới 45.36 kg (tương đương 100lbs /
túi).

8.KIỂM TRA: bởi đại diện của người mua tại kho của người bán hoặc tại cảng xếp/dỡ
hàng.

9. KHỬ TRÙNG: Gạo phải được khử trùng trong container tại cảng bốc hàng.

10. CHỨNG TỪ YÊUCẦU:

• Trọn bộ (3/3) vận đơn trơn hàng trên tàu.
• 3 bản hóa đơn thương mại đã ký.
• 3 bản danh sách hàng hóa.
• Giấy chứng nhận khử trùng do chính phủ Việt Nam/ cơ quan có thẩm quyền cấp.
• Giấy chứng nhận xuất xứ do Phòng Thương mại và Công nghiệp Việt Nam cấp

(VCCI)

11. THANH TOÁN: Bằng T / T hoặc bằng tiền mặt trước 100% hoặc trong vòng 5 ngày
sau ngày phát hành B / L.

12. ĐIỀU KHOẢN CHUNG: Cả hai bên cam kết thực hiện nghiêm ngặt tất cả các điều
khoản của Hợp đồng này. Bất kỳ sửa đổi hoặc bổ sung nào vào Hợp đồng này sẽ được
thực hiện bằng văn bản sau khi được cả hai bên đồng ý.

13. BẤT KHẢ KHÁNG: Không bên nào tham gia hợp đồng này phải chịu trách nhiệm
về việc vi phạm hợp đồng do hành vi của chúa, nổi dậy, nội chiến, chiến tranh, hoạt động
quân sự hoặc tình huống khẩn cấp tại địa phương. Các bên theo đó chấp nhận điều khoản
quốc tế về "Bất khả kháng" do Phòng Thương mại Quốc tế, Geneva, Thụy Sĩ công bố và
theo định nghĩa của I.C.C quy tắc thống nhất phong tục và thực tiễn.

14. KHIẾU NẠI VÀ TRỌNG TÀI: Trong trường hợp khiếu nại về sự khác biệt về chất
lượng đối với người bán, bên mua phải thông báo chính thức cho người bán qua fax trong
vòng 2 tuần kể từ ngày tàu đến cảng dỡ hàng. Sau đó, cả người mua và người bán đều
chỉ định một cơ quan kiểm tra trung lập có uy tín quốc tế và kết quả kiểm tra đó sẽ được
coi là cuối cùng cho cả người mua và người bán.

Bất kỳ tranh chấp nào phát sinh theo hợp đồng bán hàng này sẽ được giải quyết
hòa giải lúc đầu. Trong trường hợp tranh chấp không thể giải quyết tranh chấp sẽ được
chuyển đến Trung tâm Trọng tài Quốc tế Việt Nam của Phòng Thương mại và Công
nghiệp Việt Nam (VCCI).

Hợp đồng này được công nhận qua email sẽ có hiệu lực sau khi được ký bởi cả hai liên
quan đến các bên.
